ANNEXURE - II
GENERAL TERMS AND CONDITIONS FOR SUPPLY OF SPARES
Your acceptance of our offer should be communicated through written purchase order specifying the following terms
and conditions as an explicit acceptance of same.
Prices : The quoted prices are net and firm and on DELIVERY EX WORKS ABB, PEENYA
BANGALORE.

Duty, Sales tax & Other : The prices quoted are exclusive of all taxes and duties, levies, octroi etc., which
Levies have to borne by you at actual at the time of delivery. Necessary declaration
forms shall furnish by you wherever applicable. Any liability arising consequent
to coming into force new law/ amendments pertaining to sales tax/levies/duties
including VAT shall be borne by the customer.

Terms of Payment : 30% Payment as advance along with purchase order and the balance 70% with
full taxes and duties against Proforma Invoice before dispatch of material

Delivery : Anticipated delivery time for the spares is about Four months from the date of
receipt of the technically clear and firm order.

Freight and Insurance : The price quoted does not include cost towards freight and transit insurance. The
material will be dispatched on Freight To Pre-Pay Basis only. Approximate cost
towards this account shall be @3% of basic value.

Note : We shall intimate you the dispatch details to enable you to arrange insurance. If
you do not arrange the insurance, goods will be dispatched to you at your risk.

Minimum PO Value : Rs. 75,000/- (Rupees Seventy five thousand only)

Guarantee : The material supplied through our dealer will be guaranteed for 12-months from
the date of commissioning or 18-months from the date of supply whichever is
earlier subject to its proper use. If it fails during the guarantee period same shall
be repaired/ replaced on our own cost subjects to its proper use.

Penalty/ LD : As Applicable

Security Deposit : Not Applicable

Validity of Offer : 30-days from the date of this offer
