AGREEMENT

This Agreement (Agreement) is made on this 27th day of December, 2016.

Between

Ms. Kanchan Rao (Hereinafter referred to as LICENSOR which expression


shall unless repugnant to the context or meaning thereof include its successors
and assigns) of the one part.

And

COFFEE DAY GLOBAL LTD. (Coffee Day Xpress), a company registered


under the Companies Act, 1956, and having its registered office at K.M. Road,
Chikmagalur, Karnataka-577101 and having its Corporate office at Coffee Day
Square # 23/2, Vittal Mallya Road, Bangalore-560001, (herein after referred to
as LICENSEE which expression, unless repugnant to the context hereto,
shall mean and include its successors and permitted assigns) of the second
part.

LICENSOR and LICENSEE shall hereinafter individually be referred to as a


Party and collectively as Parties.

Whereas-

1. Licensor is the Absolute Owner and in full possession and enjoyment of a


piece of land and parcel of property situated at Main mathura Road,
Sector 15 A, Crown Plaza, Faridabad, Haryana 121001 more fully
described in the schedule hereunder written.

2. LICENSEE has approached Licensor with a request to allow LICENSEE


to temporarily occupy and use a portion of land admeasuring about 80
Sq. Feet of Super Area for free to put up a kiosk for selling food items
and beverages mentioned in the annexure to this agreement.

3. Licensor has agreed to grant permission to LICENSEE to occupy and


use the said portion of the land on the following terms and conditions.

Now it is agreed by and between the parties hereto as follows:-

1. Licensor hereby grants permission to LICENSEE to occupy and use


the said portion of the land of Licensor (herein after referred to as the
premises) for a period of 36 months effective from ____________2016,
the Agreement period may be extended for a further period as would
be mutually agreed between the parties in writing.

2. Licensor shall also provide a Power with minimum installed power of


32 AMPS with a 100% back up power that is sufficient for (11 KVA) of
connected load to LICENSEE kiosk. CDX will pay electricity charges
as per actual billing.

3. With reference to Agreement no. Between


Licensor and a third party dated , LICENSOR is in full
possession of the said space and has a right to sub lease the space.

4. During the term of this agreement if the original agreement between


the LICENSOR and the third party is prematurely terminated by any
breach of agreement committed by the LICENSOR which leads to
termination of this agreement then the LICENSOR will indemnify the
LICENSEE for all the losses.

5. Coffee Day Xpress will provide 10% revenue share on net sale of CDX
menu and 4% on net sale of MRP items.

6. LICENSEE on expiry or prior termination of this Agreement shall be


entitled to remove the super structure, electrical fittings, furniture,
equipments and other fixtures at its own cost when it vacates and
hands over the possession of the said premises to Licensor.

7. LICENSEE shall not be deemed to be in the exclusive occupation of


the premises and Licensor will have the right to enter upon the
premises at any time during the working hours to inspect the
premises, with prior intimation or approval of LICENSEE.

8. LICENSEE shall not cause any nuisance or annoyance in the


premises or to Licensor employees or store any hazardous goods on
the premises.

9. LICENSEE shall pay their staff salaries and other legal requirements
like ESI & PF etc. Including the F&B license.

10. LICENSOR shall provide exclusivity to the menu items of the


LICENSEE.

11. On expiration of the said term or period of the Agreement or earlier


termination thereof LICENSEE shall handover the vacant and
peaceful possession of the premises to Licensor in good condition
subject to normal wear and tear. LICENSEEs occupation of the
premises after such termination will be deemed to be that of a
trespasser.

12. LICENSEE shall ensure a high degree of hygiene, sanitation and


cleanliness of equipment, crockery / cutlery and the space allotted.
The persons employed by LICENSEE should be neat and clean.

13. LICENSEE shall be responsible to constantly supply fresh and quality


food items at all times.

14. LICENSEE shall be permitted to sell only the food items and
beverages mentioned in the Annexure to this agreement at the prices
indicated therein against each item. Under no circumstances,
LICENSEE shall be permitted to charge anything extra for any item
served in the cafeteria unless it is specifically agreed by Licensor
including charges for plates etc.

15. LICENSEE shall maintain a high level of safety awareness and


compliance of statutory requirements if any among its personnel
performing various duties and tasks along with fire extinguisher.

16. Licensor may disclose or advertise to the public at large about the
operation/running arrangement of the kiosk by the Licensee (by
depicting its Trade mark or trade name).

18. Termination of contract

This Agreement may be terminated by Licensor on the breach of


Contract by serving 30 days notice in writing to the other party.

Licensee may terminate the agreement by serving 30 days notice in
writing to the other party.

19. GENERAL PROVISION

This agreement shall supersede all previous communications, both oral


and written and the provisions herein contained shall not be omitted,
added to or amended in any manner except in writing and signed by
both parties thereof.

Both parties hereby agree to indemnify and hold each other, harmless
from any and all costs, expenses, including reasonable outside
attorneys fees, claims, suits and liability by the third parties.

Licensor agrees and undertakes that there is no consideration or


amount payable by LICENSEE to Licensor towards usage of premises or
to install kiosk at their office premises in totality including but not
limited to water charges.

20. GOVERNING LAW & JURISDICTION AND ARBITRATION:

This Agreement shall be governed by, and interpreted and construed in


accordance with the laws of India. The Courts of Faridabad alone shall
have exclusive jurisdiction over this Agreement.

All disputes, differences and questions whatsoever which shall arise


between the parties hereto during the continuance of this license or
afterwards, touching any clause or matter herein contained, or the
rights, duties and liabilities of either party in connection therewith, shall
be referred to the arbitrator to be appointed by both parties as would be
mutually agreed. All such arbitration proceedings shall be held in New
Delhi and shall be in accordance with and subject to the provisions of
the Arbitration and Conciliation Act, 1996 or any statutory modification,
re-enactment thereof for the time being in force.

15 A, Crown Plaza, Faridabad, Haryana 121001.

In WITNESS WHEREOF the parties herein have affixed their respective


signatures to this agreement on the day, month and year first above
written in presence of the witnesses.
