MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THIS PRESENTS:

This MEMORANDUM OF Agreement is hereby made, executed and entered

by and between:

hereinafter referred to as the GROWER

organized and existing under the laws of the Republic of the

______________________/ Proprietor) hereinafter referred to as the
COMPANY.

- WITNESSETH -

Whereas, the COMPANY is engage in the business of distributing poultry and live
stock feeds and products.

Whereas, the COMPANY endeavors to aid underprivileged but deserving

beneficiaries living in the provinces through the Companys own initiative of
implementing a micro-financing program that would stimulate the locals
enterprenuerial and livestock activities.

Whereas, the GROWER has been determined to be a qualified beneficiary of good

standing after s/he has represented to have the necessary experience, capabilities
and expertise in such business of growing hogs in a growth out facility (the Growth
Backyard) located at ___________________, and that such backyard has all the
necessary permits and licenses from the required regulatory agencies of the
government, with particular and specific emphasis on the compliance with
environmental and zoning policies and regulations;

Whereas, the COMPANY has inspected the location of the GROWTH BACKYARD
as being suitable with the standards and the specifications of the facilities and
structures required by the COMPANY from the GROWER;
Whereas, the COMPANY and the GROWER are desirous of cooperating in the
growing native hogs for the purpose of producing grown hogs to marketable sizes
for sale or further distribution, the income of which shall answer for the return of
the COMPANYs initial capital;

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties
have mutualy agreed and convenanted as follows:

Section 1. PERIOD OF THE AGREEMENT.

1. The term of the Agreement shall be for a periob of one year which shall
comence from _____________ until _______________. This Agreement shall cover all
batches, completed or ongoing, during the period herein mentioned unless earlier
terminated for causes herein provided, and renewable for such similar or other
period the parties may subsequently agree to;
