_____________) is being entered wherein The two concern sides have agree to comply as follows:

CLAUSES
1.) Clause ____ places an obligation on the (side A) not to discriminate unlawfully under parts ____ and ____ of the Race Relations
Act ____ (as amended), not to contravene part ____ of the Act, to cooperate with whichever investigations or proceedings under the
Act, and to cover the (side B) against whichever loss caused by the (side A) contravening the Act.

2.) This clause provides that the (side A) will not provide whichever inducement to the (side B) in connection with the contract and is
intended to encourage fair competition and to guarantee that the tendering and contracting processes are carried out in an ethical,
professional and law-abiding manner. These processes must comply with the NHS Contracting (side B)s Standing Orders, including
Standing Financial Instructions. Cancellation and damages are available if the rules are broken.

3.) This clause places an obligation on the (side A) to comply with the INFORMATION Protection Act ____, which governs how
information on individuals is handled and stored. In the event the (side A) fails to comply with the Act, then the (side A) will cover the
(side B) for all claims arising out of the failure.

GUIDANCE NOTES FOR NHS STAFF

1.) The standard notice period in clause ____ is 1 month. A different notice period can be inserted but note that a long notice period
is not likely to be acceptable to the (side A) if the (side B) is in breach.

2.) Note that it is essential to express clearly the function or reason for which the goods are to be used, as section ____ of the ____
Act implies a condition of fitness for reason but this depends on the supplier being informed of whichever special requirements
before the contract is made.

3.) whichever other listed legal conditions are excluded. The specification is expressly part of the Contract, and so the (side A) will
be bound to supply the Goods in the manner described in the specification.
