This service agreement is to protect the confidentiality and interests of our clients and to outline the
payment terms and operation of services.
Absolute Web Solutions - Client Service Agreement
This service agreement is made effective as of the date of the first deposit been made which is
attached to this agreement. By making the first deposit for services means that you fully understand
and are in agreement with this service agreement. This agreement is between the (Client) -****** and
Anthony Rutter Absolute Web Solutions.
In this agreement the party who is contracting to receive services shall be referred to as the Client
and the party who will be providing the services shall be referred to as Consultant
Consultant has a substantial background in providing Virtual Assistant and online business marketing
and development services and is willing to provide services to the Client based on this background.
This agreement is in place to protect the interests of the Client and the Consultant and ensure a
productive working relationship.

The Client desires to have services provided by the Consultant, therefore the parties agree to as
follows:
DESCRIPTION OF SERVICES
Consultant will provide services listed on https://absolute-websolutions.com
PAYMENT TERMS
Client will pay consultant:
Client and Consultant may agree an alternative rate for tasks and projects in addition to this
agreement, by which an agreed estimate will be required.
Payments must be made within 7 working days from receipt of invoice either online via PayPal or via
bank transfer.

Payment terms are strictly 50% of the project fee before work commences, then the remainder upon
completion of services.
Upon termination of this agreement no further additional charges will be incurred, however
Consultant shall still be entitled to payments for any periods or partial periods that occurred prior to
the date of termination and for which Consultant has not yet been paid.
OUTSTANDING INVOICES
In the event that the Client has an outstanding invoices, the charges shall accrue as follows:
This applies only when Consultant has provided and completed all agreed services in the initial
proposal.
REIMBURSEMENT OF EXPENSES
Consultant shall be entitled to reimbursement from the Client for the following out of pocket
expenses, if these expenses are expressly authorised ahead of time by the Client.

SUPPORT SERVICES
Absolute Web Solutions may hire a small team of individuals who may, at any time assist in the
provision of services. All sensitive Client information, including passwords, is kept strictly confidential
within the Absolute Web Solutions team, who work under confidentiality agreement.
TERMINATION OF AGREEMENT
Notice is not required from either party to terminate the agreement, however if the Client or
Consultant would like to terminate the agreement, they must send written confirmation and all
outstanding accounts must be settled within 7 working days from receipt of invoice.
RELATIONSHIP OF PARTIES
It is understood by the parties involved that the Consultant is an independent Contractor with respect
to the Client, and not an employee of the Client. Client isnt required to provide any Fringe benefits,
including health insurance benefits, paid holidays, or any other employee benefits. Consultant is also
responsible for his own taxes and other withholdings
Consultant plans and schedules Clients projects and works to mutually agreed deadlines, However
Consultant cannot work to a Clients daily work schedule or pattern, unless otherwise agreed.
COMMUNICATIONS.
In order to give the Client the best possible service, a dedicated support site is available at:

information including user guides and forms.
Consultant streamlines work and tasks effectively to ensure that Client has clear records of pertinent
communications. Consultant provides an online project management area at
https://absolutewebsolutions.teamwork.com for general task requests, technical problems, login
requests and all general questions and project related communications, please email

By signing this agreement, you (and any individual and /or organisation youre signing for and on
behalf of) agree to indemnify and hold harmless to Absolute Web Solutions and its officers, directors,
shareholders, independent contractors and affiliates, from and against any claims, suits proceedings,
disputes, demands, liabilities, damages, losses costs and expenses, including without limitation,
reasonable legal and accounting fees (including cost of defence of claims, suits or proceeding brought
by third parties), in any way related to (a) your access to or use of our Website, (b) your personal and
business information/data, or any provision of service engaged through Absolute Web Solutions, or
(d) your breach of these terms.
HOURS OF BUSINESS
Our support team are based globally, so we work to commit lines e.g. or commitment is to aim to
respond within 24 hours, Monday-Friday rather than set times of the day, however we are generally
available through our support desk Monday-Friday 9am - 4pm GMT (UK time). We are closed on UK
Public holidays and the Xmas and new-year holidays. If you require cover during these times please
contact us for assistance.
We prefer electronic communications via the project management area or support desk, so it is
essential you are comfortable with primarily working via your project management area, but if you
would like a chat with Anthony, we have an online calendar available for scheduling appointments or
you can contact Anthony on contact@absolute-websolutions.com to schedule an appointment.
CONFIDENTIALITY
Consultant recognises that Client may have the following proprietary information:
Products
Future plans
Prices/costs/discounts
Client database
Logins
Other specific business data
Also, any other information or project work, including note and files, which may be valuable assets of
the Client, are stored on secure servers) and are accessible by Consultants team, and Client 24 hours

a day, 7 days a week. Client may also invite other members of his/her team organisation to share
access.
Consultant agrees not to, at any time or in any manner, either directly or indirectly, use any
information for Consultant's own benefit, or divulge, disclose, or communicate in may mannar any
information to any third party outside of Absolute Web Solutions without prior written consent of the
Client.
RETURN OF RECORDS
Upon termination of this agreement,Consultant, shall deliver all records, notes, data, memoranda
models and equipments of any nature that are in consultant's possession or under Consultants
control and that are Clients property or relate to the Client's Business.
AMENDMENTS

This agreements may be modified or amended if the amendment is made in writing and is
electronically signed by both parties.
