SUB-LEASE CONTRACT

KNOWN ALL MEN BY THESE PRESENTS:

This agreement is made and entered into by and between:

UNIWORLD MARKETING AND FINANCE a corporation duly organized and existing

under the laws of the Philippines, with office address at __________________________,
represented in this act by _______________, its ______, hereinafter referred to as SUB-
LESSOR

-And-

HEALTH MED ENTERPRISES, a company duly organized and existing under the
laws of the Philippines, with office address at RM 206, Jesever Bldg., Fuente Osmea
Cebu, City, represented in this act by ________, its ______ hereinafter referred to as
SUB-LESSEE.

-WITNESSETH -

Whereas, SUB-LESSOR is authorized by its LESSOR to sub-lease its leased

premises situated at ________________________with an area of 26 square meters;
Whereas, SUB-LESSEE is willing to sublease a portion of the aforesaid leased premises by
way of desk space/s.

For and in consideration of SIX THOUSAND PESOS (Php6,000.00) monthly rental

fee. SUB-LESSOR hereby leases a portion of its leased premises, particularly of desk
space in favor of the SUB-LESSEE under the following terms and conditions agreed upon
by the parties:

1. THE LEASED DESK SPACE/ PREMISES: It is understood that the leased desk space
shall be good for ONE person only.

2. THE MONTHLY RENTAL: The SUB-LESSEE shall pay unto SUB-LESSOR without
need of any demand the agreed monthly rental fee of SIX THOUSAND PESOS
(Php 6,000.00) every 27th day of the month. The rent is payable to
_________________________________ Prior to occupying desk space, two (2)
months deposit and two (2) months advance rental equivalent to such monthly
rental fee shall also be paid unto the SUB-LESSOR. In case of delay in the
payment of monthly rentals, a surcharge of three (3%) percent per month or
fraction thereof computed from the 30th day of the current month of delay shall
be added and paid by the SUBLESSEE without prejudice to the other penalties
and rights of the SUBLESSOR as provided for herein. The said deposit or any
excess after deducting any such unpaid utility bills shall be refunded by the
SUBLESSOR to the SUBLESSEE upon expiration, termination, or cancellation of
the Sublease Agreement as provided for herein, unless there are any unpaid
rents, interests, or penalties, in which case SUBLESSOR shall have the right to
offset this deposit or any excess thereof against such unpaid obligations.
SUBLESSEE, however, has no right to off-set this deposit against any unpaid
rentals.

3. PERIOD OF LEASE: This lease agreement shall be valid from

 4. NATURE OF BUSINESS ACTIVITY: The SUB-LESSEE shall undertake legitimate
business only at its desk space and shall acquire, register and pay its owns
licenses, duties and taxes to the government.

5. WATER, ELECTRICITY, LIGHT AND OTHER UTILITY SERVICES. The SUBLESSEE shall
pay 50% the cost of water consumption, electric, telephone, or other utility
services on the subleased premises.

6. TERMINATION: This lease agreement shall be considered terminated upon the

expiration of the period of lease unless otherwise extended or renewed in
writing by both parties. However, the SUB-LESSOR may AT ANY TIME unilaterally
terminate his lease agreement due to nonpayment of rents and/ or violation of
any provision of this agreement or the main LESSOR terminates the SUB-
LESSORS lease agreement.
