MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into by and between:

_________________, a corporation established under the laws of the

Philippines, with principal office address at __________________represented
herein by the _______________________________, and hereinafter referred
to as __________________,

-and-

The University of the Philippines Los Baños Foundation, Inc. a non-

government office (NGO) duly organized and created under the laws of the
Republic of the Philippines, with principal office address at UPLBFI Bldg.,
Lanzones St., UPLB, College, Laguna, represented herein by its Executive
Director, DR. CECILIO R. ARBOLEDA, and hereafter referred to as
UPLBFI.

Witnesseth:

WHEREAS, (insert here mandate of the first party);

WHEREAS, UPLBFI is willing to support the project of ___________ as

contained in its project proposal Attachment A;

WHEREAS, UPLBFI was established to provide assistance to UPLB in

pursuing its teaching, research and extension programs;

WHEREAS, Dr. Cecilio R. Arboleda is duly empowered to enter into, sign and
execute this Memorandum of Agreement in behalf of UPLBFI

NOW, THEREFORE, in consideration of the above premises, the parties

mutually agree on the following:

Article 1
TITLE OF THE PROJECT

The project is entitled “_______________________________”

Article 2
PROJECT

Section 1. Project proposal. – UPLBFI in cooperation with the UPLB shall

implement the project in accordance with the proposal contained in Attachment A.

Section 2. Modification of project proposal. No modification of the PROJECT

PROPOSAL or any deviation in the implementation of the same different from that as
contained in Attachment A shall be allowed without the written agreement between
______________ and UPLBFI. Modification of any part of the project proposal shall
be contained in an Amended Project Proposal that shall supplant Attachment A upon
signing its conformity thereto by both parties.

The Amended Project Proposal shall contain the original project proposal.
Additions thereto shall be typed in capital letters while deleted letters, words, phrases
or paragraphs shall be bracketed for easy reference.

Section 3. Assignment of rights. – No part of the project including the rights

thereto maybe transferred or assigned by UPLBFI nor shall any part of the project be
subcontracted without the written consent of _______________.

Section 4. Workplan. – The schedule of the implementation of the project shall

be contained in a WORKPLAN that shall become part of this Agreement as
Attachment B. Delay or deviation in the implementation of the project based on the
Workplan shall not be allowed without the written consent of ______________.

Article 3
FUNDING, FINANCIAL RECORDS
& REPORTS

Section 1. Provision of funds. – _______________ shall provide the total

amount of __________________________________ in Philippine currency, for the
project for a period of __________________ to be computed from the date of receipt
of the NOTICE TO PROCEED as stated in Sec. 2, Article 7 hereof subject to and in
accordance with the provisions of the following sections.

Section 2. Schedule of fund releases. – The budget for the project shall be
released in accordance with the SCHEDULE OF RELEASES & OUTPUTS as
contained in Attachment C which shall likewise become an integral part of this
Agreement.

Section 3. Financial records. – The UPLBFI shall account for funds provided
under this Agreement and shall keep and maintain financial records in accordance
with generally accepted accounting principles and practices.

Article 4
PROJECT MANAGEMENT, IMPLEMENTATION,
MONITORING & EVALUATION

Section 1. Project Management – UPLBFI shall provide an adequate and

efficient administrative support and management system necessary for the successful
implementation of the project. It shall likewise be responsible for the disbursement
and accounting of project funds.

Section 2. Hiring of personnel. – UPLBFI shall be responsible for the hiring

of such personnel as may be necessary based on Attachment A. The services of all
personnel hired by UPLBFI for the project shall be terminated upon completion or
termination of the project.

Section 3. Labor laws and torts. – No employer-employee relationship shall

exist between _________________ and the personnel hired by UPLBFI for the
project.

The UPLBFI shall assume sole responsibility for any torts or cause of action
by reason of the employment of hired personnel with project.

Section 4. Project implementation. – The UPLBFI shall be responsible for the

orderly, systematic and timely implementation of the project as programmed and
approved in Attachments A and B.

Section 5. Monitoring. – The UPLBFI shall regularly monitor the progress of

the project. Any unforeseen changes in conditions that affected the implementation of
the project shall be recorded and reported immediately to __________________.

___________________ shall likewise keep track of the progress of the project

and for this purpose, shall, from time to time, send its representative/s for field visits
and inspection.

Article 5
OWNERSHIP OF DATA, MATERIALS, PROJECT OUTPUTS
& INTELLECTUAL PROPERTY RIGHTS

Section 1. Joint ownership of reports, data and materials. – The final version
of reports submitted to ________________ and all relevant data, supporting
documents, and materials prepared in the course of or in relation to the services
rendered by UPLBFI shall become the joint property of the parties.

They may however, mutually authorize other agencies to use said reports and
data for research, education and for public service purposes. Any benefit derived from
the use of these reports and data shall be jointly shared by the parties.

Section 2. Joint ownership of project outputs and intellectual property rights.

– All project outputs, discoveries, inventions and income derived from the project
shall be jointly owned by _________________ and UPLBFI and shared on a 50-50
bases. Contracts and such other agreements entered into using the project outputs,
discoveries and inventions shall be entered into jointly by the parties.

Section 3. Recognition of principal author/institutions. – All major reports or

articles for publication based on the project output or results shall be made jointly in
the name of ________________ and UPLBFI together with the name/s of the
researchers involved.

Article 6
COMMON PROVISIONS

Section 1. Attachments. – Attachments A to C shall be considered as integral

parts of this MOA. Modifications of any part of the Attachments may be made in
accordance with the provisions of Article 2, Section 2 of this MOA.

Section 2. Effectivity. – This Agreement shall take effect upon signing thereof
and receipt by the UPLBFI of a NOTICE TO PROCEED with the implementation of
the project.

In WITNESS WHEREOF, the parties hereto have affixed their respective

MEMORANDUM OF AGREEMENT

This Agreement made and executed this ____ day of ________________, in the City
of Cebu, Philippines, by and between:

______________________, of legal, Filipino, single/married/ widower/widow, and

resident of _______________, and ________________, of legal age, Filipino, and a
resident of _______________ hereinafter known as the “OWNER”;

-and-

_____________________________, of legal age, Filipino, single/married, and

residents of ___________________, hereinafter known as the “PURCHASER”

WITNESSETH:

WHEREAS, the Owner is the owner in fee simple of a parcel of land situated in the
__________________________, described as follows:

“LOT DESCRIPTION”

WHEREAS, the PURCHASERS are the occupants by virtue of an implied/oral

contract of lease of the above described parcel of land, occupying portions of the lot
where their respective houses are constructed.

WHEREAS, the OWNER, herein intends and herby agrees to sell to the
PURCHASERS the above described parcel of land and the PURCHASERS hereby
agree to buy the same at the amount of _________________ (p___________)
Philippine Currency, per square meter.

WHEREAS, for the purpose of determining the exact area that each of the
PURCHASERS has occupied, the PURCHASERS have hired the services of a
Geodetic Engineer at their own expenses who conduct a survey of the subject lot and
prepared a subdivision plan, copy of which is hereto attached as Annex “A”.

NOW, THEREFORE, for and in consideration of the mutual covenants herein

contained, the OWNER hereby sells, transfer, and conveys unto the PURCHASERS,
its successor-in-interested and assigns, the above-described parcel of land upon the
terms and conditions embodied herein

1. PURCHASE PRICE- The Purchasers shall pay to the Owner the amount of
____________________ (P __________) per square meter, Philippine Currency for

the area each is occupying pursuant to the Subdivision Plan, in the manner hereafter
specified.

1.1 DOWNPAYMENT- Upon signing of this Agreement, the PURCHASERS shall

pay to the OWNER the sum equivalent to _____________PERCENT (___________)
OF THE COST/CONSIDERATION OF THE PROPERTY.
1.2 BALANCE OF CONSIDERATION- The balance of the consideration shall be
paid within one (1) year from the execution of this Agreement, in twelve (12) equal
monthly installments provided that the last such installment shall ready fully pay the
consideration.
1.3 SCHEDULE OF PAYMENT- The parties have agreed to attach hereto as Annex
“B” the schedule of payment agreed upon between them.

2. EXECUTION OF DEED OF ABSOLUTE SALE- Upon receipt in full of the

consideration, the OWNER shall execute a Deed of Absolute Sale over the property
subject of this agreement in favor of the PURCHASERS.

3. RECORDING- The capital gains tax and the documentary stamps and all other
expenses for the registration of the Deed of Absolute Sale including transfer tax shall
be for the account of the PURCHASERS.

4. REAL ESTATE TAXES- The payment of the Real Estate Taxes due for the whole
year at the time of the Execution of the Deed of Absolute Sale shall be for the account
of the OWNER.

5. COVENANT TO EXECUTE ADDITIONAL INSTRUMENTS- The partied agree

to execute and deliver any instruments in writing necessary to carry out any
agreement, term, condition, or assurance in this CONTRACT TO SELL whenever
occasion shall arise and request for such instruments shall be made.

6. BINDING NATURE- The covenants, terms, conditions, provisions and

undertakings in this agreement or any modifications, revisions or supplements thereof
shall extend to and be binding upon the heir, executors, administrators, successors and
assigns of the PURCHASERS, as if they were in very case named and expressed and
shall be construed as covenants running with the land.

7. VENUE- All suits for any breach of this contract shall be instituted and maintained
in the court of competent jurisdiction in _____________ only to the exclusion of all
other courts.
