SALE AGREEMENT

This Agreement of Sale is made and executed on the Tenth day of


July Two Thousand Ten (10-07-2010) by and between

Smt. LEELAVANTHI
Aged about 55 years,
D/o. Late. Kewalchand,
Residing at No. 209, 'Tarmar Palace',
Rama Iyengar Road, V.V. Puram,
Bangalore - 560 004.

Hereinafter called the ‘VENDOR’ (Which term shall mean and


include her respective legal heirs, representatives, administrators, successors
and assigns) of the One Part and IN FAVOUR OF :-

Sri. N.R.C. BABU


Aged about 50 years,
S/o. Late. K. Narayanan,
Residing at No. 3, Rudra Layout,
Near Modi Iyer School,
Mathikere, Bangalore - 560 054.

Hereinafter called the ‘PURCHASER’ (Which term shall mean and


include his respective legal heirs, representatives, administrators, successors
and assigns) of the Other Part, Witnesseth as follows :-

NOW THIS DEED OF SALE AGREEMENT WITNESSETH AS FOLLOWS:

WHEREAS the Vendor is the sole and absolute owner in peaceful possession
and enjoyment of the Property bearing BDA No. 1064-B,(formerly the northern
portion of old no. 123, renumbered as 1064/1) BBMP Katha No. 1, situated at E
Main Road, Pipe Line, Gokula 1st Stage, 4th Phase, Bangalore, Measuring: East to
West : 37-0 feet and North to South : 47-0 feet, which was acquired through a Gift
Deed, registered as Document No. 6093/2005-06, of Book - I, Stored in CD RJND
84, dated : 25-01-2006, registered in the office of the Sub-Registrar, Rajajinagar,
Bangalore, from her mother Smt. Shanthi Bai, W/o. Late. Kewalchand.
Further she has paid the taxes to BBMP and obtained the Katha in her
name.

WHEREAS, the Vendor due to her urgent commitments and beneficial


necessities has agreed to sell the Schedule Property and the Purchaser is
desirous of owning the Scheduled property against a sale amount of Rs.60 lakhs
(Rupees Sixty Lakhs only) free from all encumbrances out of which an advance
amount of Rs.1150000/- (Rupees Eleven Lakhs Fifty Thousand only) is already
paid by the purchaser to the Vendor before the witnesses of this sale agreement
as detailed below.

a) Rs. 50,000/- (Rupees Fifty Thousand only) by way of cheque, cheque no.
828379, drawn on Corporation Bank, Malleswaram Main Branch,
Bangalore.
b) Rs. 5,00,000/- (Rupees Five Lakhs only) by way of Cheque bearing
No. 194498, dated : 10-07-2010, drawn on ICICI Bank, Kumara Park
Branch, Bangalore.
c) Rs. 6,00,000/- (Rupees Six Lakhs only) by way of Cheque bearing No.
896823, dated : 10-07-2010, drawn on Corporation Bank, Malleswaram
Main Branch, Bangalore.

1) The Purchaser agrees to pay charges towards Registration fee and stamp
duty applicable at the time of registration.

2) The Purchaser is entitled to receive possession of Scheduled property


from the vendor after the registration and against the balance amount of
Rs.48.5 lakhs (Rupees Forty Eight lakhs and Fifty Thousand only) towards
full payment to the vendor.

3) Notwithstanding anything containing in any other clause or clauses in this


agreement, the vendor hereby agrees with the Purchaser as follows:-

a) The vendor shall not demand for any other payment/s other than
whatever has been specifically disclosed to the Purchaser in this
agreement

b) In the event the Purchaser has to avail housing loan or home loan from
a bank or a financial institution of his/her choice, the vendor shall
provide all the necessary documents and clarification as may be
sought by such bank or financial institution for the purpose of
sanctioning of housing loan to the Purchaser.

c) The vendor has to bear all the charges till date like property taxes
Kata, betterment charges and all other up-to-date civic body charges
like electricity/water etc.. On the date fixed for registration, the vendor
shall keep ready all the documents like Khata certificate, Khata
extract, latest non-encumbrance certificate required by the concerned
Sub-Registrar/registering authorities for the purpose of registering the
scheduled property infavour of the purchaser or any of his nominees
and handing over the vacant possession of the Property.

d) Disputes and differences, if any, shall be referred either to the Court/s


of appropriate jurisdiction within the City Limits of Bangalore city only.

e) If at any point of time in future any person/s, other than the vendor
herein, establish any lawful claim or rights over any part of the
scheduled property sold to the Purchaser resulting in loss and
damages to the Purchaser, the agreement holder herein agree and
undertake and hence liable to indemnify the Purchaser from all losses
incurred and damages sustained on account of such interference.

f) If the Vendor fails to perform her duties then the Purchaser can sue in
the court and deposit the balance sale consideration through the Court
and can register the sale deed in favour of the purchaser or his
nominees. The purchaser has also had right to recover the losses from
the Vendors. Further if the Purchaser fails to perform his part of the
contract within the stipulated period, the Vendor has got every right to
recover the damages / penalty from the purchaser as per court of
Law.

g) Whereas the mutually agreed time for completion for payment of


balance amount and registration of scheduled property is within 3 1/2
(three and half) months from the date of this sale agreement,

irrespective of whether the bank or any other institutions sanction loan


or not.

4) However the vendor has agreed to submit proper application to the


concerned authorities like BBMP/BDA/Corporation/Revenue Authority for
rectification of any discrepancy in the actual dimension of the schedule
property for getting corrected in all records like Khata, etc.

5) The Vendor's husband (1) Sri. Ashok Kumar aged about 60 years and
their Children (2) Sri. Praveen Kumar, Aged about 38 Years, (3)
Sangeetha
Kumari, Aged about 35 Years, (4) Sri. Aravind Kumar, aged about 33 years
and (5) Sri. Santhosh Kumar, Aged about 32 years, are all aware of this
sale and agreed to this sale transaction and signed as consenting
witnesses to this sale agreement and also agreed to sign in Sale deed as
consenting witnesses.

SCHEDULE PROPERTY

All that piece and parcel of the residential property bearing BDA No.1064-B,
(formerly the northern portion of old no. 123, renumbered as 1064/1)BBMP
Khata No.1 situated at E Main Road, Pipe Line, Gokula I Stage, 4 th Phase,
Bangalore Corporation Ward No.7, measuring East to West 37 ft and North to
South 47 ft and bounded on the

East by: Property belonging to Smt. Seethalakshamma and Sri. Narasimharaya

West by: Road

North by: Property bearing No.21/1

South by: Property belonging to Smt. Lalithamma

Along with RCC roofed building, ground floor and first floor (built up area of
2800Sq.ft ) with basic civic amenities.

IN WITNESS WHEREOF, THE PARTIES ABOVE NAMED HAVE SIGNED AND


EXECUTED THIS DEED OF AGREEMENT OF SALE ON THE DAY, MONTH
AND YEAR FIRST ABOVE WRITTEN.
