area on Pan India Basis. To achieve the same, NIXON is looking to appoint “DSA/E-DSA”,
Distributor at various locations and thereafter setup the infrastructure in the region.

Nixon Telecom Limited is accepting Letter of Interest from various parties for the DSA
rights. The Company will evaluate and shortlist the Letter of Interest from various parties
as per the below mentioned criteria’s.

1. Marketing Capabilities of Interested Party.


2. Experience in IT & Telecom Related Market.
3. Financial Capabilities of Party.
4. Infrastructure Availability of Interested Party.

Role of Nixon Telecom Limited:

Nixon Telecom Limited had consistently thrived to support its partners and keep

 Provision all service and support in the Area of Operation of “DSA/E-DSA”.
 Construct Towers wherever necessary for distribution of services subject to
technical and commercial feasibility.
 Provide Market leads to “DSA/E-DSA” along with Weekly discussion of
marketing strategies.
 Preserve an abundant amount of equipment and manpower for fast
installation and maintenance of customer connections.
 Provide customer help desk for technical calls of the customer.

Role of “DSA/E-DSA”:

“DSA/E-DSA” being the business representative of the company will execute a


various tasks in their circle under the brand name of “iBroadnet”. Some of the roles
which need to be religiously and scrupulously followed are:

 Arrange proper office location in the operation area.


 Arrange a single point of contact to communicate and co-ordinate with our
team for field work like site survey, tower erection, customer link installation
etc.
 Furnish the interiors as per company standards.
 Allocate Tele-callers for inquiry generation.

 Allocate sufficient numbers of marketing executives for following the leads.


 Allocate Tele-callers for marketing inquiry handling.
 Payment collection from clients and deposit of same in Bank Account.
 Recovery payments from defaulter clients.

Minimum Eligibility & Criteria of DSA:

 The “DSA/ E-DSA” must have sound marketing experience in IT & Telecom
field.
 The “DSA/ E-DSA” will establish and maintain office under NTPL brand
(hereinafter referred to as “iBroadNet”)
 The “DSA/ E-DSA” will dedicate a single point of contact for all inter office
communications between “NTPL” and “DSA/ E-DSA”.
 The “DSA/ E-DSA” will obtain all the necessary clearance required for
Erection and Installation of Wireless Towers, Laying of Fiber and Copper
Cables as and when needed. The expenses of Tower Erection, Cable lying will
be borne by “NTPL”.
 The “DSA/ E-DSA” will be the authorized collection agent for “NTPL” in the
said circle and issue proper receipt duly stamped.

Obligation of DSA & Exclusive DSA:

 The Agreement period will be 3 (Three) years from the Date of execution.
The “DSA/ E-DSA” shall be eligible for renewal of license subject to
satisfactorily fulfilment of other operative conditions. A fresh agreement must
be signed at the time of renewal.

 The “DSA/ E-DSA” shall provide complete company details along with Tax
and Bank Account detail at the time of registration

 Subject to conditions, The “DSA/ E-DSA” shall be entitled for payment of


Revenue share in respect of each subscriber for the specific type of service
bought by “DSA/ E-DSA” to “NTL” for service subscription. The rate of such
revenue share shall be notified and amended by “NTL” from time to time. The
present rate structure of the revenue share for the services proposed and
bought for subscription by the “DSA/ E-DSA” as specified herein.

 The Account of “DSA/ E-DSA” shall be maintained at the “NTL” head office
and shall be settled on monthly basis.

 All employees of “DSA/ E-DSA” will be provided with photo identity cards
by the heads of “NTL” in the respective areas. These photo identity cards shall
be returned by the “DSA/ E-DSA” to its issuing authority at the expire of the
agency and shall be destroyed by the concerned authority after maintaining a
record of the employee ID (which will be unique for each employee under the
particular “DSA/ E-DSA”)

 The “DSA/ E-DSA” will keep an updated record of the subscribers bought.
 In order to facilitate marketing, “NTL” will provide technical support in the
form of specifications and other technical literatures of the various services.
“NTL” will also provide a customer helpdesk for various technical queries of
subscribers.

 The enrollment of the “DSA/ E-DSA” will be non-exclusive for the


respective area. “NTL” reserves the right to appoint more “DSA/ E-DSA” for
the respective area and market the services by self or third party if “NTL”.

 All disputes arising out of the “DSA/ E-DSA” scheme shall be decided by
arbitration through an Arbitrator to be appointed by the Managing Director,
NTL. The venue of arbitration shall be the headquarters of “NTL” and the
arbitration proceedings shall be in accordance with the provisions of the
Arbitration and Reconciliation Act, 1996 or any re-enactment or statutory
modification thereof for the time being in force.

 The proposed revenue share payable to the “DSA/ E-DSA” can be reviewed
and modified by “NTL” under the revision of the tariff of the services offered.

 The “DSA/ E-DSA” shall obtain from the subscribers documents in writing
as may, from time to time, be prescribed by “NTL” in regard of provision of
such services.

 The “DSA/ E-DSA” hereby undertakes to carry out such directions and
instructions as may from time to time be issued by “NTL” or persons duly
authorized by “NTL” and comply with rules and regulations issued by “NTL”
together with any modification(s) or additions thereof and to keep acquainted
with the aforesaid rules, orders and regulations and in particular undertake:

a. To comply and follow all instructions printed on the official registration


forms issued by “NTL”
b. Not to make any unauthorized alteration in the matter printed on the
registration forms.
c. To carry out this agreement faithfully and diligently and to the best of
ability to promote the said scheme.
d. Not to assign or otherwise transfer the benefit of this agreement or part
thereof to a third party without informing to “NTL”.

 The agency shall be liable to be terminated by “NTL” without notice and the
“AGENCY FEE” forfeited if the work or conduct of the “DSA/ E-DSA” is
adversely commented upon by the supervising authorities on various grounds
such as:

A. The “DSA/ E-DSA” is in breach of this agreement.


B. The “DSA/ E-DSA” company runs into liquidation.
C. It is found in the course of any judicial proceedings that the “DSA/ E-DSA”
knowingly participated in or convicted of fraud, dishonesty and
misinterpretation against “NTL” or any of its customers.
D. It is found that the “DSA/ E-DSA” has entered into similar arrangements
with any other party for providing the same services.

 On termination of this Agreement howsoever occasioned, the “DSA/ E-


DSA” shall forthwith deliver all the “NTL” papers including the registration
forms, used, partially used and unused receipt books and documents which
may have come in possession or custody under the terms of Agreement.
 The “DSA/ E-DSA” hereby agrees to well and sufficiently protect and keep
harmless and indemnify “NTL” against all manners of embezzlement,
misappropriations or misapplication of moneys, and the “Services”, which may
from time to time during the continuance of the Agreement come into
possession or control or into the possession or control of the branches or
individual appointed as authorized workers at request and belongings either to
“NTL” or to the subscriber or subscribers and also against the carrying away,
loss destruction or otherwise of any writings, evidence books or papers
belonging to “NTL” or any other subscribers without direction and authority of
“NTL” or person or persons duly authorized by “NTL” and against all cost,
charges and expenses in relation thereto.

 The “DSA/ E-DSA” should collect and deposit all the collections from
subscribers to “NTL” within the time herein before specified or as amended
by “NTL”. If the “DSA/ E-DSA” fails to collect and deposit such sums be due
to “NTL” from time to time within the specified period then and in such
event all sums due to “NTL”, will not be calculated as total sum of the
revenue. Under such conditions, the “DSA/ E-DSA” will be forfeited with the
revenue share of the due thereof. Under conditions of defaulter
subscribers, “NTL” reserves the right to recover the dues from “DSA/ E-
DSA” revenue share account.

 The “DSA/ E-DSA” shall not secure subscribers / customers and sell outside
the allotted area.

 The “DSA/ E-DSA” shall not in any way pledge the credit of “NTL”.

 The “DSA/ E-DSA” shall not give any warranty in respect of any of the
services without the authority in writing of “NTL”.

 “NTL” reserves the right to refuse to subscriber or accept any application


for subscription of a service recommended by “DSA/ E-DSA” at its
discretion.

 Tax Deduction at source (TDS) rules as applicable under the Income Tax
Act will be applied in respect of the payments made to the “DSA/ E-DSA”
by the paying authority.
Commercials for Appointment of “DSA/E-DSA”:
