BOARD RESOLUTION AUTHORIZING CORPORATE OFFICER TO FILE ACTION IN

BEHALF OF RIZAL CEMENT COMPANY, INC.

SECRETARY’S CERTIFICATE

I, Atty. Sheila C. Corpuz, Filipino, of legal age, with office address at 1 España St., City of Manila, after
being sworn in accordance with law, do hereby depose and state as follows, that:

1. I am the incumbent Corporate Secretary of Rizal Cement Company, Inc., a corporation duly
organized and existing under Philippines laws, with principal office at 1 España St., City of Manila;
2. During the special meeting of the Board of Directors held on the 23rd day of January 2018, wherein
a quorum was present and acted throughout, after being informed of the necessity of filing a
Complaint for Sum of Money against R.S. Tomas, Inc. for its failure to fulfill its obligations under
J.O. #P-90-212; J.O. #P-90-213; and J.O. #P-90-214, the Board approved the following resolution,
to wit:

Resolution No. RCCI-2018-001

“RESOLVED, as it is hereby resolved, that Joseph Lee, President and CEO of Rizal Cement
Company, Inc., be authorized to sign, execute, deliver, and perform any and all documents, including,
but not limited to, complaint, certificate of verification against forum shopping, and other relevant and
incidental documents and matters in order to pursue the complaint against R.S. Tomas, Inc.

RESOLVED FURTHER that Joseph Lee, President and CEO of Rizal Cement Company, Inc., be
authorized, when necessary in the interest of Rizal Cement Company, Inc., to enter into an amicable
settlement or of a submission to alternative modes of dispute resolution pursuant to the complaint
against R.S. Tomas, Inc.

RESOLVED FURTHERMORE that Joseph Lee, President and CEO of Rizal Cement Company, Inc.,
be authorized to perform all acts necessary and proper under the premises to facilitate in the efficient
acquisition of the reliefs sought.

3. The foregoing Resolution remains valid and has not in any manner been novated, revoked, nor
repealed to date.
