MANIFESTATION OF COMPLIANCE

I , Rafael Tomas, of legal age, married, residing at Quezon City, for and in behalf of
R.S. TOMAS, INCORPORATED after being sworn in accordance with law, depose
and say:


That I am the President of R.S. TOMAS, INCORPORATED, a duly recognized and

licensed corporation under the law to engage in construction business with a
business address at 700, EDSA HIGHWAY, QUEZON CITY, 1100 METRO MANILA.

That I attest to the fact that the aforesaid company and RIZAL CEMENT COMPANY,
INC. a corporation registered under the law entered into a contract on
December 28, 1990 for the supply of labor, materials, and technical supervision of
the following projects:

1. J.O. #P-90-212 Wiring and installation of primary and secondary lines system.

2. J.O. #P-90-213 Supply and installation of primary protection and

disconnecting switch.

3. J.O. #P-90-214 Rewinding and conversion of one (1) unit 3125 KVA, 34.5
KV/2.4 KV, 3 Transformer to 4000 KVA, 34.5 KV/480V, 3 Delta Primary, Wye with
neutral secondary.

That the R.S. TOMAS, INCORPORATED will continue to comply with the J.O. #P-
90-212 and J.O. #P-90-213 project as soon as possible to prevent further
losses, however due to reasons and factors unforeseen by the corporation, it
seek assistance from RIZAL CEMENT COMPANY INC. in acquiring
materials and supplies needed for the completion of the aforesaid projects,
by directly paying the supplier of the said materials and supplies.

Moreover, we sincerely apologize and hope for your consideration in

allowing us to back out from J.O. #P-90-214 as to the rewinding and
conversion of the damaged transformer, after thorough review of the said
project we had deemed that the transformer is beyond repair and its best to
reneged from such project to prevent further damage.
Expect that with the remaining projects, that we will continue to comply in
good faith our obligation under the contract.
IN WITNESS WHEREOF, I have hereunto set my hand this 14tth day of June, 1991 in
