 TERMS AND CONDITIONS

1. OFFER: Executive Technologies Ltd. (ETL) hereby offers for sale the goods and/or services covered
by this Quotation, and sale of any such goods and/or services shall be subject to the terms and
conditions contained herein, which supersede and replace all prior terms, conditions, proposals or
quotations exchanged by the parties. Any additional or different terms already or hereafter proposed
by Buyer are objected to by ETL without need of further notice of objection, and will not be binding
upon ETL unless specifically agreed to in writing signed by ETL.
2. ORDERS: Buyer Purchase Orders should reference this quotation and shall constitute acceptance of
these terms and conditions that are considered to take precedence where any conflict exists between
Buyer’s Purchase Order and this quotation.
3. PRODUCT WARRANTY: Unless otherwise specified, all products from ETL carries a one (01) year
Limited Return-to-Base Parts and Labor warranty. Any warranty from ETL is exclusive of but not
limited to burnt hardware and/or any kind of physical damage. ETL reserves the right to accept or
reject a warranty claim at its sole discretion.
4. INSTALLATION: ETL with install the product(s) ordered free of cost at the Buyer’s premises by
qualified ETL personnel, unless specified otherwise by the Buyer.
5. PRICES: Prices are subject to change or withdrawal without notice. All products ordered to customer
specifications which require deviations in standard production process and all products requiring
certification by ETL or government source inspection are subject to an additional charge.

6. TAXES: Unless otherwise specified, all prices are stated without any applicable excise, sales, use,
value, added, or other tax imposed upon the production, sales and/or delivery of these products. Any
such taxes, when applicable, will be charged as separate additional items on invoices, unless valid
exemption certificates are in the possession of ETL before the date of shipment.

7. PAYMENT: All orders are subject to approval of credit. Payment terms for all Purchase Orders are
50% with Purchase Order and 50% upon pick up or delivery, unless prior approval of terms is made.
All payments must be made by cash or account payable cheques in favor of “Executive Technologies
Ltd.”
8. DELIVERY: All deliveries by Executive Technologies Ltd. will be made within thirty (30) days from
receipt of Buyer’s Purchase orders. ETL reserves the right to make partial deliveries on this order,
and each delivery will be invoiced separately. Delivery of samples or of any part of an order does not
constitute an obligation to make future deliveries. Delivery is free of cost within Dhaka city only. If
delivery is required outside of Dhaka city, additional charges will be invoiced to and paid by Buyer,
unless paid for by the Buyer directly.
9. EXCUSABLE DELAYS AND FAILURES: Executive Technologies Ltd. shall be excused for delays to
the extent that any such delay or failure results from any cause beyond the control of ETL; including
solely by way of example and without limitation, delays caused by Buyer, strikes and other labor
disputes, government regulations, war, national emergency, public disorder, and catastrophes of
nature, fire and explosion, effecting ETL or any supplier to ETL.
10. OFFER VALIDITY: Quoted price and delivery schedule is valid for a period of seven (07) days from
date of quotation.
