under the terms and conditions herein after set forth and subject to the
provisions of existing laws of the Republic of the Philippines.

formed are as follows:

To establish, maintain and operate restaurants,

coffee shops, refreshment parlors, cocktail lounge, to
cook, arrange, serve and cater goods, drinks,

refreshments and other food or commodities

commonly served in such establishments, and to
offer such other services to the public in connection
with the operation of restaurant and catering
enterprises

ARTICLE VI: That the capital of this partnership shall be three

hundred thousand pesos, Philippine Currency
contributed in cash by the partners as follows:

That no transfer of interest which will reduce the ownership of

Filipino citizens to less than required percentage of capital shall be

among the partners;

ARTICLE VIII: That the firm shall be under the management of

Godelieve D. Dulay as General Manager as such
he/she shall have charge of the management of the
affairs of the partnership.

ARTICLE IX: That the partners willingly undertake to change the

name of the partnership immediately upon receipt of
notice / directive from the Securities and Exchange
Commission that another partnership, corporation, or
person has been declare misleading, deceptive
confusingly similar to a registered name or contrary
to public morals, good customs or public policy.
