SUBSCRIPTION AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Subscription Agreement is made and entered into this 19th day of March 2018
by and between:

L-Y PHILIPPINES, INC., a corporation duly organized

and existing under the laws of the Republic of the
Philippines, with principal address at 17th Floor, Richville
Corporate Tower, 1107 Alabang Zapote Road, Ayala
Alabang, Muntinlupa City, represented by its Treasurer,
JEAN S. MURPHY, (hereinafter referred to as the
“Corporation”);

- and -

YKK PHILIPPINES, INC. a corporation duly organized

and existing under the laws of the Republic of the
Philippines, with principal address at 17th Floor, Richville
Corporate Tower, 1107 Alabang Zapote Road, Ayala
Alabang, Muntinlupa City, represented by its President,
TADASHI KOSHIO, (hereinafter referred to as the
“Subscriber”).

WITNESSETH: THAT

WHEREAS, the Corporation’s authorized capital stock is Two Million Four

Hundred Thousand Pesos (PhP2,400,000.00) divided into Two Million Four Hundred
Thousand (2,400,000) shares, with a par value of One Peso (PhP1.00) each;

WHEREAS, the Corporation intends to increase its authorized capital stock from
Two Million Four Hundred Thousand Pesos (PhP2,400,000.00) divided into Two Million
Four Hundred Thousand (2,400,000) shares with a par value of One Peso (PhP1.00) per
share to Ten Million Pesos (PhP10,000,000.00) divided into Ten Million (10,000,000)
shares with a par value of One Peso (PhP1.00) per share;

WHEREAS, the Subscriber desires to subscribe to Seven Million Six Hundred

Thousand (7,600,000) shares (hereinafter, the “Subscription Shares”) with a par value of
One Peso (PhP1.00) per share and pay for the said subscription in cash;

NOW, THEREFORE, for and in consideration of the foregoing and of the

covenants and stipulations set forth below, the parties have agreed as follows:
1. Subscription. Subscriber hereby subscribes to the Subscription Shares for a total
subscription price of Seven Million Six Hundred Thousand Pesos (PhP7,600,000) to
be paid in cash.

2. Issuance of Stock Certificate. The Corporation shall cause to be issued in the name of
the Subscriber the appropriate certificate/s of stock covering the Subscription Shares
immediately upon the approval by the Securities and Exchange Commission (SEC) of
the application for the increase in the authorized capital stock of the Corporation and
the payment of documentary stamp tax.

3. Further Acts. The Parties agree to execute and deliver such other documents or
instruments as any of them may request the other in order to achieve the objectives of
this Agreement.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed and
delivered by their duly authorized representatives as of the date first set forth above.
