LETTER OF INDEMNIITY

To: The Owners, Managers, Operators and Master of MT xxxxxxx

In consideration of your allowing, Mr.xxxxxxxx to come aboard your vessel


we hereby agree and undertake as follows: -

1. To fully indemnify you, your servants and agents and to hold all of
you (individually and collectively) harmless in respect of any liability,
loss, damage or expense of whatsoever nature (including but not limited
to death/personal injury to Mr.xxxxxxx) which you and/or the vessel may
howsoever sustain (whether by negligence. omission and/or willful act
and/or otherwise) by reason of and/or consequential to Mr.xxxxxxxx being
permitted on board the vessel. Such indemnity to extend to cover all
costs and expenses whatsoev43r and howsoever sustained by you in
enforcing this Undertaking against us.

2. In the event of any damage whatsoever and howsoever being sustained by


the vessel, as a consequence of the attendance of Mr.xxxxxx, to forthwith
arrange and pay for such repairs as you may, in your absolute discretion,
deemed necessary, to be immediately effected at such place or at such
Shipyard or by such Ship repairers as you in your absolute discretion may
deem appropriate. Such payment by us will include all costs and expenses
of carrying out the repairs and incidental to effecting those repairs,
including, not limited to, the costs incurred in the vessel proceeding
(whether under her own steam or otherwise) to the place or Shipyard of
Ship repairers nominated by you for the repairs and irrespective as to
whether the costs and expenses be reasonably incurred by you. Should the
Shipyard or Ship repairers require a bond or other form of security
and/or guarantee to be posted prior to effecting such repairs, we hereby
undertake to post whatever form of bond or security is required by the
Shipyard and/or Ship repairer.

3. In the event that any loss of time and/or interference with the
vessel's trading (including) but not limited to any delayed departure
from port whether by missing tide or otherwise) is sustained by reason
and/or consequence of the attendance of Mr.xxxxxx onboard the vessel
and/or by reason of any damage sustained by the vessel and/or by the
cargo and/or any injury sustained by any officer and/or crew and/or third
party, sustained by reason and/or consequence of Mr. xxxxxxxx attendance
onboard the vessel, to pay to you such sum that will fully compensate you
for any such downtime losses and/or other loss and/or expense (this to
include, but not limited to, all loss of earnings, bunkers consumed and
all additional expenses incurred during the period of delay and/or the
loss of profits arising from any lost employment for the vessel and/or
any liability whatsoever which you may have towards the vessel's time
charterers).

4. In the event of you incurring any liability whatsoever and howsoever


to any third party (including but not limited to Port Authorities,
Stevedores, Pilots, Tugboats, any other vessel using the port and/or
those interested in cargo whether on board MT Pacific Condor or on board
any other vessel using the port) as a consequence of the attendance of
Mr.xxxxxxx to fully indemnify you, your servants and agents and to hold
all of you (individually or collectively) harmless in respect of any
liability, loss, damage or expense of whatsoever nature which you and/or
the vessel may howsoever sustain (including but not limited to whether by
negligence, omission and/or willful act and or otherwise).

5. In the event of any proceedings being commenced against you or any of


your servants or agents in connection with any loss and/or damage
sustained by the vessel and/or cargo and/or injury to any officer and/or
crew of the vessel and/or claim by a third party as a consequence of the
attendance of Mr.xxxxxxxx onboard the vessel, to provide you or them on
demand, with sufficient funds to defend the same.

6. If the ship, or any other ship or property in the same or associated


ownership, management or control, should be arrested or detained or
should the arrest or detention thereof be threatened, or should there be
any interference in the use of trading of the vessel (whether by virtue
of a caveat being entered on the Ships' Registry or otherwise howsoever
as a consequence of the attendance of Mr. xxxxxxxx), to provide on demand
such bail or other security as may be required to prevent such arrest or
detention or to secure the release of such ship or property or to remove
such interference and to indemnity you in respect of any liability, loss,
damage or expense caused by such arrest or detention or threatened arrest
or detention or such interference may be justified.

7. The liability of each and every person under this indemnity shall be
joint and several and shall not be conditional upon you proceeding first
against any person, whether or not such person is party to or liable
under this indemnity.

8. When construing this indemnity a wide interpretation is to be applied


and any ambiguity is meaning and/or in effect is to be resolved in favour
of the addressee(s). The contra proferentem rule of construction is not
to be applied.

9. This indemnity shall be governed by and construed in accordance with


English law and each and every person liable under this indemnity shall,
at your requested, submit to the jurisdiction of the High Court of
Justice in England.

Free Pass Agreement

To the Master of the M/T xxxxxxxx

In consideration of being allowed to follow your ship from……...…………. to ………..………..on payment


of ……..……….per day to cover meals and berth plus a nominal remuneration of ………………….on
signing of this agreement, the undersigned user of this free pass accepts the following conditions: .

1. This agreement is in every respect, including questions of shipowners' liability, to be governed by


Norwegian Law, and any dispute is to be decided by the proper Norwegian Courts to the exclusion of any
other law and any other jurisdiction.
Should for any reason proceedings be instituted elsewhere whether in rem or in personam relative to the
passage agreed herein, such proceedings are to be stayed pending the decision of the proper Norwegian
Courts, whose decision shall be final and binding.

2. The master and/or her Owners are not under the liability of a carrier to the user of this free pass. In
particular, the user assumes all risk of loss of life and personal injury, as well as loss or damage to personal
effects or baggage or other property whilst onboard and whilst embarking or disembarking.
The user expressly agrees that the Owners, Managers, Charterers, Agents, Master Mariners or other Servants
of the ship are not be under any liability whatsoever, whether statutory or otherwise, and whether or not there
be negligence on the part of any of the aforesaid in respect of loss of life, personal injury or loss of or
damage to personal effects, baggage or other property.
3. The ship is not a passenger ship and there is no warranty that the ship is fit for the carriage of passengers;
any undertaking as to seaworthiness that might otherwise exist being hereby expressly waived.

4. No guarantee is given that the vessel will proceed to ports mentioned above or along the proposed or
advertised route or otherwise howsoever, and if required the user of this free pass will disembark at any port
at which the ship may call. Thus the user has in no event any right to be forwarded to the indicated port of
destination or to claim damages or refund of expenses as a consequence of the user not being transported to
the port of destination for any cause whatsoever.
Any money paid on signing this contract to be considered as earned and not returnable in any event.

5. The user warrants compliance with all quarantine, passport and other regulations and accepts
responsibility for all extra expenses such as harbour dues, tonnage dues, light dues, fines and all other
expenses, which may be incurred by said vessel due to the fact that she is carrying passengers, provided,
however, that such responsibility be limited to a share of the ship's total extra expenses proportionate to the
number of passengers carried.

6. In case this contract in spite of the preceding agreement for one reason or the other will be adjudged under
systems of law which do not accept complete contractual freedom, the owners shall be entitled to refer to the
1974 Athens Convention on transportation of passengers so far as this convention relates to basis of liability,
burden of proof, limits of liability both in respect to personal injury as well as loss of or damage to
passengers' goods.
