THIS EMPLOYEE SERVICE AGREEMENT executed on _______ day of _____________ _______

BETWEEN

MSEWA SOFTWARE SOLUTIONS PVT. LTD. a company incorporated under the Companies Act,
1956, having it's registered office at No. 17, Innova Pearl, Koramangala Industrial Layout,
Bangalore 560095, hereinafter referred to as the EMPLOYER (which expression shall, unless it is
repugnant to the context, mean and include it's successors-in-interests, administrators and
permitted assigns);

AND

Mr./Ms. ______________, son of / wife of/ daughter of Mr. ____________, Indian, ______________,
aged about _____________years having Permanent Account Number/ Aadhar Number
______________________ , residing at ______________________________________________,
hereinafter referred to as the EMPLOYEE.

The agreement is effective from _____________________ and shall expire on resignation/


termination ( such period, the “Term”).

Employees are required to follow these Codes of Conduct in office in
addition to their assigned regular duties. The Company expects all Employees to
conduct themselves in a professional manner during their employment. All
Employees will abide by these rules & regulations and will be liable for
disciplinary actions, if found violating them in any ways.

Employment Policies

1. Probation Period
All new Employees are subjected to an “Probation Period” during their first three months
of employment. During the probation period, the company evaluates employee’s work,
performance, behaviour, attendance and other work-related factors. It’s the sole
discretion of the company to decide, after the probation period is over, whether his/her
services should be continued/discontinued. During the probation, the employee is not
entitled to any perks/ bonus given by the company. The probation period may be
extended or reduced based on an employee’s performance. The company is the sole
judge of making all evaluations.

2. Employee Classification
Depending upon the type of appointment, Employees will be placed in one of the
employment status:

a) Employee on Intern
Any individual, who is appointed as an intern, is termed as “Employee on Intern”. The
internship will be valid for a period of six (6) months in maximum, from the date of
appointment on internship. The company reserves the right to terminate the
internship, during or after completion of the internship, with or without assigning any
particular reason whatsoever. During the internship, an Intern is not entitled to any
perks/ bonus given by the company.
b) Employee on Probation
All new employees must complete three (3) months introductory period. Any
Employee under this period is termed as an “Employee on Probation”. The
introductory period is the trial period during which supervisor carefully observes and
evaluates the job performance. Employees are not entitled to the regular benefits of
the company and if necessary, benefits will be decided upon by a case-by-case basis
by management.

c) Permanent Employee
Employee who is appointed for long term duration with all the benefits and facilities
as per company’s policies is termed as “Permanent Employee”. Permanent
Employees are also scheduled to work for a predefined, limited period of time to meet
a specific short-term need, under the supervision of team’s supervisor.

3. Hours of Operation
a) Work Week
The work week consists of six (6) days; Monday through ​Saturday​, with an exception of
the holidays mentioned in office’s calendar.

b) Regular Work Day


A regular work day normally consists of approximately 9 hours of actual work in a work
day. The official working hours start from ​10:00 am until 7:00 p​m. The company
reserves the right to change the hours that constitute a regular workday.

c) Breaks and Meal Periods:


All Employees are allowed 60 minutes of Lunch Time between 1:00 PM to 2:00 PM. The
company provides two additional Minute Breaks consisting of ten minutes each for the
employees. The first Minute Break should be taken between 10:30 a.m. to 10:40 a.m.
The second Minute Break should be taken between 5 p.m to 5:10 p.m.

4. Recording Work Hours


a) All Employees should regard coming to work on fixed/notified time which includes
appearing for work no later than 10 min for the fixed time i.e. ​10:00 AM​. ​In any case
of delay or emergency situation, Employee should inform about his late arrival to
his/her reporting authority and to HR Department only through email. Verbal
communication or conversing through messages will not be accepted, hence, will be
marked leave for that particular day.

b) Log In and Log Out: Each member is expected to Log In and Log Out everytime
they enter and leave the office respectively. Each one is expected to Log Out every
time they leave for minute breaks and lunch. The timings recorded in the device will
be calculated at the end of the month, thus, supporting salary.

c) All Employees are advised to follow their login time strictly. If any Employee is found
logging beyond the allowed time frame for more than three (3) times per week, then
for every third (3) time, it will be considered as half day absence for which the pay
would be deducted from their monthly salary.

d) All Employees are required to log “in” and “out” during official working hours on the
“Attendance System”. Failure to record information correctly will be considered as
ABSENT on the particular day.

e) Any Employee coming late to work or found absent from his/her work station/desk
during working hours, without sufficient reasons or without authorization from his/her
supervisors, shall be treated as absent for that period. In addition, the competent
authority may, at its discretion, also take suitable disciplinary action against the
Employee concerned.

5. Appointment Letter
After obtaining written approval from the HR Manager/Chief Executive Officer of the
company, a new recruit will be given an appointment letter on the date of joining the
organization. The appointment letter will clearly state the date of joining, salary,
employment status and basic terms and conditions of employment. HR Department will
provide basic confirmation about the general rules and regulations and benefits of the
company at the time of handling over the letter and answer to the queries as
appropriate. However, a new recruit should be advised to carefully read the” Employee
Handbook” upon joining the organization to be familiar with the company’s policies,
rules and regulations, compensation and benefits plans etc.

All documents are required to be filed in the “Personal Record File” of the Employee.

6. Identification Badges
Identification badge with the name and photo of the Employee will be issued to
identifying them as “An Employee” of the company. If their identification badge is lost or
stolen, Employee is requested to inform the Human Resource Department.

Employees are requested to wear their identification badges, in clear at all times while
on duty.

Upon termination/resignation of employment, one must return their identification badges


to Human Resource Department.

Conditions where loss/stolen badges are reported, sum of INR 200/- will be charge
against the concerned employees.

Standards and Expectations from the Workplace

1. Safety Policy
The Company is sincerely interested in the safety and well-being of their Employees.
Company will make every effort to keep the office equipment in excellent condition and
make sure that all safety devices are working properly.

If, in spite of their efforts to ensure safe working conditions, an Employee has an
accident or becomes ill on the job, it should be reported to Human Resource
Department immediately. They will see that prompt medical attention is provided.
Compensation up to 50% of the expense due to the accident will be carried out by the
company.

2. Hygiene and Personal Appearance Policy


All Employees are expected to practice good hygiene. No strict rules or policies exist
about personal appearance; however, the Company expects discretion in wearing attire
that is inappropriate for the office and customer interaction. The company maintains a
business casual working environment.

3. Smoke/Alcohol/Drug Free Working Place

a) Smoking Policy
The Company maintains a non-smoking policy within the office. Employees should
smoke only in those areas of the building which are smoking designated. It is the
responsibility of all staff to observe and enforce the Non-Smoking Policy.

b) Alcohol Policy
No alcohol is allowed on the job or at the worksite. Furthermore, employees are
expected to come to work free of injury resulting from drinking or use of illegal
substances elsewhere, at all times.

c) Drug-free Workplace
Drugs and prescription drugs taken in non-therapeutic doses are strictly prohibited.
Employee determined to have violated this policy will be taken in to strict action
including termination of employment. Any Employee involved in the unlawful use,
sale, manufacturing, dispensing or possession of controlled substances, illicit drugs
and alcohol on Company premises or work sites, or working under the influence of
such substances, will be subject to disciplinary action up to and including dismissal
and referral for prosecution.

4. Confidentiality Policy
a) During the regular work one may be exposed to information that is strictly
confidential. Employees are strictly prohibited to use or disclose any confidential
information except as per what the job requires.

b) All employees must carefully protect and must not disclose to any third party any
confidential information belongings to the company or its customers either orally or
in documentary form.

c) No one is allowed to keep users name/ passwords confidentially for the office
system, if they are using any passwords, they are required to share it with team
members, as the computers are for their official work and in case of their absence
their computers might be required to be accessed by other members for official
work.

d) In specific conditions such as work from home, the management may permit an
employee to carry the office laptop/office related equipment/documents home.

e) Employees are not allowed to use the websites that are restricted by company
Internet user policies.

f) Employees can use company’s telephone, telex and fax facilities for private
purposes with prior permission from his/her Supervisors, Reporting Authority or
Management, without subjecting to misuse of the given facility.

g) All Employees should document for taking any office belongings (i.e.
Books/magazine/Laptop/Pen drive etc.) to their respective homes and in case of any
damage/lost that particular Employee is liable towards it.

h) Employees will keep their cell/mobile phones on Silent or Vibration mode and to
attend the calls they will have to go outside the working premises. Employees are
given liberty to listen music only in the headphone along with work in parallel.

i) Employees can attend to their personal calls but it should not disturb other
Employees around. Management will not bear if any employee is found misusing the
facility or wasting time on it.

j) Employees are not allowed to invite friends/immediate or extended family member


without the consent of the management.

5. Salaries and Related Allowances

a) Income Tax
Staffs are liable to pay their income tax on the emoluments paid by the office as per
the prevailing Indian tax rules. Non-Indians international and regional professional
staff are exempted from Indian tax pursuant to the Headquarters Agreement. Staff
members shall be individually responsible for meeting their obligations for filing of tax
returns, making tax payments when due, and for compliance with applicable income
tax laws of their home country.

b) Claims and Payments:


The right of a staff member to claim any allowances, grant or payment existing but
unpaid, shall lapse three months after the date on which the entitled arose. Claims by
staff members for entitled not received, and by Company for the refund of over
payments, shall be submitted in writing.

6. Leave Policy

At MSS Payments, each employee gets the following four types of leaves:

a) Mandatory Leave (National Holidays)​: ​All Permanent Employees will be given 8


mandatory leaves in one calendar year. Also, each will be provided with 2 floating
leaves, which one may consume or not depending on their requirements.This is not
entitled to those who are serving probation period. These leaves fall under Paid
Leaves category.

b) Sick Leave: All employees are entitled to take eight (8) days of sick leave exclusive
of company’s calendar. Sick leave will be approved only on providing the Medical
Certificate. This is not entitled to those who are serving probation period.

c) Vacation Leave: Each member has twelve (12) vacation leave each financial year.
These leaves can be taken ONLY on quarter basis. For every three months, each
member is entitled to take three leaves for that quarter. This is not entitled to those
who are serving probation period.

d) Earned Leave: this special leave is for those who have worked beyond boundaries
to achieve their targets. As a result, they earn an extra leave outside the company’s
leave policy. This leave is given to an employee who has delivered exceptionally
good projects.

These leaves will be authorized to the employee who fits the following criteria :-

i. Effective June, employees who score minimum ​90 points in Saturday Review
meeting will be entitled for one (1) earned leave in that quarter. However in
situation where an employee has a score of 100 ​and more will be entitled for
two (2) earned leaves for that quarter. This calculation applies to all the four
quarters and ends with the next financial year.

These earned leaves can not be clubbed and taken together. If the earned leave
is not consumed in the respective quarter the leave will get dissolved therein. However,
one can also use these leaves by turning them into CASH.

e) For Female Employees, six (6) months Maternity leave will be provided by the
company.

f) Under any circumstances, all the Employees should give two months prior notice
when applying for the leave.

g) Management, under any circumstances, can decline the leave request made by the
employee. If the employee, in such case, still takes the leave, strict action will be
taken against him/her.

h) Employee exceeding the mentioned paid leave is entitled with unpaid leave.
Company will not tolerate any unnecessary and frequent leave even in case of
unpaid leave. Company is authorized to take any disciplinary action against the
subjected employee.

i) Every Employee should verify their leave application form by his/her Team leader
before submitting it to the HR Department. Unless and until HR Department or
authorized person/Team Leaders issues any confirmation through official mail or
verbally for the approval of leave, the leave application will not be considered valid.

j) Negligence of work by any Employee will not be tolerable by the management.


Management shall render the Employee liable for disciplinary action.

7. Recruitment policy

a) Terms of Reference (TOR)


Each established post shall have a TOR. Requests for recruitment of new staff, for
establishment of new posts or for reclassification of existing posts shall be
considered only upon submission of appropriate TOR by the requesting
Programme/Unit. Such TOR shall be used for vacancy notices and other personnel
as appropriate.

Terms of Reference (TOR) or a Post Description for the vacant position should be
prepared by the Programme/unit concerned in consultation with the Human Resource
Department. TOR should list key responsibilities of the role as well as the
prerequisites for the position,e.g., academic qualifications experience,
computer/internet skill,proficiency in the English language, etc. Also listed will be the
term of appointment, the remuneration level and the expected date of joining.

b) Recruitment Process
Following approval by the CEO, the Human Resource head shall initiate the
procedure for recruitment selection and appointment of Employee(s) for approved
vacant and budgeted posts in the company.

c) Vacancy Announcement
Vacancy Announcements are prepared by the Human Resource Department on the
basis of an approval Terms of Reference and a request for Personnel Contract from
the Programme/Unit concerned with the recruitment. Vacancy Announcements for
core staff(local, regional and international positions) are normally placed in
appropriate newspapers and periodicals.

d) Screening and selection process:


Company owns the right for all the screening and selection procedure which is followed
by written test, online test, hands-on test, aptitude test and as per the requirement of job
description.

8. Termination of Employment

a) Voluntary Termination (Resignation):


A “Voluntary Termination or resignation” is a termination of employment initiated by
the Employees. The Employee should submit two (2) month’s adequate written notice
to his/her supervisor. An Employee wishing to resign in good standing shall submit to
the supervisor a resignation letter dated and signed stating the effective date of the
resignation. All the resignations and release date will be approved by the Chief
Executive Officer(CEO)/HR Manager.

The Employee is also required to acknowledge a release letter provided by HR


Department, on behalf of the company. Any documents to be given by the company
shall be provided only after the release date. However, the staff may brief the HR
Department about his/her requirements.

b) In voluntary Termination (Discharge)


The company may provide a written notice of termination with or without assigning
any reason whatsoever. The employment termination shall be effective within two (2)
months of the notice and such Employee should not exercise any legal action against

the company. A formal letter will be issued to notify the Employee about his
termination.

c) Termination by Mutual Consent/Administrative Discharge


After consideration and discussion, if both the parties agree that continued
employment is no longer an option, a decision regarding termination will be agreed
upon. Such termination may be regarded as “termination by Mutual consent “or an
“Administrative Discharge” with an immediate effect.

d) Rehire
Former Employees who leave the company may be considered for rehire depending
on the circumstances and provided an appropriate position is available. To be
considered for rehire, one should have resigned the company in good standing at
time of his /her termination.

e) Company may provide a written document of termination or discharge against


employees with immediate effect who are under acquisition of violating company’s rule.

9. Engagement of Interns
a) Placement Procedure
Requests for internship will be accepted by the Human Resource Department and
should be accompanied by a proposal. Programs/Units may place requests to the
Human Resource Department for interns. The applicants shall provide an indicative
list of the skills they wish to acquire and the area in which they want to enhance their
knowledge so that company can verify whether it has the expertise and the resources
for accommodating the list. Internships shall be approved by Chief Operation Officer
(COO) following recommendation of the head of the Programme/Unit, staff
concerned with adequate experience and time for mentoring.

b) Obligation of Company
i. Company reserves the right to decide whether or not to provide a minimum
remuneration to the interns to enable them to cover the basic cost of living and
expenditure related to their work. A supervisor from among the professional staff
shall be assigned as mentor to provide guidance and supervision to the intern
while at company, and shall be obliged to meet at least a month to review the
intern’s progress.

ii. Company shall actively involve the interns in planning and implementation of
projects in which they are engaged and treat them as team members. The
interns shall be included in all professional and social programs of the company
as per regular Employees.

iii. A certificate shall be provided to the interns on completion of their internship


specifying the areas of specialization they have received during their team with
company.

c) Obligation of Interns
i. The interns shall not view their engagement as permanent and should not place
demands beyond the framework of the contract agreement.

ii. The interns shall follow the guidance provided by the supervisor and carry out the
assignments given to him/her.

iii. They shall not engage in any business, personal or otherwise, during working
hours.

iv. Enough time shall be s​et aside for literature review in releva​nt fields.

v. A final report shall be prepared and submitted to company and their parent
institution upon completion of the internship and be invited to give a presentation,
at least to the Program/Unit staff with whom they have been working.

General Employment Policies

1. Equal Employment Opportunity

In this regard, we will take continuing action to ensure that knowledge, skill and potential
of all Employees are fully utilized throughout the company to the fullest extent. Any
incident or situation that you believe involves discrimination should be brought to the
immediate notice of the supervisor.

2. Policy against Harassment:
Company seeks to maintain a workplace free of any form of discriminatory harassment
and will not tolerate any form of intimidation or harassment whether physical or verbal of
Employee based on race, color, sex, age, national origin, disability or marital status.

This principle applies to all Employees, and anyone who violates this policy will be
subjected to disciplinary action up to and includes termination from employment.

Any Employee who feels that she /he is being harassed should immediately notify
his/her supervisor. The company will thoroughly investigate all such claims with due
regard for the privacy of the individual involved.

3. General provisions
a) Employment Records
Employment records and other related documents of all staff from time of
appointment to separation shall be confidentially maintained by the Human Resource
Department. It shall be the responsibility of every staff member to inform the section
in writing of any change in the staff member’s record, e.g. change in address,
acquisition of academic degree, beneficiaries, etc. for inclusion in the Personal File.

b) Proprietary Rights
Works of photographs, software, database, etc. that are a direct result of work or data
produced at company or company’s work or data produced by staff either separately
or in collaboration with others, on assignment from company shall be the copyright of
company either exclusively or jointly in the case of partnerships with others.

c) Alumni
Company will, as a matter of course, maintains a register of ex-company’s staff in the
form of Alumni.

4. Conflict of interest policy

a) Conflict of Interest
i. A staff member of company shall not participate in activities whether within or
outside the company, that are incompatible with the culture and core mission &
value of the company or are in competition with the company.

ii. As staff shall not engage in any activities that might interfere with the discharge
of his/her assigned duties or transactions that reasonably might affect the
judgment exercised by the staff member on behalf of company in an adverse
manner.

iii. A staff member shall not behave in such a manner that discredits the reputation
of company unfairly.

iv. In case of conflict, on any employment or work related matter, it will be the sole
discretion of the authority to give the final verdict. The verdict passed will be
considered as the final judgement and should be accepted in all circumstances.

v. in circumstances where an employee violates the laws or his/ her actions


disrupts the culture of the company, or refuses to accept the verdict, he/she may
be terminated, with/ without any prior notice.

b) Personal Relationships
i. A staff member who is in the performance of his/her duties finds that his/her
personal relationship with other staff members might affect his/her judgment and
such a relationship can unfairly influence his/her decisions in favor of or against a
staff member shall make this unknown in writing to the Human Resource
Department. The Human Resource Department shall take immediate action to
avert possible conflict of interest which may or may not be in the interest of the
individual.

ii. A staff member may not be engaged in the recruitment process of a position with
the office for which his/her relative has applied.
