1. (i) Explain the circumstances in which a company may be wound up by the Tribunal on the ground that it is
‘just and equitable’ to wind up the company. (07)
(ii) State with reasons whether the following are ‘debts’ for the purpose of section 271(1) (a) of the
Companies Act, 2013. (08)
(a) Contingent or conditional liability.
(b) Non-payment of dividend declared.
(c) Non-payment of salary to an employee.
(d) Non-payment to a creditor of disputed liability.
2. (i) Discuss in detail, the provisions of the Companies Act, 2013 with regard to holding of an annual general
meeting by a company. Also state the business that may be transacted at such a meeting. (12)
(ii) What is the quorum required for a general meeting in the case of- (03)
(a) a public limited company;
(b) a private company; and
(c) an adjourned meeting.
3. (i) What points will the Tribunal bear in mind while sanctioning a scheme of compromise and
arrangement? (7.5)
(ii) Explain the provisions of the Companies Act, 2013 as to the acquisition of shares of dissenting
shareholders in case of reconstruction and amalgamation. (7.5)
4. Differentiate between current account and capital account transactions as per the provisions of FEMA, 1999.
What are the permissible capital account transactions in relation to a person resident in India and resident

5. Dominance of an enterprise is to be assessed with reference to the relevant market, either geographic,
product or both. Discuss.

2. A trade mark like CANON is highly arbitrary thus carrying a strong degree of
distinctive indication regarding cameras? Kodak, a competitor decides to use the term
in a generic sense, in their advertisements with the tag line, “don’t shoot with canon,
and click it with Kodak”. Is it infringement? Note: Both KODAK and CANON are
registered trademarks in India
3. Explain the concept of originality with reference to India. Discuss the following
problems regarding the same.
a) A spends his whole time exploring the deserts of Thar. He incidentally discovers
a balancing stone, a mystic stone in shapes determined by its elements. With due
care and attention regarding light and angles he clicked its photograph and
publishes the same in a magazine. A week later a leading newspaper asks A to
disclose its location so they can send their photographer. Newspaper anyway
goes ahead and publishes A’s photograph. In a suit, the newspaper argues that A
did not independently create it, he only discovered it hence no copyright
violation. Has A met the originality requirement?
b) B, a lepidopterist, collects all the information regarding butterflies. In her
thorough study including doctrinal and field work she writes as many facts as she
can. She arranges the same in several categories, thereby creating taxonomy of
butterfly information. She publishes the work. Is the work copyrightable?
4. Explain whether the following will be protected by Section 52 of the Copyright Act,
1957.A course pack created for law students of a University for private circulation
and only for non commercial purposes as per the prescribed course curriculum of the
University. The course pack consists of substantial extracts from 10 different books
each of which is copyrighted.
5. Discuss the permissibility of parallel imports in India as per the (a) The trademarks
Act,1999 (b) The Copyright Act,1957
6. Discuss the interface of geographical indication and trademark with regard to the ITC
case.

favour of Ashok and subsequently sold A property to Mukesh. Harish made default
in making the payment of loan so Ashok proceeded against A only for repayment

has been contested by the Mukesh. Give the final judgment in the case.
