INTRODUCTION

The Human Resources are the most important assets of an organization. The success or failure of
an organization is largely dependent on the caliber of the people working therein. Without
positive and creative contributions from people, organization can not progress and prosper. In
order to achieve the goal or the activities of an organization, therefore they need to recruit
people with requisite skills, qualification and experience. While doing so, they have to keep the
present as well as the future terms, conditions, duties and benefits.
Employee Manual aims to define the general rights and obligations of both the organization and
its employees and provides information to employees regarding the human resource guidelines,
employee’s benefits, the organization policies and values, vision and mission; hereby ensuring
good working conditions, organization efficiency, discipline and employee’s legal right.
ABOUT EMPLOYEE MANUAL

EMPLOYEE MANUAL aims to define the general rights and obligations of both the organization and its
employees and provides information to employees regarding the human resource guidelines, employee’s
benefits, the organization policies and values, vision and mission; hereby ensuring good working
conditions, organization efficiency, discipline and employee’s legal right. This book applies to all formal
employees in WMC who have signed a working contract with the organizations.

This Employee Manual is designed to acquaint you with the WACHER MERTROARK CHEMICAL PVT LTD
(herein after referred to as either “WMC” / organization) and provide you with general information and
brief overview about employment guidelines and policies of WMC. The employee should read,
understand, and comply with all provisions of the manual. The employees are encouraged to familiarize
themselves with the content of this book, for it may answer many frequently asked questions concerning
employment with WMC.

No manual can anticipate every circumstances or questions about policy. It is not an employment contract
and is not intended create contractual obligations of any kind. In order to retain necessary flexibility in
the administration of policies and procedures, WMC reserves the right to interpret, deviate, supplement,
change, or eliminate any of the guideline of the policies and/or benefits described in this book, other than
this policy of employment, which will remain in place at all times. The Human Resource Department as a
process owner is authorized to communicate applicable changes from time to time.
How Do Employers Use an Employee Manual

Employers use Manual to provide a consistent set of policies and procedures. They also
use it to describe working conditions and the workplace behavior and contributions they
expect from employees.

Employers also use the policies in an employee manual to provide the roadmap to the
ethical and legal treatment of employees. They protect themselves from lawsuits, such
as harassment claims, wrongful termination claims, and discrimination claims. Employee
manuals generally contain a code of conduct for employees that set guidelines around
appropriate behavior for the individual workplace.

They believe that by putting forth a shared approach to addressing workplace issues, they
have the best potential to create a harmonious, fair, employee and employer supportive
workplace.
What Employee Manuals Do for Employees

With a well-written, comprehensive manual, employees always know what is expected of


them at work. They know how their employer will address and apply the policies and
procedures of the business and what they, as employees, can expect from the employer.

They know how their employer will address problems and complaints. They have a
reasonable expectation that employees with similar issues will receive similar treatment.
They share a knowledge base with the rest of the employees, too, and know what is
important for the business.

Employees like seeing the benefits and compensation that they are entitled to receive
spelled out. Finally, the manual serves a quick reference guide to a great deal of
information that employees need at work.
Legal Issues about Employee Manual

Employees are expected to review and become familiar with the contents of the employee
manual. A majority of employers ask employees to sign a statement to demonstrate that
the employee has read the employee manual and agrees to abide by the contents.

This signed document acknowledges that the employee understands and has received a
copy of the employee manual.

Additionally, the statement contains a disclaimer, similar to the disclaimer in the actual
employee manual, that the employee understands that the contents are simply policies
and guidelines, not a contract or an implied contract with employees.

Further, the employee manual reserves the right to the employer to change the policies
and procedures, and thus the contents of the manual, at any time, with or without notice.
(Smart employers always give employees notice so as not to affect employee
morale adversely, but they're covered by this statement.)

Finally, most employers have a complete and updated copy of their employee manuals
online on the company's proprietary website or Intranet, for the convenience of employees.
RESEARCH METHODOLOGY
“Research Methodology” is a term made up of two words, research and methodology. Research
means search for knowledge’. It is a specific and systematic search for potential information on
particular topic. It is an art of scientific investigation and enquiry.

For making employee manual research is done by questionnaire method(in which various
questions were asked to different group of Employees and according to their we formulated
some practices into policies), case study(I have seen studied employee manual of BHEL to get
basic idea of employee manual and learn how an organization actually works efficiently and
effectively) and small group study of random behavior(in which we observed different group of
people and according to their convenience and organization goal some policies are formulated).
Research has also some secondary data which has been collected by someone else and I used
those secondary data in my report due to lack of time. I also gathered some information from
different magazine, journals etc., related to WMC in google.
OBJECTIVE OF STUDY

Gathering information of company policies:


It helped me talk with different employee of the organization, take their views regarding
different formalized and vermal policies which made me understand of work culture of WMC.

Comparison of different policies:


Comparison of different policies helped me to relate different policies, understand how an
organization work in a proper manner.
Making final draft of policies:
It helped me to develop my technological skill, thinking ability and my communication skill.
Incorporate existing practice into policies:
There were many existing policies which were not formalized but followed by majority of
member. I formalized those practices into policies for clear understanding of employees.
Worked on Competency Mapping:

I also worked on competency mapping. For every work the employees are tested for better
performance and to check that the employees are suitable for the particular job or not.
PROFILE OF THE ORGANIZATION
Wacker’s Metroark Chemicals is an Indo German Organization (MNC) which specializes in
manufacturing of Silicone and related items. Wacker Silicones is one of the largest silicone
manufacturers worldwide with over 3,000 highly specialized and innovative products. The
division’s portfolio ranges from silicone fluids, emulsions, resins, elastomers and sealants to
silanes, silane-terminated polymers and pyrogenic silica. These stand out due to their
significant value-adding potential – enhancing both the benefits and performance of
customers’ end products. Wacker Silicone products find application in such sectors as
construction, chemicals, cosmetics, textiles, automotive, paper, electronics and medical
engineering.

In 1998 WACKER group, a German MNC and Metroark Pvt. Ltd, an Indian Company, made
a silicones joint venture named Wacker Metroark Chemicals Private Limited. It is a fully-
consolidated 51% subsidiary of WACKER, with its registered office and a manufacturing unit
near Kolkata, West Bengal and branch offices in Delhi, Mumbai, and Chennai, as well as a
liaison office in Dhaka, Bangladesh.

As early as 1999, the site began production of various silicone products, primarily for the textile
and personal care industries. The present production capacity exceeds 30,000 metric tons
per year. The facility also houses a state-of-the-art Competence Centre for fabric, garment
and personal care applications. The plant’s Environment Management System and Quality
Management System are certified by international agencies in accordance with ISO 14001,
9001 and 22716 (GMP guidelines). The Organization successfully cleared URSA Audit in
2016.
COMPARISION OF EMPLOYEE MANUAL OF WMC AND OTHER BIG
ORGANIZATIONS

While working on Employee Manual of WMC I have done many researches and I was provided a
sample Employee Manual of BHEL (Bharat Heavy Electricals Limited), was an old edition. One
thing I have noticed the employee manual of BHEL was more formalized in comparison to WMC.
The employees were more facilitated. There were Narrow Span of control which is similar to
WMC. No of policies were more in comparison to WMC which made me understand the culture
of BHEL like Work specialization departmentalization, Chain of command Span of control,
centralization and decentralization, formalization etc. one more thing I have noticed in BHEL
employee manual is that after every policies, policies were linked with the Act related to those
policies in Indian constitution but in WMC employee manual ACTs were in between the policies.

Business Ethics and Conduct

The successful business operation and reputation of the Company is built upon the principles of fair
dealing and ethical conduct of all employees. Building a reputation in terms of integrity and excellence
requires careful observance of the spirit and letter of all applicable laws and regulations, as well as a care
and regards for the highest standards of conduct and personal integrity.

In general, the use of good judgment, based on high ethical principles, must guide all employees with
respect to lines of acceptable conduct. If a situation arises where it is difficult to determine the proper
course of action, the matter should be discussed openly with the reporting manager and/ or the HOD.

Compliance with the policy of business ethics and conduct is the responsibility of every employee.

Disregarding or failing to comply with this standard of business ethics and conduct could lead to
disciplinary action up to and including possible termination of employment.

WHY WMC

The Group's system of integrated production is like a functional loop. WMC guarantee customers
seem less control and coordination of the entire material loop from raw materials to the end
product. The system is based on the principle of multiple usage of existing raw materials – such
as the use of by-products obtained during one production process as feedstocks for parallel
production processes. In this highly integrated material loop, we use custom chemical processes

CONSTRUCTION POLYMERS:
Polymer binders have revolutionized the construction and paint industry more than once. WACKER has

PERSONAL CARE:
Silicones have been used in Beauty care for a long time. They help with personal care, beautify skin and
hair, and even make the cosmetic product itself more attractive. They confer smoothness in creams,
make hair softer and easier to comb, and improve spread ability of natural oils. The uniquely soft feel that
silicones confer on skin and hair is well known, and the diverse effects are often obtained with just a small
addition of silicone.
Consumers judge shampoos & conditioners initially by the
“washing experience”. What feels good, must be good. Silicones from WACKER help modify formulations
in such a way that washing alone is a sensual experience, giving dry hair a silky soft feel that hardly any
other additive can match.
Provided, of course, it was engineered by specialists in the field. The Beauty Industry is not “One Size
Fits all”. Differing skin and hair types pose a challenge to even the most versatile material formulations.

ENGINEERING SILICONES:
Silicone rubber differs from other elastomers in its unparalleled property range. At Wacker, we develop,
manufacture and market silicone products for industrial applications in the market segments of energy,
electronics, automotive, healthcare and general industrial applications with special emphasis on silicone
elastomers.

Whether its soft and yet moisture absorbent towels, non-iron shirts, fragrant laundry, high quality woolen
sweaters or water repellent functional jackets – our integrated textile finishing solutions lend garments
and fabrics unique, tailored properties.
FEATURES OF THE PRODUCT

WMC basically produces silicones related products like Silanes, Silicates, Siliconates, Silanes

Silicones are particularly stable and exceptionally resistant to such influences as heat and
electromagnetic radiation. Above all, silicone fluids from WACKER are ideal for use in all kinds of
industries – cosmetics, pharma and textiles, to name but a few.
silicones are much more stable and more resistant to diverse influences.

Silanes:
Organofunctional silanes are compounds that combine the functionality of a reactive organic group with
inorganic functionality in a single molecule. This special property allows them to be used as molecular
bridges between organic polymers and inorganic materials

Silicates:
Silicates are not silicones, since they are derived from oligo silicic acids. They differ by their content of
residual alcohol groups. Further curing takes place by the addition of catalysts, such as sulfuric acid.
Silicates include all salts and esters of silicic acid.

Siliconates:
Potassium methyl siliconate is present as a highly alkaline aqueous solution. Diluted with water, it is used
for in-plant water-repellent impregnation of heavy clay products such as roof tiles, floor tiles and flower
pots. After the water has evaporated, the potassium methyl siliconate reacts with atmospheric carbon
dioxide (CO2) to form K2CO3 and the water-repellent active agent poly methyl silicic acid.
Silanes:
As adhesion promoters, organofunctional silanes provide better anchorage of coatings, adhesives and
sealants to a range of different substrates. In surface modification, they optimize compatibility and permit
the chemical bonding of inorganic fillers to organic polymers. Organofunctional silanes are used as curing
agents for organic polymers, for example in moisture-curing adhesives and sealants or paints and coatings.
In addition, vinyl-functional silanes are used for crosslinking polyethylene, particularly for manufacturing
heat-resistant pipes (for example, for drinking water pipes or underfloor heating) and as PVC substitutes
for insulating cable sheathing.

Silicates:
Silicates, such as silicate ester, are used in stone conservation. The addition of this binder stabilizes the
structure of stone damaged by weathering. The silicates used for stone strengthening are introduced into
the construction material by immersion, and react with the capillary water of the pores. Silicate ester,
particularly ethyl silicates, also have a proven track record as binders for zinc-rich coatings.

Silicone fluids:
Silicone fluids are transparent, tasteless and odorless liquids with no known harmful effects. Their
viscosities lie between 0.65 and 1,000,000 mm2/s depending on the type. Since there are only
very weak intermolecular forces between the individual methyl silicone chains, they have a liquid
consistency over wide ranges of their molecular weight.

SILICONE RESINS:
Silicone resins are classified as organopoly siloxanes and are an irregular three-dimensional
network or principally tri or tetrafunctional units. Thanks to the high Si-O bond energy, the various
organopolysiloxanes are very stable. The organic substituents bonded to the silicon atom
additionally determine important macroscopic properties.
SILICONS RUBBERS:
Silicone rubbers can be converted into silicone elastomers by vulcanization (curing). They are
classified according to the curing method, the viscosity of the base polymer, and whether they
cure at high or room temperature.

COMPETITOR

1. Dow Corning Corporation:

Dow Corning markets over 7000 products include various sealants, adhesives, rubbers,
lubricants, silicon oils and solvents. Around 2,100 of these are available through the Dow
Corning online-only distributor Xiameter, including fluids, gels, resins. The range of industries
targeted by Dow Corning products spans from electronics and automotive to construction,
healthcare and others. In recent years, the company has expanded production of solar cells,
particularly through its majority stake in Hemlock.

2. Evonik Degussa GmbH:

It employs about 34,000 people and is one of the world's largest producers of specialty
chemicals. It includes six business units: Advanced Intermediates, Consumer Specialties,
Coatings & Additives, Inorganic Materials, Health & Nutrition and Performance Polymers.
Evonik Industries united the business areas of chemicals, energy and real estate of RAG,
while mining operations continue to be carried out by RAG. Since then, the energy and real

SOME POLICIES

1. THE EMPLOYMENT POLICY:

a) Selection and Recruitment:

Selection and recruitment of Employee shall be made on an open competitive basis in


accordance with the needs of the Management. Recruitment and Selection in the
Company shall be guided by the policy laid out as per the Recruitment Policy.

b) Equal opportunity:

WMC provides equal employment opportunity to all qualified persons without


discrimination on the basis of age, sex, race, disability, marital status or religion in
accordance with applicable local, state and national laws and regulations.
All employment and promotion decisions will be based solely upon individuals’
qualifications, experience, prior contribution and demonstrated capacity to perform at
higher or improved levels of performance and will be in accordance with the principle of
equal employment opportunity. WMC will take whatever affirmative action is necessary
to attract and retain qualified persons.

2. PROBATIONARY PERIOD REVIEWS:

All new employees will serve six months / one year (as the case may be) probationary period to
ensure both Company and the employee are happy with a permanent commitment to the role.
Managers should engage new employees in informal performance feedback regularly and have
specific meetings to discuss progress after one and two months respectively.

3. UNIFORM AND SHOES ENTITLEMENT POLICY:

It is the Company's policy to provide safe and comfortable clothing to Employees appropriate to
their work conditions to ensure smooth and efficient operations.
The objective of this policy is to present or create a professional or identifiable appearance for
customers, suppliers, and the public; to promote a positive working environment and limit
distractions caused by outrageous, provocative, or inappropriate dress; and to ensure safety while
working.
4. INFORMATION TECHNOLOGY POLICY:
The policy establishes a framework and describes the standards that users are expected to
observe when using these facilities for email, and ensures that users are aware of the legal
consequences attached to inappropriate use of the facilities.

Keeping in mind the business requirements, various IT equipment such as Mobile Phones,
Blackberry, Camera, Laptop, Projector, USB Sticks and / or above equipment are quite often
entrusted by the Company to some of their employees.

In such a case it automatically imposes a responsibility on the employees for the security and safe
custody in the course of their usage of the IT equipment.

5. Transfer and Reassignment Policy:


An employee may be transferred, assigned from one department, location, branch to another or
from one company, subsidiary or associate company to another, existing now or in the future, in
India or abroad.

6. Relocation policy:
Relocation process is intended to provide guideline for employee relocation. This policy is
designed to enable the employee to relocate himself/ herself in family as economically and
conveniently as possible.

7. RETIREMENT AND RESIGNATION POLICY

The retirement age in the Company is 60 years. Extension of service beyond 60 years of age by
means of any contract will not be ordinarily permissible.
8. PERFORMANCE APPRAISALS POLICY:
Performance appraisal policy is fundamental to managing and improving the individual performance
and the achievement of the company’s objective. The aim of the policy is to link the organization
priorities and targets with the work program, performance standard and career development to
employee.

9. LEAVE POLICY:

 Casual Leave:
All persons are entitled to a casual leave of 7 days a year, subject to maximum of 3 days in a
calendar month till the limit of casual leave is available. Any excess of 3 days in a month will be
considered as leave without pay.
 Earned / Privilege Leave:
For every 16 days of work there will be 1 earned leave subject to a maximum of 15 days a year.
This leave can be accumulated for a maximum of 2 years, i.e. 30 days.

Leaves accumulated beyond 30 days will not be carried forward and will have to be encashed.

 Sick Leave:
Employees covered by ESI will get benefits as per ESI scheme. Employees not protected by ESI are
entitled to a sick leave of 7 Days a year.

Absence for 2 days and more on sickness ground will have to be supported by a medical certificate
from a panel Doctor in case of ESI covered employees, and from a Registered Medical Practitioner
in the case of Non ESI employees.

 Maternity Leave:
Confirmed female employees who are not covered under ESI will be eligible for a maximum of 26
weeks of paid maternity leave, as per Maternity Benefit Act.

10.Loan policy:

The loan policy in WMC has been proposed to extend help to employees during their unusual
financial crisis.

11.Mediclaim policy:

The Mediclaim benefits extended to employees serves them on emergency providing immediate
financial aid to bear on their medical hardship. WMC has been consistently subscribing to Group
Corporate Mediclaim Policy (CGMP) ensuring fundamental medical support during
hospitalization. The policy has been instrumental laying down guidelines that employees have to
refer to when they put across Mediclaim request before organization.

12.TRAVEL & ACCOMMODATION:


All staff should adhere to the travel and accommodation policy when travelling on Company business.
The Company recognises business travel is generally an inconvenience and seeks to make such
inconvenience more comfortable at a cost that is appropriate for the Company’s size and cash flows.

13.INTERNATIONAL TRAVEL POLICY:

The international travel policy which applies to all regular employee of WMC undergoes changes
pertaining to eligibility clauses. This change in eligibility has been made effective to bring in parity
universally within Wacker group.
14.LEAVE TRAVEL ALLOWANCE POLICY:

The objective of the Leave Travel Allowance (herein after referred to as LTA), Policy is to provide
an opportunity to the employees and their families to have some relaxation by visiting a place of
their choice and to compensate expenses incurred towards the same.

15.CAR FUEL REIMBURSEMENT POLICY:

To reimburse the vehicle costs incurred by employees using their personal transport for business
purposes including daily travel to workplace.

The fuel prices have increased drastically which should lead to the revaluation of the fuel
reimbursement rates.

16.PICK AND DROP POLICY:

The purpose of this policy is to facilitate easy transportation of staff of the company. Many
employees travel from far end of the city to the plant every day and therefore in an attempt to
make the daily commuting to plant more comfortable the organization provides pick & drop
facility to employees. This benefit helps employees to reach office without much hassle.

17.WORKER’S COMPENSATION:

This policy witnesses that if any time during the period of insurance any employee in the insured’s
immediate service shall sustain personal injury by accident or disease arising out of and in the
course of his employment by the insured in the Business and if the insured shall be liable to pay
compensation for such injury either under.
CSR ACTIVITIES

WMC also work on some CSR activities like:

SHARE MARKET POSITION
Wacker Chemical AG’s largest shareholder is Dr. Alexander Wacker Familiengesellschaft mbH,
Munich. It holds over 50 percent of the voting shares in Wacker Chemical AG (2016: over 50
percent). Blue Elephant Holding GmbH (Germany) once again had no voting share changes to
report in 2017, with its holding in Wacker Chemical AG remaining at over 10 percent (2016: over
10 percent).
According to our shareholder analysis (December 31, 2017), the number of shareholders in North
America continued to decrease during the year. In December 2016, the level of US-held shares
was 29 percent. A year later, it was 25 percent. Canadian shareholders were no longer
represented (2016: 5 percent). The proportion of German shareholders was stable at 31 percent
(2016: 31 percent). Our strongest shareholder growth in 2017 came from the UK, where investors
held 20 percent of the shares (2016: 15 percent). By comparison, shares held by investors from
the rest of Europe – excluding Germany and the UK – increased slightly, from 20 to 21 percent.
In 2017, a further 3 percent of shares was held outside of Europe (2016: 0 percent), mainly due
to increased interest among Australian investors.
