I. 说明 Description：
1、 喜马拉雅航空公司聘请的信永中和会计师事务所正在对本公司财务报表进行审计，根据
中国注册会计师审计准则的要求，我们需要获取关于收入和成本更多的信息，以满足出具审
计报告的要求。
The accounting firm ShineWing CPAs hired by Himalaya airlines is now working an audit on the
company's financial statements. According to the requirements of China Certified Public
Accountants Auditing Standards, we need to obtain more information about revenue and cost to
meet the requirements of issuing audit reports.
2、 基于上述原因，我们需要访谈贵公司已获取相关信息，同时我们附上喜马拉雅航空关于
此次访谈的授权书，更多信息见授权书文本。
Thus, we need to interview your company to obtain relevant information mentioned above, and the
authorization letter of Himalaya airlines for this interview is in the attachment, please find it for
your reference.

1. 是否有额外的代理费，若有, 为什么要支付额外的代理费。何时向喜航申请的此额外代

理费，是否与喜航签订合同？是否与喜航关于此代理费有往来邮件（若有，需提供）？

Have you ever received supplementary commission from Himalaya?

Answer:

1) Yes, GSA has received and applied for two supplementary commission in December 2017 and

January 2018 respectively.

2) The reason why did GSA ask for this commission was to pay for commission to their subagents.

3) No contract signed with subagents.

4) Commission receipts issued by subagents or payment receipts to subagents？ Cannot be

provided since these were the internal documents of GSA

5) Contract signed with Himalaya Airlines to supplementary commission, and supporting

documents: Yes, see attachments.

6) Why paid the supplementary commission twice (800,000.00 was paid firstly and then

88,357.00)?

As the balance of bank account belonged to Himalaya was not enough to pay the incentive as

of December 31 2017, the remaining incentive had to pay next month after December 2017.

2. 喜航在吉隆坡当地开立了自己的账户，该账户的实际控制人是谁，为什么收入直接划入

喜航账户但是支出却需要代理代为支付，然后再由喜航转入当地账户后转给总代。

As we noticed that Himalaya has opened its bank account here, who is the person controlling this

account? Why the revenue is deposited in this account but expense is paid by you？ The expense

then will be paid by Himalaya’s bank account here.

Answer:

In June 2018, Himalaya opened its own account in Maybank. Two persons are able to control the

bank account. One is Umesh V.S., to prepare the payment, and another is Sunil Dahal, to approve

each payment prepared by Umesh V.S.

After June 2018, all transactions including deposit and expense are received and paid by Himalaya’s

own account, no transaction is proceeding by GSA’s bank account.
