DRAFTING CONTRACTS
Nasser Malalla Advocates and Legal Consultants, we have paid great attention to this field, starting from listening
carefully to the client to understand his point of view and to know about his fears and the smallest details in order
to draft contracts accurately and lawfully in order to prevent the occurrence of any problems, guarantee the rights
of the contracting parties and to arrange and clarify their duties and obligations without confusion or ambiguity.

ARBITRATION
Arbitration is known as the most ancient, effective and fastest tool in resolving various complex issues between
different parties. The concept of Arbitration is a form of alternative dispute resolution outside the court process.

clients in the Dubai International Arbitration Centre, Dubai financial center and Islamic arbitration center arbitration
matters such as real estate, contract, commercial disputes etc..

LAW OF BANKRUPTCY
The Bankruptcy law as per decree no.9/2016 aims Avoiding bankruptcy and liquidation of the debtor’s properties,
seizing them, or selling them in the public auction to enable the debtor to arrange his financial matters, restructur-
ing his company, organizing his affairs and commerce that in turn shall help him in paying his debts within deter-
mined period and continue his commerce so that this process shall not cause prejudice to any of the equation parties
whether the debtor or the creditor, and the trader shall not have to escape or hide from the debtors.

This purpose is what we sought to at Nasser Malalla Advocates and Legal Consultants, as we try our best to keep
rights of all parties especially our clients through conducting direct negotiations with the creditors, holding serious
and purposeful meetings to join parties points of view, provide serious and effective solutions that keep rights of
each party, then document such conditions and sign them, or resort to competent courts to apply the suitable law
according to status of the client whether creditor, or debtor, whether plaintiff or defendant. Our office previously
represents several clients in bankruptcy cases and scheme of composition.

TRADE MARK REGISTRATION


Nasser Malalla Advocates and Legal Consultants is a licensed law firm which is registered at the Ministry of Economy
in the United Arab Emirates. It registers trademarks as it reserves the rights of its clients through registering their
trademarks and trade names in order to protect them from abuse or misuse unlawfully or inappropriately in a way
that may harm the trademark or its owners.

In addition, we attest and reserve copy rights, intellectual property and the author’s rights pursuant to federal law
no. 37 for the year 2002. We take all the legal procedures to prevent infringement of the trade name or the trademark
owned by our clients in order to protect their rights and efforts which they have transmitted through the years to
make their trade names and trademarks popular, reliable and trustworthy.

NASSER MALALLA
Owner / Founder
Advocate/ Nasser Malalla is an Local advocate holding a bachelor degree of law and police sciences
from Dubai Police Academy 1999, since then he is practicing the legal profession in the UAE at all types
of courts with all degrees. During these years, he has acquired a great experience in all types of laws and
lawsuits (commercial, civil, labor, penal, shari’aa, bank cases, compensation cases, insurance cases,
traffic accidents and injuries, real estate and rental claims, cases related to maritime and aviation laws,
cases of international disputes and arbitration cases).
Advocate/ Nasser Malalla has worked for eight years in Dubai Police, which has enabled him to make a great base of clients and
relations in the UAE. He is enjoying a good fame in his career which has enabled him to gain the trust and respect of his clients
as well as people working in the legal field. He puts all these accumulated experience and trust over the years at the disposal of
its clients and serves their cases, interests and business. Through this work, he has established many legal principles through
numerous appeals that he has filed at the Court of Cassation in Dubai.

HAYAM AL ZAROUNI

Advocate/ Hayam Al Zar’ouni is an Local lawyer who has acquired a certificate of law from Sharjah
University with a “Very Good” grade in 2007. She has worked as a judicial trainee at the Ministry of
Justice for one year, and since then she has practiced the legal profession from 2009 till date.
Advocate/ Hayam Al Zar’ouni is entitled to appear before UAE courts, investigation centers, Public
Prosecutions and police stations. She has acquired numerous experiences in all fields of law through her
daily presence at the said authorities, exposure to cases and lawsuits, writing memos and pleading
before all types of courts.
SAMER
Partner
Samer is a Jordanian National and has solid experience in the area of Litigation, Banking & Finance. Immediately prior to his role
at Nasser Malalla, Samer was a Partner at a leading UAE law firm and has held the position of a senior legal counsel at Dubai
Islamic Bank PJSC (the world's first fully-fledged Islamic bank) where he managed, led and monitored the implementation of all
the legal projects in the bank.
Prior to joining Dubai Islamic Bank, Samer held the position of a Manager of the Legal Department at Dubai Bank PJSC, where
he played a vital role in managing and protecting the bank's interest and legal risks pertaining to third party legal transactions
and relationships.
Samer's dynamic practical experience with Dubai Islamic Bank and Dubai Bank encompasses the structuring of many Islamic products including Sukuk where
he worked alongside many different and eminent Shariah scholars. Samer brings a breadth of diverse legal experience including working in private practice
in a local law firm in the UAE, in a prominent government organisation and leading telecommunication company in Jordan where he provided advice and
legal opinions on civil, commercial, labour, corporate, property and litigation matters and handled several large legal transactions.
Recent work includes:
• advising a well-known GCC company on a major cross border litigation matter; and
• advising a well-known GCC company on various merger and acquisition matters & bank facilities restructuring.

JAVID
Partner
Javid is a British national and was admitted as a member of the Law Society of England & Wales in 1996*.
On qualification, Javid worked in the Banking & Finance departments of CMS Cameron McKenna, a leading international firm
which was then followed by Morgan Cole, a leading UK firm.
Javid has extensive experience in the area of Banking & Finance having acted for banks, local government public bodies,
finance companies, corporate borrowers and a range of other commercial and corporate clients. Javid has also acted for
insolvency office holders in recovery matters. His experience includes advising lenders and borrowers on bi-lateral transactions,
security documents and structures, acquisitions, management buy-outs and general secured lending. Javid has advised on
sales of business assets by receivers and liquidators together with advising administrators on placing of companies into administration.
Javid has been living and working in the UAE for nearly 7 years. Immediately prior to his role at Nasser Malalla, Javid worked in leading UAE law firms, during
which time he concentrated on financial services and financial regulation where he advised both local and international institutions on all aspects of regulated
financial activity and financial business. Javid's practice also includes advising UAE and DIFC based fund operators in relation to both public and private funds.
Recent work includes:
Successfully advising various DFSA regulated entities in connection with various supervision and enforcement notices dealing with, inter alia, lifting of suspen-
sion of financial services activities and representing an entity with requests for compulsory interviews during enforcement investigations before the DFSA;
Successfully advising a DFSA regulated entity throughout its insolvency and withdrawal from the DIFC;
Successfully advising and assisting the property division of a well known UAE Bank on arbitration proceedings in defending a significant claim at the Dubai
International Arbitration Centre; and
Advising and assisting a well-known GCC company in an ICC Arbirtration.
