AGREEMENT TO INDEMNIFY

This Agreement to Indemnify is made and executed at Bangalore, on the _______ day
of November, Two Thousand and Eighteen, (__.__.2018):

M/s.GOOD EARTH ECO DEVELOPMENTS PVT LTD, a Company incorporated


under the provisions of the Indian Companies Act, 1956, and having its office at
#9,10 & 11, 2nd Floor, “TARANA” Good Earth Malhar, Kambipura, Kengeri,
Bangalore – 560 074, (PAN AADCG8147J) represented herein by its Authorized
Signatory, Mr. Parthasarathy. S (hereinafter called the “First Party” of the First Part.

IN FAVOUR OF

Mr. ___________, (hereinafter referred to as the “Second Party” of the Other Part.

First Party and Second Party are hereinafter individually referred to as “Party” and
collectively as “Parties”.

WHEREAS:
A. First Party has executed a Sale Deed, dated _____ , registered as Document
No. KEN-1- -2018-19 and stored in CD No.KEND- , in the Office of the Sub
Registrar (Jayanagar) at Kengeri, Bangalore Urban, in favor of the Second Party
conveying the property morefully described in the Schedule ‘B’ & ‘C’ in the
said Sale Deed and hereinafter referred to as Schedule Property.

B. The First Party have offered to separately execute an Agreement to Indemnify


the Second Party in addition to the indemnity already provided in the Sale
Deed and the parties have agreed to execute this Agreement

NOW THEREFORE THIS AGREEMENT WITNESSES AS FOLLOWS:

1. The First Party agrees to indemnify the Second Party, from and against all
claims, losses and expenses caused on account of any order of demolition of
the Schedule ‘C Property, in the event such an order is passed by the
appropriate authority, in compliance with any order passed by the National
Green Tribunal with respect of the construction of the Schedule ‘C’ residential
unit and such indemnity shall extend to the extent of the monies paid as sale
consideration by the Second Party to the first Party, for purchase of the
Schedule ‘B’ & ‘C” Property.

2. The Second Party agrees that the First Party shall thereafter be entitled to get
the aforesaid Sale Deed dated ____ executed in his/her favor cancelled, upon
receipt by the Second Party of the entire amounts toward, agreed to be paid
by the First party towards indemnifying the Second Party as specified above.
3. The parties agree that upon such payment being completed and a Deed of
Cancellation of the Sale Deed dated . . . . /11/2018 being executed between the
parties as set out above, the First Party will be completely discharged from
any liability towards the Second Party with respect to the Schedule ‘B’ & ‘C”
Property.

4. This Agreement has been executed in two sets and each Party shall retain one
set each and both sets shall deemed to be originals.

All the piece and parcel of immovable Property bearing Sy No.89, measuring 2
Acres 6 Guntas, Property bearing Sy No.90, Measuring 3 Acres 30 Guntas,
Property bearing Sy No.91, measuring 15 Guntas, Property bearing Sy
No.233, measuring 2 Acres 06.7 Guntas (out of 4 Acres 29 Guntas), Property
bearing Sy No.40, measuring 1 Acres 14.5 Guntas (out of 7 Acres 02 Guntas),
and Property bearing Sy No.232, measuring 3 Acres 14 Guntas, converted for
residential purposes bearing order No ALN (S) SR (Ken) 133/2010-11, Dated.
04.02.2011, (Sy No.89,90 & 91), bearing No ALN (S) SR (Ken) 164/2010-11,
Dated. 09.03.2011, (Sy No.233), bearing No ALN (S) SR (Ken) 135/2010-11,
Dated. 04.02.2011, (Sy No.40) bearing No ALN (S) SR (Ken) 134/2010-11,
Dated. 04.02.2011, (Sy No.232)) and passed by the Special Deputy
Commissioner, Bangalore District, Bangalore, in all measuring 410674.62 Sq
Ft or 38152.60 Sq Mtrs (after deducting the area surrendered to BDA for
road, measuring 2234.90 Sq Mtrs (24056.46 Sq Ft), Parks and open spaces
-1, measuring 3095.59 Sq Mtrs (33320.93 Sq Ft), Parks and open spaces -2,
measuring 1819.25 Sq Mtrs (19582.41 Sq Ft), & Parks and open spaces -3,
measuring 410.38 Sq Mtrs (4417.33 Sq Ft) and areas reserved for civic
amenities(CA-1,-876.19 Sq Mtrs ( 9431.31 Sq Ft), CA-2, 542.56 Sq Mtrs
(5840.12 Sq ft), CA-3, 816.69 Sq mtrs (8790.85 Sq Ft) and CA-4, 428.43

EWS, measuring 142.55 Sq Mtrs ( 1534.41 Sq Ft), Commercial Community
Hall - 2, measuring 237.97 Sq Mtrs (2561.51 Sq Ft) portion of land retained
for future developments, measuring 1485.89 Sq Mtrs (15994.12 Sq Ft) as
per plan sanctioned by BDA, out of the total area of 13 Acres 06.20 Guntas,
or 5,73,031.80 Sq Ft or 53,235.95 Sq Mtrs situated at Kambipura Village,

the land comprised in the Schedule ‘A’ Property, excluding areas relinquished to
the BDA for Road, measuring 2234.90 Sq Mtrs (24056.46 Sq Ft), Parks and
open spaces -1, measuring 3095.59 Sq Mtrs (33320.93 Sq Ft), Parks and
open spaces -2, measuring 1819.25 Sq Mtrs (19582.41 Sq Ft), & Parks and
open spaces -3, measuring 410.38 Sq Mtrs (4417.33 Sq Ft) and areas

attached plan mutually agreed upon and built on the Schedule “A”
property together with absolute right, title, interest and exclusive use of

IN WITNESS WHERE OF, the Parties have executed this Agreement of Indemnity
in the presence of the Witnesses attesting hereunder on the date, month and year first
