AGREEMENT TO SELL AND PURCHASE

This agreement is made at Delhi, on this ----day of August, 2010 between,


Shri.Janak Raj S/o Sh. ……………………….. R/o ………………………………..
authorized person. and having legal rights to sell the property in question, is the
absolute authorized person.
Hereinafter, called the First Party of the one part and has the Authority to sign
the agreement to sell, and other concerning documents, on behalf of Smt. Manjit
Kaur.

And
D. N. HOUSING PVT. LTD. through its Managing Director Sh. DEV NARAYAN
PATEL S/o Shri Gaidan lal. R/o B-3 /178 Pachim Vihar New Delhi, hereinafter
called the Second Party of the other part.
The expression first and second party occurs in the body of this Agreement shall
mean and Include its executors and assigns.
WHEREAS the above named Smt. Manjit Kaur is the lawful owner of the plot
no.2/Munirka Marg Vasant Vihar Delhi as being the legal heir of the deceased
Sahib Singh the allottee of the said plot admeasuring 825sq. yards.
That the above named owner through their authorized person as first party, for
their legal needs and requirements have agreed to sell their plots for a sum of
Rs. ……………………… ( ),
to the second party. Both parties i.e. first and second have agreed to
sale/purchase of the their plots on the following terms & conditions of this
agreement.

NOW THIS AGREEMENT WITNESSES AS UNDER:-

1. That the authorized person/signatory have in principal agreed to receive


the payments of the individual plot as per the schedule mentioned below:

2. That the entire consideration amount of the plots is finalized for a sum of
Rs…………………….. ( ).

3. That both the parties have agreed to transact the payments in respects of
the plot at a time, though the sale deed .

4. That the first party Shri. Janak Raj S/o Sh. ……………………….. R/o
……………………………….. having the legal authority in respect of the
plot of Smt. Manjit kaur measuring an area of 825 Sq. yds. The total sale
consideration for the said plot is calculated at Rs.

5. That the First Party has received an amount of Rs……………


(Rs………………………….. only) as advance/earnest money from the
second party at the time of signing this agreement.

6. That the Balance amount of Rs.

second party within a period of …………………..days thereafter, just to
make it as……..% of the total sale consideration of that plot.

7. That the first party will be bound to bring the actual owner in respect of the
other plots or their registered letter of authority, at the time of signing
the documents, which is the sole responsibility of Shri.Janak Raj S/o Sh.
……………………….. R/o ………………………………..

8. That the First Party assured second party that the said property under sale
is free from all kinds of encumbrances, sale, gift, liens, legal laws, court
degrees, court injunctions, attachments whatsoever and if it is proved
otherwise the first party shall be liable and responsible for the same.
9. That all the expenses of this transaction (i.e. registration) shall be borne
by the second party only.

10. That if the first party shall be defaulter to comply any terms & conditions of
this agreement and fail to execute the concerned documents for transfer
the ownership of this said S.R. as per the fixed period by this agreement,
then the first party shall have to pay double amount of earnest money to
the second party or court of law. The second party shall have full have
right to get executed the same documents by the first party through court
of law at the cost and expenses of first party.

11. That like if the second party defaults in making the payments within the
stipulated period, the first party will have the right to forfeit the earnest
money so deposited.

12. That the First Party shall pay the vacant Land Tax or House Tax, Water
Bill, Electricity bill if any, till the date of final transaction.

13. That the First Party undertakes to get the said property registered in the
name of second party or his nominee within the period mentioned in
clause 4 above.

14. That meanwhile the second party is allowed to get the plans approved and
have the map obtained from the competent authorities at his own
expenses and shall have the right to start the construction on the plots one
by one by one in accordance with the entire payments cleared within the
period of six months as agreed upon by and between the parties.

15. The second party is also allowed to book floors, and divert the payments
so received to the first party till entire payment for the sale of plot is
cleared. All the transaction should be completed by the last date set for.

Received a sum of Rs.15 lacs/- (fifteen lacs) from M/S GRAVITY


PROJECTS PVT. LTD. Against the sale of plots no. 1696/1697,
Kela ghat Road, Kashmiri Gate ,Delhi-6 as per the terms and the
conditions of the agreement dated 10-07-2010.
