macji dla !rodowisk zawodowych gospodarki le!nej i bada& naukowych z za-
kresu le!nictwa. Wydawnictwa EIL udost$pniane s" cz%onkom bez dodatkowych
op%at. Dotychczas w ró#nych edycjach EIL wyda% ponad 120 tomów analiz, ze-
szytów naukowych, sprawozda&, zbiorowych referatów i innych publikacji na-
ukowych.

Przyst"pienie Rzeczpospolitej Polskiej do Konwencji o EIL jest wyrazem woli
czynnego uczestnictwa w dzia%aniach prowadzonych w Europie na rzecz ochro-
ny lasów i zrównowa#onej gospodarki le!nej. Dodatkowym argumentem za
wspó%prac" z EIL jest jego udzia% w pracach Zespo%u Ekspertów (ELM) Ministe-
rialnego Procesu Ochrony Lasów w Europie (MCPFE). Nabiera to obecnie
szczególnego znaczenia przy sprawowaniu przez Polsk$ przewodnictwa w Mi-
nisterialnym Procesie Ochrony Lasów w Europie w latach 2004-2007.

Konwencja o Europejskim Instytucie Le!nictwa

Artyku# 1
Instytut
Niniejszym tworzy si$ Europejski Instytut Le%nictwa (zwany dalej Instytutem) jako
organizacj$ mi$dzynarodow" z siedzib" w Joensuu w Finlandii.
Artyku# 2
Cel i funkcje
1. Celem Instytutu jest podejmowanie na szczeblu ogólnoeuropejskim bada' nad polityk"
le%n", uwzgl$dniaj"cych jej aspekty %rodowiskowe, nad ekologi", ró#norodnymi
sposobami u#ytkowania, zasobami i zdrowotno%ci" lasów europejskich, a tak#e nad
poda#" i popytem na drewno oraz inne produkty i us!ugi le%ne w celu promowania
ochrony lasów oraz trwa!ej i zrównowa#onej gospodarki le%nej w Europie.
2. Aby zrealizowa( swój cel, Instytut:
a) dostarcza informacje istotne dla tworzenia polityki i podejmowania decyzji
dotycz"cych sektora le%nictwa i przemys!u le%nego w pa'stwach europejskich;
b) prowadzi badania w powy#szych dziedzinach;
c) rozwija metody badawcze;
d) organizuje spotkania naukowe i w nich uczestniczy;
e) organizuje i upowszechnia wiedz$ o swojej pracy i jej wynikach.

Informacje
Umawiaj"ce si$ Strony b$d" wspiera( prace Instytutu poprzez dostarczenie informacji
dotycz"cych lasów na stosowny wniosek, pod warunkiem, #e nie s" one dost$pne z innych
instytucji gromadz"cych dane i o ile mog" by( udost$pniane. W celu unikni$cia powielania
dzia!a', Instytut d"#y do zapewnienia w!a%ciwej koordynacji z innymi instytucjami
mi$dzynarodowymi, w tym takimi, które zajmuj" si$ gromadzeniem danych.
Artyku# 4
Cz#onkowie, cz#onkowie stowarzyszeni i afiliowani Instytutu
1. Umawiaj"ce si$ Strony s" cz!onkami Instytutu.
2. Cz!onkostwo w Instytucie na zasadzie stowarzyszenia jest otwarte dla instytutów
badawczych, placówek o%wiatowych, organizacji komercyjnych, organów le%nictwa,
organizacji pozarz"dowych i instytucji o podobnym charakterze z pa'stw europejskich

(zwanych dalej cz!onkami stowarzyszonymi). Cz!onkostwo w Instytucie na zasadzie
afiliacji jest otwarte dla instytucji o podobnym charakterze z pa'stw pozaeuropejskich
(zwanych dalej cz!onkami afiliowanymi). Cz!onkowie afiliowani nie uczestnicz"
w procesie podejmowania decyzji dotycz"cych Instytutu.

Organy
Organami Instytutu s" Rada, Konferencja, Zarz"d i Sekretariat kierowany przez Dyrektora.
Artyku# 6
Rada
1. Rada sk!ada si$ z przedstawicieli cz!onków i zbiera si$ co trzy lata na sesjach
zwyczajnych. Sesja nadzwyczajna mo#e zosta( zwo!ana na wniosek jednego
z cz!onków lub Zarz"du, pod warunkiem jego zatwierdzenia zwyk!" wi$kszo%ci"
g!osów cz!onków.
2. Rada:
a) powo!uje cz!onków Zarz"du, zgodnie z artyku!em 8 ust$pem 2 liter" a), c) i d);
b) wyra#a zgod$ na mianowanie Dyrektora, zgodnie z artyku!em 8 ust$pem 4 liter" d);
c) ustala ramow" polityk$ prac Instytutu;
d) podejmuje decyzje w sprawach ogólnych o charakterze technicznym, finansowym lub
administracyjnym, przed!o#onych przez cz!onków, Konferencj$ b"d) Zarz"d;
e) zatwierdza, zwyk!" wi$kszo%ci" g!osów, wytyczne, które mog" by( potrzebne dla
funkcjonowania Instytutu oraz jego organów;
f) zatwierdza i wnosi poprawki, zwyk!" wi$kszo%ci" g!osów, do regulaminu Instytutu.
3. Ka#dy z cz!onków dysponuje jednym g!osem. Je#eli w Konwencji nie przewidziano
inaczej, decyzje podejmuje si$ jednomy%lnie.
Artyku# 7
Konferencja
1. Konferencja sk!ada si$ z przedstawicieli cz!onków stowarzyszonych. Konferencja
zbiera si$ raz w roku na sesji plenarnej i podejmuje decyzje zwyk!" wi$kszo%ci"
g!osów. Cz!onkowie afiliowani mog" uczestniczy( w corocznych plenarnych sesjach
Konferencji. Instytucje oraz regionalne i mi$dzynarodowe organizacje nie b$d"ce ani
cz!onkami stowarzyszonymi, ani afiliowanymi Instytutu mog" by( zapraszane do

wzi$cia udzia!u w sesji plenarnej Konferencji zgodnie z zasadami ustanowionymi
przez Zarz"d.
2. Konferencja, mi$dzy innymi:
a) powo!uje cz!onków Zarz"du, zgodnie z artyku!em 8 ust$pem 2 liter" b), c) i d);
b) ustala sk!adki cz!onkowskie dla cz!onków stowarzyszonych i cz!onków afiliowanych;
c) zaleca podj$cie dzia!a' zmierzaj"cych do realizacji celów Instytutu;
d) zatwierdza sprawozdania finansowe po przeprowadzeniu ich audytu;
e) zatwierdza przed!o#ony przez Zarz"d plan pracy na nast$pny rok;
f) dokonuje przegl"du oraz przyjmuje roczny raport z dzia!alno%ci Instytutu;
g) zatwierdza i wnosi poprawki do swojego regulaminu.
Artyku# 8
Zarz"d
1. Zarz"d sk!ada si$ z o%miu osób o uznanych kompetencjach w zakresie dzia!alno%ci
Instytutu. Cz!onkowie Zarz"du nie mog" sprawowa( swojej funkcji d!u#ej ni# przez
dwie kolejne kadencje.
2a. Czterech cz!onków Zarz"du jest powo!ywanych przez Rad$ na okres trzech lat.
b. Czterech cz!onków Zarz"du jest powo!ywanych przez Konferencj$ na okres trzech
lat.
c. Rada i Konferencja przyjmuj" zasady odnosz"ce si$ do procesu nominacji i rotacji
cz!onków, których wska#".
d. Przej%ciowe wakaty s" wype!niane w ramach procedury pisemnej, odpowiednio,
przez Rad$ lub Konferencj$.
3. Zarz"d zbiera si$ przynajmniej raz w roku i podejmuje decyzje zwyk!" wi$kszo%ci"
g!osów.
4. Zarz"d:
a) na podstawie polityki ramowej ustalonej przez Rad$ ustanawia i stale nadzoruje
program prac administracyjnych i badawczych Instytutu;

Sekretariat
1. Sekretariat, kierowany przez Dyrektora, stanowi personel Instytutu.
2. Z uwzgl$dnieniem wszelkich ogólnych wskaza' Rady, Konferencji i Zarz"du,
Dyrektor powo!uje inny personel, je%li wynika to z potrzeb Instytutu, na warunkach
i w celu realizacji obowi"zków, które mo#e sam okre%li(.

$rodki finansowe
&rodki finansowe potrzebne dla funkcjonowania Instytutu dostarczaj":
a) cz!onkowie stowarzyszeni i cz!onkowie afiliowani w postaci sk!adek cz!onkowskich;
b) cz!onkowie w postaci wk!adów dobrowolnych, je%li tego pragn";
c) inne )ród!a, jakie mog" si$ pojawi(.
Artyku# 11
Bud%et i sprawozdanie finansowe
Na wniosek Dyrektora bud#et oraz sprawozdanie finansowe Instytutu zatwierdza Zarz"d
zwyk!" wi$kszo%ci" g!osów.
Artyku# 12
Osobowo!& prawna, przywileje i immunitety
Instytut posiada mi$dzynarodow" i krajow" osobowo%( prawn". Na terytorium Finlandii
przys!uguj" mu takie przywileje i immunitety, jakie mog" by( mu potrzebne dla
wykonywania swojej funkcji. Wspomniane przywileje i immunitety okre%la porozumienie
pomi$dzy Instytutem i rz"dem Finlandii.

Artyku# 13
Rozstrzyganie sporów
Wszelkie spory dotycz"ce interpretacji lub stosowania niniejszej Konwencji, które nie
zosta!y rozstrzygni$te w drodze negocjacji lub stara' Zarz"du, mog" by( za obopólnym
porozumieniem stron sporu zg!oszone do rozstrzygni$cia w procedurze rozjemczej,
zgodnie z zasadami fakultatywnego post$powania rozjemczego przed Sta!ym S"dem
Arbitra#owym.
Artyku# 14
Podpisanie i zgoda wi"%"ca
1. Niniejsza Konwencja b$dzie otwarta do podpisania przez pa'stwa europejskie oraz
regionalne europejskie organizacje integracji gospodarczej w Joensuu w dniu 28
sierpnia 2003 r. Po tym terminie Konwencja b$dzie otwarta do podpisania
w Ministerstwie Spraw Zagranicznych Finlandii w Helsinkach do dnia 28 listopada
2003 r.
2. Niniejsza Konwencja podlega ratyfikacji, przyj$ciu lub zatwierdzeniu przez pa'stwa –
sygnatariuszy oraz regionalne europejskie organizacje integracji gospodarczej.
Dokumenty ratyfikacji, przyj$cia lub zatwierdzenia b$d" z!o#one rz"dowi Finlandii,
który b$dzie Depozytariuszem.
3. Niniejsza Konwencja b$dzie otwarta do przyst"pienia przez te pa'stwa europejskie
b"d) regionalne organizacje europejskie integracji gospodarczej, które jej nie
podpisa!y. Dokumenty przyst"pienia b$d" z!o#one u Depozytariusza.
4. W rozumieniu niniejszej Konwencji pa'stwo europejskie oznacza pa'stwo, które
kwalifikuje si$ do cz!onkostwa w Europejskiej Komisji Gospodarczej Organizacji
Narodów Zjednoczonych jako pa'stwo europejskie.
Artyku# 15
Wej!cie w %ycie
1. Konwencja wejdzie w #ycie sze%(dziesi"tego dnia po dniu, w którym z!o#ony zosta!
u Depozytariusza ósmy dokument ratyfikacji, przyj$cia, zatwierdzenia lub
przyst"pienia.
2. Dla ka#dego Pa'stwa b"d) regionalnej europejskiej organizacji integracji gospodarczej
ratyfikuj"cej, przyjmuj"cej, zatwierdzaj"cej lub przyst$puj"cej do niniejszej Konwencji
po z!o#eniu ósmego dokumentu ratyfikacji, przyj$cia, zatwierdzenia lub przyst"pienia,

Konwencja wejdzie w #ycie sze%(dziesi"tego dnia po dniu z!o#enia przez takie
pa'stwo b"d) regionaln" europejsk" organizacj$ integracji gospodarczej jej dokumentu
ratyfikacji, przyj$cia, zatwierdzenia albo przyst"pienia.
Artyku# 16
Postanowienia przej!ciowe
1. Z dniem wej%cia w #ycie niniejszej Konwencji instytuty badawcze, placówki
o%wiatowe, organizacje komercyjne, organy le%nictwa, organizacje pozarz"dowe oraz
instytucje o podobnym charakterze z pa'stw europejskich, które s" cz!onkami b"d)
cz!onkami stowarzyszonymi Europejskiego Instytutu Le%nictwa, za!o#onego w 1993
roku jako stowarzyszenie podlegaj"ce prawu fi'skiemu, i do tej daty nie z!o#"
rezygnacji zgodnie z jego statutem, staj" si$ cz!onkami stowarzyszonymi Instytutu.
Podobnie, instytucje o podobnym charakterze z pa'stw pozaeuropejskich, które s"
cz!onkami stowarzyszonymi wspomnianego Europejskiego Instytutu Le%nictwa stan"
si$ w przypadku braku rezygnacji cz!onkami afiliowanymi Instytutu.
2. Po wej%ciu w #ycie niniejszej Konwencji Instytut podejmie negocjacje z Europejskim
Instytutem Le%nictwa za!o#onym w 1993 r. jako stowarzyszenie podlegaj"ce prawu
fi'skiemu w sprawie przekazania Instytutowi jego bie#"cych dzia!a', %rodków
finansowych oraz aktywów i pasywów.
Artyku# 17
Poprawki do Konwencji
1. Poprawki do niniejszej Konwencji mog" by( wprowadzane w drodze jednomy%lnego
g!osowania cz!onków obecnych na spotkaniu Rady albo w drodze procedury pisemnej.
Wszelkie propozycje poprawek s" rozsy!ane przez Depozytariusza z co najmniej
o%miotygodniowym wyprzedzeniem. W przypadku procedury pisemnej Depozytariusz
ustala termin udzielania odpowiedzi.
2. Poprawka wchodzi w #ycie sze%(dziesi"tego dnia po dniu, w którym wszystkie
Umawiaj"ce si$ Strony powiadomi!y Depozytariusza o wype!nieniu formalno%ci
wymaganych przez prawo krajowe w odniesieniu do tej poprawki.
3. Je#eli Konferencja nie postanowi inaczej, poprawki nie maj" wp!ywu na
instytucjonaln" pozycj$ cz!onków stowarzyszonych i afiliowanych.

Artyku# 18
Wyst"pienie
Strona Umawiaj"ca si$ mo#e wyst"pi( z niniejszej Konwencji poprzez przekazanie
Depozytariuszowi pisemnego zawiadomienia. Wyst"pienie b$dzie skuteczne po up!ywie
roku od otrzymaniu przez Depozytariusza zawiadomienia o wyst"pieniu.
Artyku# 19
Wyga!ni'cie
Niniejsza Konwencja wygasa, je#eli w dowolnym czasie po jej wej%ciu w #ycie liczba jej
Umawiaj"cych si$ Stron jest mniejsza ni# osiem.
Na dowód czego ni#ej podpisani, b$d"c w tym celu nale#ycie upowa#nieni przez swoje
rz"dy, podpisali niniejsz" Konwencj$.
Sporz"dzono w j$zyku angielskim, w Joensuu, w dniu 28 sierpnia 2003 r.

Convention on the European Forest Institute
Recalling the forest-related decisions adopted at the United Nations Conference on Environment
and Development in 1992, the Proposals for Action by the Intergovernmental Panel on Forests
and the Intergovernmental Forum on Forests, the Expanded Programme of Work on Forest
Biological Diversity relating to the Convention on Biological Diversity as well as the outcome of the
World Summit on Sustainable Development;
Recognising the progress and achievements mad$ in the implementation of the commitments of the
Ministerial Conferences on the protection of forests in Europe;
Conscious of the changing natur$ of European forest and forestry issues and the concerns within
society and the need to generate relevant scientific data with a view to good decision-making;
Considering that the European Forest Institute was established as an association under Finnish
law in 1993 to contribute to the study of forestry, forests and forest conservation at a European
level;
Mindful of the added value of embedding forestry and forest research in an international setting;
Desiring to pursue on an international basis their cooperation in forestry and forest research while
at the same time avoiding duplication of efforts; have agreed as follows:
The European Forest Institute (hereafter the Institute) i s hereby established as an international
organisation. It shall have its seat in Joensuu, Finland.
l. The purpose of the Institute is to undertake research on the pan-European level on forest policy,
including its environmental aspects, on the ecology, multiple use, resources and health of European
forests and on the supply of and demand for timber and other forest products and services in order
to promote the conservation and sustainable management of forests in Europe.
2. In order to achieve its purpose, the Institute
a) provides relevant information for policy-making and decision-making in European countries
relating to the
forest and forest industry sector;
b) conducts research in the above-mentioned fields;
c) develops research methods;
d) organises and participates in scientific meetings; and
e) organises and disseminates knowledge of its work and results.
Article 3: Information
The Contracting Parties support the work of the Institute with forest-re!ated information on
specific request provided it is not available from other data collecting bodies and as far as it can
reasonably be mad$ available. To avoid duplication of effort, the Institute aims to ensure
appropriate coordination with other intemational bodies, including those carrying out data
collection.
Article 5: Organs
The organs of the Institute shall be a Council, a Conference, a Board and a Secretariat headed by a
Director.
1. The Council shall consist of representatives of the Members, and will meet in ordinary session
every three years. A' extraordinary session may be held at the request of a Member or of the
Board, subject to approval by a simple majority of the Members.
2. The Council shall
a) appoint members of the Board in accordance with Article 8,
paragraphs 2 a), c) and d);
b) give assent to the appointment of the Director in accordance with Article 8,
paragraph 4, subparagraph d);
c) set the policy framework for the work of the Institute;
d) take decisions on genera! issues of a technical, financial or administrative natur$
submitted by the Members, the Conference or the Board;
e) approve, by simple majority, such guidance as may be necessary for the
functioning of the Institute and its organs; and
f) approve and amend, by a simple majority, its Rules of Procedur$.
3. Each Member shall have one vote. Decisions shall be taken by consensus, unless otherwise
provided in the Convention.
1. The Conference shall consist of representatives of the Associate Members. The Conference
shall meet once a year in plenary session and shall take decisions by a simple majority. The
Affiliate Members may participate in the annual plenary sessions of the Conference. Institutions
and regional or international organisations that ar$ not Associate or Affiliate Members of the
Institute may be invited to attend the plenary sessions of the Conference in accordance with the
rules established by the Board.
2. The Conference shall, inter alia,
a) appoint the members of the Board in accordance with Article 8,
paragraphs 2 b), c) and d);
b) determine the membership fees for the Associate and Affiliate Members;
c) m"k$ recommendations to initiate activities with a view to the realisation of the
purposes of the Institute;
d) approve the audited financial statements;
e) approve the work plan for the following year submitted by the Board;
f) review and adopt the Annual Report on the Institute's activities; and
g) approve and amend its Rules of Procedur$.
1. The Board shall be composed of eight individuals with established competence in the field of the
activities of the Institute. Such Board members may serve no mor$ than two consecutive terms.
2.a. Four members of the Board shall be appointed by the Council for a period of three years. b. Four
members of the Board shall be appointed by the Conference for a period of three years.

c. The Council and the Conference shall adopt rules relating to the process of nomination and
rotation of the
members they appoint.
d. Interim vacancies shall be filled by written procedur$ by the Council or the Conference,
respectively.
3. The Board shall meet at least once every year and shall take decisions by a simple majority.
4. The Board shall
a) within the policy framework laid down by the Council, establish and keep under review the
administrative and
research programme of the Institute's work;
b) subject to any guidance by the Council, adopLsuchJntemaLtegulalions as may be necessary;
c) approve the budget and the accounts;
d) appoint the Director, subject to assent of the Council;
e) approve the admission and expulsion of Associate and Affiliate Members;
f) report to the Council and the Conference;
g) subject to any guidance by the Council, approve the agreement referred to in Article 12;
h) approve and amend its Rules of Procedur$; and
i) establish the rules referred to in Article 7, paragraph l.
1. The Secretariat headed by the Director shall comprise the personnel of the Institute.
2. Subject to any genera! directions of the Council, the Conference and the Board, the Director
shall appoint such other personnel as may be re"uired for the purposes of the Institute on such
terms and to perform such duties as the Director may determine.
The fmancial resources necessary for the functioning of the Institute shall be provided by:
a) Associate and Affiliate Members, by means of membership fees;
b) Members, through voluntary contributions if they so desire; and
c) such other sources as may present themselves.
The budget and the accounts of the Institute shall be approved by a simple majority by the Board on
proposal of the Director.
Article 12: Lega] personality, privileges and immunities
The Institute shall have International and domestic lega! personality. On the territory of Finland it
shall enjoy such privileges and immunities as ar$ necessary for the exercise of its functions. These
privileges and immunities shall be defmed in an agreement between the Institute and the
Govemment of Finland.
Any dispute conceming the interpretation or application of this Convention which is not settled by
negotiation or by the good offices of the Board may, upon mutual agreement between the parties
to the dispute, be submitted to conciliation under the Permanent Court of Arbitration Optional
Conciliation Rules.
1. This Convention shall be open for signature by European States and European regional
economic integration organisations in Joensuu on 28 August 2003. Thereafter, it shall remain
open for signature in Helsinki at the Ministry for Foreign Affairs of Finland, until 28 November
2003.
2. This Convention is subject to ratification, acceptance or approval by the signatory States and
regional economic integration organisations. Instruments of ratification, acceptance or approval
shall be deposited with the Govemment of Finland which shall act as the depositary.
3. This Convention shall be open for accession by those European States and European regional
economic integration organisations that have not signed it. Instruments of accession shall be
deposited with the Depositary.
4. For the purposes of this Convention, a European State is a State which is eligible for
membership of the United Nations Economic Commission for Europ$ as a European State.
1. This Convention shall enter into force on the sixtieth day after the dat$ of the deposit of the
eighth instrument of ratification, acceptance, approval or accession.
2. For each State and regional economic integration organisation ratifying, accepting, approving or
acceding to this Convention after the deposit of the eighth instrument of ratification, acceptance,
approval or accession, the Convention shalJ enter into force on the sixtieth day after the dat$ of
deposit of such State or regional economic integration organisation of its instrument of ratification,
acceptance, approval or accession.
Article 16: Transitional provisions
1. Upon the entry into force of this Convention, the research institutes, educational
establishments, commercia] organisations, forest authorities, non-govemmenta] organisations and
institutions of a similar natur$ from European States that ar$ members or associate members of the
European Forest Institute established in 1993 as an association under Finnish law and by that dat$
have not according to its Bylaws given notice of resignation, shall become Associate Members of
the Institute. Institutions of a similar natur$ from non-European States that ar$ associate
members of the said European Forest Institute shall likewise in the absence of notice of resignation
become Affiliate Members of the Institute.
2. After the entry into force of this Convention the Institute shall initiate negotiations with the
European Forest Institute-established in 1993 as an association under Finnish law on the transfer of
the latter's activities, funds, assets and liabilities to the Institute.
1. This Convention may be amended by the unanimous vote of the Members present in a meeting of
the Council or by a written procedur$. Any proposal for amendment shall be circulated by the
Depositary at least eight weeks in advance. In case of a written procedur$ the Depositary shall fix
the deadline for the replies.
2. The amendment will enter into force on the sixtieth day after the dat$ on which all the
Contracting Parties have notified the Depositary that they have fulfilled the formali-ties re"uired by
national legislation with respect to the amendment.
3. Unless the Conference approves, amendments shall not affect the institutional position of
Associate or Affiliate Members.
A Contracting Party may withdraw from this Convention by giving written notice of the
withdrawal to the Depositary. The withdrawal shall be effective one year after receipt of the
notice of withdrawal by the Depositary.
This Convention shall be terminated if at any time after its entry into force there ar$ less than
eight Contracting Parties.
In witness whereof, the undersigned, du!y authorised thereto by their respective Governments,
have signed this Convention.
