Waikato-Tainui Te Kauhanganui Incorporated was due to meet for the Half-Yearly General Meeting on the 18th of June 2011. The meeting has been injuncted and postponed until further notice. Marae within Te Kauhanganui and Tribal Members raised concerns with Te Arataura regarding the constitutional validity of the notice of meeting and whether specific resolutions on the Agenda should be Special Resolutions under the Rules, and as a result require a 75% vote rather than a 50% vote. Of considerable concern was: Notice of meeting The notice of meeting from the Chair of Te Kauhanganui specifying the business to be conducted was not given 21 days in advance of 18 June 2011. Resolution 5a: Waikato-Tainui Te Kauhanganui (Inc) approves the proposed changes to the Rules governing Te Kauhanganui as set out in Appendix 1 and Appendix 2 for the purpose of reinforcing the statutory powers of Waikato-Tainui Te Kauhanganui (Inc) AND that the changes be registered with the Register of Incorporated Societies as soon as possible. And Resolution 6a: Waikato-Tainui Te Kauhanganui (Inc) confirms (except in the case of a member of Te Arataura appointed by the Head of the Kaahui Ariki pursuant to Rule 5.4) that each of the ten elected members of Te Arataura shall cease to be Te Arataura members (and the Chairperson, Deputy Chairperson and Secretary of Te Arataura shall each cease to hold his or her respective office) effective immediately, for serious breaches of the Rules, as determined by elected members of Te Kauhanganui who hold at least 50% of the total marae votes. And Resolution 6b: Waikato-Tainui Te Kauhanganui (Inc) confirms that all governance activities held by Te Arataura shall be assigned to an interim chair and an interim committee (to be established pursuant to Rule 17), pending a Special General

Meeting to be called by the chairperson of Te Kauhanganui, to consider recommendations from an independant review report of factual information on the status of governance; AND That the operations of the Waikato Raupatu Lands Trust under the current senior management, including the operations of TGH and WECT, shall be subject to the overview of the interim chair and committee, who will report to Te Kauhanganui via the chairperson of Te Kauhanganui on a weekly basis until further notice. Te Arataura initiated the Disputes Process under the Rules with a view to resolving the matter internally and avoiding unnecessary litigation, but it was not possible in the time available. After consideration of legal advice and Marae opinion, the members of Te Arataura felt that if the resolutions were voted upon by Te Kauhanganui and proved to be constitutionally invalid, this would leave Te Kauhanganui in a state of constitutional crisis that would tear at the very core of Waikato-Tainui and the fabric of unity within Te Kauhanganui. Te Arataura believes that Court action should generally be the last resort and only considered where absolutely necessary. We felt forced to take the unenviable step of seeking assistance from the Courts. This has resulted in a delay of the meeting called for the 18th of June 2011. The purpose of the injunction proceeding was to seek the Courts assistance, not to cancel the Half-Yearly General Meeting or prevent it from taking place, but to get it back on track so that whatever changes Te Kauhanganui decides to make are done properly and fairly and for the enduring benefit of our people. To allow unconstitutional activity to be conducted in Te Kauhanganui without clarification is in conflict with the principles and spirit of why Te Arataura was established. Te Arataura is looking at ways to work together to resolve all outstanding issues, and to cement an ongoing pathway that would realise the aspirations of all Marae and Tribal Members.
