REFERRAL AGREEMENT

THIS AGREEMENT is made this ______th of _______, 20___ by and between ABC COMPANY, INC, a ANY STATE Corporation (ABC COMPANY,") and _________________________________________________________________ ("Referring Broker.") The ABC COMPANY agrees to accept referrals from REFERRING BROKER of qualified candidates for the purchase AND/OR sale of identified businesses and/or properties associated with subject referral presented by Referring Broker, subject to the following terms, restrictions, and conditions: 1. ABC COMPANY shall pay REFERRING BROKER a referral fee for every candidate/business/property referred by REFERRING BROKER that enters into an agreement that is fully executed and closed represented by ABC COMPANY. ABC COMPANY shall pay the referral fee to REFERRING BROKER within seventy-two (72) hours of ABC COMPANYS receipt of commission paid by franchise opportunity. The amount of the referral fee is listed below. a. Per transaction unless otherwise stated herein: $$$ of net commission b. No commissions shall be paid on any additional future purchases by referred candidate. 2. REFERRING BROKER agrees to pay all expenses incurred for generation of referrals and is not to represent that the ABC COMPANY is in any way liable or responsible for such expense and this contract shall not be construed as giving REFERRING BROKER any authority to ask for or charge such expenses on behalf of the ABC COMPANY. 3. The working relationship between REFERRING BROKER and ABC COMPANY may be terminated by either party at any time. ABC COMPANY agrees to honor this agreement for referrals in process at the time of termination, as outlined in Paragraph 1 herein. 4. REFERRING BROKER is and shall be an Independent Contractor and not an employee or agent of the ABC COMPANY and therefore agrees and understands that as an Independent Contractor they are in business for themselves, and responsible for their own Social Security taxes, withholding taxes, and any insurance that may be required within the State(s). 5. ABC COMPANY and REFERRING BROKER agree to familiarize themselves with all Federal and State laws, and applicable standards and regulations of any commission or agency of the Government and agree to abide and comply with said laws, ordinances, rules, standards, regulations and interpretations thereof, and agree to save and hold harmless one another in the event one or the other shall not comply in this respect. 6. ABC COMPANY understands and agrees that REFERRING BROKER is an Independent Contractor and not an employee or agent of the ABC COMPANY. ABC COMPANY further agrees to indemnify and hold harmless REFERRING BROKER from any and all claims, demands, damages, actions, causes of action, liability, expenses, or costs arising out of or due to any acts or statements or omissions or failures to act by the ABC COMPANY.

7. As an Independent Contractor, REFERRING BROKER shall generate their own business, using their own facilities and leads, at their own expense. 8. It is mutually agreed that all the agreements and covenants contained herein are severable and that, in the event any of them shall be held to be invalid by any competent court, this contract shall be interpreted as if such invalid agreements or covenants were not contained herein. 9. This agreement may be terminated at any time by either party with written notice, provided, however, that ABC COMPANY shall continue to perform its duties under paragraph 1 herein. This agreement shall remain in effect until such notice of termination is received by the other party. 10. This Agreement shall be governed and construed in accordance with the laws of the State of ANY STATE, exclusive of choice of law rules. Any dispute concerning this Agreement shall be subject to the exclusive jurisdiction of the state courts of the State of ANY STATE. Each party expressly consents to the personal jurisdiction of the courts of the State of ANY STATE. Each party waives its right to a jury trial.
