INTRODUCTION MB Power (Chhattisgarh) Limited (MBPCL), a subsidiary of the Moser Baer Group, invites reputed Companies / Consortium / Joint Venture / EPC Contractors to submit their Expression of Interest (EOI) for Design, Manufacturing / Procurement, Supply, Installation, Testing & Commissioning and handing over of 1320 (2x660) MW coal fired Supercritical Thermal Power Project on EPC basis including Boiler, Turbine, Generator and Balance of Plant packages along with all associated Auxiliaries and Civil Works for 2x660 MW Birra Thermal Power Project being set up at Birra Village, Janjgir - Champa District of Chhattisgarh State in the Central region of India. 2. SECTION A - INTRODUCTION
1. Background
(a) MB Power (Chhattisgarh) Limited (MBPCL) a 100% subsidiary of Moser Baer Power

& Infrastructures Limited (MBPIL) has made a foray into the power sector for both generation and distribution activities.
(b) MBPCL intends to set up a Coal fired super critical Thermal Power Plant of capacity

of 2 x 660 (1320) MW at Janjgir Champa District, Chhattisgarh, India.


(c) MBPCL invites Expression of Interest (EoI) / Request for Qualification (RfQ) from

eligible Bidders to participate in the supply and execution of the Main plant and associated Balance of Plant (BoP) Equipment on turnkey EPC basis. Bidders meeting the qualifying criteria stipulated in this document shall be short-listed for issue of Request for Proposal (RFP) document. 2. Introduction to Proposed Project (a) MBPCL has entered into Memorandum of Understanding (MoU) with Government of Chhattisgarh for setting up coal fired thermal power plant of total capacity 1320 MW in Janjgir Champa district of Chhattisgarh. (b) Ministry of Environment and Forest, Government of India has cleared the Terms of Reference (ToR) submitted by MBPCL for setting up of 1320 (2x660) MW Coal fired super critical Thermal Power Plant. (c) M/s GIS Enabled Environment and new Graphic Centre has been appointed for undertaking REIA study for obtaining Environment Clearance from Ministry of Environment and Forest (MoEF), Government of India. (d) M/s. Tractebel Engineering Pvt. Ltd., New Delhi has been appointed as Owners Engineers for the proposed Project. (e) M/s. Aakriti Associates have already completed the Topography service and preliminary soil investigation at the Project site. (f) M/s Lahmeyer International (India) Pvt. Ltd., Gurgaon have prepared the Detailed Project Report. (g) M/s. Rural Engineering and Environmental solutions have been appointed for conducting hydrology study. (h) It is envisaged that the Plant shall operate as Base Load Plant.

(i) The project shall be awarded through International Competitive Bidding (ICB) Process and all the benefits available under Mega Project / Deemed Exports shall be availed by the Owner. 3. Project Description a. Site Location i. The Project is located in Janjgir - Champa District of Chhattisgarh State. The site is bound by villages Siladehi towards south west, village Gatwa towards west and village Birra towards east. PGCIL 400kV transmission line is passing towards north of plant area. An irrigation canal encircle the site from east to north of the project area. Hasdeo river is flowing about 700 m away towards west of the site. The site is approachable from Champa Birra State Highway 9 road through 1.5 km kachha village road. The nearest town, Champa is connected with State PWD road. ii. The site is 35 Km away from the town Champa and is approachable through State Highway. iii. The site is located at a distance of about 35 kms. from Champa Railway Station on Howrah-Mumbai Broad Gauge (BG) section. iv. The nearest Commercial Airport is at Raipur located at a distance of approximately 200 km v. The nearest Sea Port is Vishakhapatnam in Andhra Pradesh approx 1000 km vi. The tentative latitude and longitude of the Project site are 21 46 14.69 NE and 82 45 32.051 respectively. b. Land i. About 900 acres of land has been identified for the Project. MBPCL has initiated the land acquisition process and has received in-principle confirmation for the same from the Government of Chhattisgarh. Land will be made available after completion of necessary process. The land acquisition is expected to be completed by December 2011. ii. The preliminary soil investigation and topographic survey has been completed and report shall be made available in the subsequent RFP document.

MB Power (Chhattisgarh) Limited c. Water i. Source of water for the Project will be Mahanadi River. Water is proposed to be drawn from Mironi Barrage to be constructed by State Irrigation Department /WRD. The location of Barrage is about 5 km away from the site. ii. Water Resource Department, Government of Chhattisgarh has allocated 0.032 Maf water from Mahanadi River. d. Construction Power i. Construction power at 33kV or 11kV will be made available at a single point at the plant boundary by MBPCL at a fixed price to be defined in the RFP. In view of long hours of load shedding in the area, the Contractors are advised to arrange for backup power requirements themselves. e. Power Evacuation i. Evacuation of Power from the proposed power project is envisaged at 400 kV level through 2 outgoing feeders to the proposed 400kV/765kV pooling substation of PGCIL near Champa about 30 Km from the plant. f. Project Execution Schedule i. The target for first unit commissioning is December 2014 and the subsequent unit shall be commissioned at interval of six (6) months. Bidders are encouraged to offer early completion schedule and the same shall be considered as a key factor for short listing and evaluating the proposals. g. Capital Structure i. The proposed Project is expected to be funded with 25% equity and 75% debt. The debt would be financed by banks and financial institutions. ii. Financial Closure of the Project is expected by December 2011.

SECTION B SCOPE OF WORK


The EPC Contractor shall be required to execute the entire scope on Lump Sum Turnkey Basis. 1. Scope of work shall be as under:The EPC Contractor shall be responsible for Design, Engineering, Manufacture / Procurement, Shop Fabrication, Testing & Inspection at Suppliers Works, Packing, Dispatch, Shipping, Inland Transportation to site, Insurance, Delivery at site, Receipt, Unloading, Handling, Storage & In-plant Transportation, Erection, Commissioning, Installation, Testing, Trail Runs, Performance Testing of 1320 MW coal based units and put the plant into successful operation on Turnkey basis and Handing over to the MBPCL on Engineering, Procurement & Construction (EPC) basis.

The detailed scope of work along with the specifications shall be covered in the Request for Proposal (RFP) Document. All the works and equipments required within the plant premises, unless specified otherwise, shall be included in the scope of EPC Contractor.

SECTION C INSTRUCTIONS TO BIDDERS


1. Methodology for Selection a. MBPCL believes that selection of an appropriate & reputed EPC Contractor is critical for the success of the Project. Further, MBPCL believes in building a stable relationship with the selected EPC Contractor for the Project. With the above objectives, the selection process is designed to objectively evaluate each EoI/RfQ without any prejudice or bias. One of the objectives of the selection process is to ensure that the selection process is fair, transparent, efficient and interactive. b. Due care shall also be exercised to protect the confidentiality of the information shared by the Bidders with MBPCL. c. Selection process will involve two stages namely: i EoI / RFQ: To shortlist the bidders based on their strength submitted with EoI technical and financial

ii. Request for proposal (RFP): To evaluate the offers of the short listed bidders based on detailed techno commercial consideration. d. In the RFP stage, the short listed Bidders shall be required to quote the price, technical details, operating parameters etc. The Bids shall be evaluated based on cost-benefit analysis of the proposal and such evaluation shall interalia include various parameters like price, delivery, commissioning schedule, cost of spares, technical parameters such as heat rate, Boiler efficiency, Generation Output and auxiliary power consumption etc. 2. Objective a. The objective of the EoI is to shortlist prospective EPC Contractor who have, i. The technical and financial capabilities to undertake the Contract on EPC basis ii. A proven track record in the power industry for similar projects. 3. Instructions for Submission a. Mode of Delivery: EoI documents can either be hand delivered or submitted by Registered Post/Courier at the mentioned address. b. Delay in Submission: The EoI shall reach the designated address by the stipulated date and time. MBPCL shall not be responsible for any delay in receipt of the EoI.

MB Power (Chhattisgarh) Limited EoIs received by MBPCL after the deadline for submission of the Expression of Interest shall not be considered and deemed to be non-responsive. c. Initials: The authorised signatory of the Bidder shall initial each page of the EoI. Each page of the EoI shall be duly stamped. (Excluding the published documents like brochures, business reports etc.) d. Incomplete EoI or EoI inconsistent with the requirements of this Document will be liable to be rejected. e. Language of Correspondence: All communication and information shall be in writing and in English language only. f. Alterations in EoI: Request for changes in the EoI Documents once submitted shall not be entertained.

g. Additional Information: MBPCL reserves the right to seek additional information from the Bidders, if deemed necessary, during the course of evaluation of the EoI. Non-submission, incomplete submission or delayed submission of such additional information or clarifications sought, may be a reason for treating the EoI as nonresponsive. h. On submission of the EoI, it shall be assumed by MBPCL that all the members of the Consortium have thoroughly read the submitted document and agreed to the guidelines for submission of EoI. i. The Bidder shall nominate person(s) (Authorised Representative) to represent the Bidder in dealings with MBPCL. These designated person(s) shall be authorised to perform all tasks including, but not limited to, providing information, responding to enquiries, entering into contractual commitments etc. on behalf of the Bidder. One designated person shall be the primary source of contact for MBPCL, and all correspondence shall be addressed/ communicated to this person. The Bidder shall bear all the costs associated with the preparation of the EoI and documents to be submitted therewith.

k. Any statement made or information furnished in the Expression of Interest, Request for Proposal or in any other correspondence must be factual and true. If any information/ statement is found to be incorrect or material misrepresentation of fact, the application/ EoI/ Proposal will be summarily rejected.

MB Power (Chhattisgarh) Limited l. Full pertinent information that may affect the performance or responsibility of the Bidder or any JV/Consortium member such as ongoing litigation, financial distress, strikes & lockouts etc. must be disclosed.

m. The EoI shall be complete in all respects duly substantiated with all supporting documentation n. Standard of Ethics: It is MBPCL policy to require that the bidder shall observe the highest standard of ethics during the short listing, selection and execution of such contract. Bidders should be aware that any fraudulent or corrupt activities may disqualify them immediately from the selection process. o. Bidders to note that MBPCL reserves the right to split the EPC Contract in to various packages i.e. BTG Supply, BoP Supply & Service, Civil Works, Erection, Testing & Commissioning etc.may be awarded separately as Jointly for the various packages. 4. Contents of EoI a. The Expression of Interest Documents in original, along with three more copies shall be submitted to MBPCL. The Expression of Interest document should contain the following information in the enclosed formats/ annexure as applicable: i. General Information of the Bidder. ii. Experience of the Bidder including details of the Contracts of similar nature and complexity. iii. Number and values of the current Contract Commitments / Works in Progress, along with completion schedule. iv. Manufacturing / Procurement/Erection Capabilities. v. Certificates/documents in respect of meeting the Technical, Financial criteria stipulated hereunder. vi. Bidder to submit certified copy of their audited Financial Statements for the last three Financial years as well as a copy of Unaudited Financial Statements for the period ended 31st March 2011 with each set of EoI document vii. Joint Deed of Undertaking, if any viii. Licensee/Agreement for manufacturing of equipments, if any ix. Any other document as deemed fit by the bidder. Bidder shall submit the Joint Deed of Undertakings or other Agreements whichever applicable in the specified format at RFP stage.

Address for Submission of Expression of Interest Documents The Expression of Interest (in hard copies, one in original and three more copies) shall reach MBPCL at the following address on or before the due date. Validity of the EoI Each Bidder shall state that the EoI is a firm and irrevocable and shall be valid for at least three (3) months from the last date of submission of this EoI and till such time as may be extended by MBPCL. 7. Submission of Clarifications / Queries and other communications Bidders are requested to submit written queries on the Project or any other clarifications / queries / communication in written form only to the address mentioned above. Queries will be entertained up to one week prior to the closing date for submission of the EoI. 8. Short-listing of Qualified Bidders MBPCL will decide the Bidders to be short-listed based on the prescribed criteria. After the evaluation of the EoI is completed, RFP Documents will be issued only to the short-listed bidders. 9. MBPCL reserves the right to reject any or all Expression of Interest (EoIs) or cancel/withdraw the Invitation for Expression of Interest of the International Competitive Bidding process for selection of EPC Contractor without assigning any reason whatsoever and in such a case no bidder/intending bidder shall have any claim arising out of such action.

SECTION D ELIGIBILITY CRITERIA


1.0 Basic Eligibility Criteria a. EoIs/RFQs are invited from parties satisfying the eligibility criteria laid in this document, on or before the last date for submission of the EoI Documents. EoI from parties not satisfying the criteria will not be considered for short listing. b. The Bidder shall provide the acceptable documentary evidence that the Bidder and / or where applicable, its associates / partners, i. is a manufacturer, who regularly manufactures equipment of the type specified and / or undertakes the type of works specified and has adequate technical knowledge and relevant experience with requisite engineering and infrastructure for project management and execution. ii has adequate Financial stability and status to meet the Financial obligations pursuant to the works covered in this document. Has adequate design, manufacture and/or fabrication/erection capability and capacity available to perform the work properly and expeditiously within the time period specified. The evidence shall specifically cover, with written details, installation, manufacturing and/or fabricating capacities and present commitment (excluding those anticipated under the EoI Documents). If the present commitment are such that the installed capacity results in an inadequacy of manufacturing and / or fabrication capacities to meet the requirements appropriate to the works covered in the EoI Document then the details of the alternative arrangements to be organized by the Bidder and / or his associate / partner for this purpose shall be furnished and same shall be subject to MBPCLs approval and acceptance.

iii has an adequate project management expertise capable of executing the Project under consideration, covering the areas related to engineering of equipment / systems, interface engineering, procurement of equipment and the necessary field services required for successful construction, testing and commissioning of all the power plant equipment and systems covered in the scope of work under this document and has established quality assurance systems and organization designed to achieve high levels of equipment performance / system reliability both during his manufacturing and / or fabrication and field installation activities. iv has adequate experience and knowledge to execute the Thermal Power Projects. c. Declaration of Undertaking The Bidder shall especially note:

MB Power (Chhattisgarh) Limited The parties involved in the awarding procedure emphasise the importance of free, fair and competitive process that precludes abuse. In this respect MBPCL has not offered or granted any inadmissible advantages either directly or indirectly to public servants or other persons in connection with its EoI, nor shall it offer or grant any such incentives or rewards in the present awarding procedure or, in case of an award, during subsequent execution of the agreement. The Bidder shall inform its employees of their respective duties and their commitment to observe this self-imposed obligation to abide by the laws of the Republic of India and the state of Chhattisgarh. 2.0 Technical Eligibility Criteria In addition to the basic requirements stipulated above, the Bidder should also meet the qualifying requirements stipulated hereunder in Clause 2.1(a) to 2.1(c) as applicable: 2.1 Bidders should meet the qualifying requirements stipulated hereunder: (a) The bidder (Refer ClauseNo.3.1 for explanation of LICENSOR OR LICENSEE & Refer ClauseNo.3.2 for explanation of LICENSEE) should have designed, engineered, manufactured, installed, tested and commissioned at least two (2) units (SG, STG & BoP) of 500 MW or higher capacity of the type to be offered in the bid on EPC basis. Out of the above, at least one (1) units (SG, STG & BoP) should have been in successful commercial operation for the last one (1) year and logged not less than 7,000 operating hours as on the date of submission of RFQ/EoI. Bidders who are not the manufacturers but are EPC (Engineering, Procurement and Construction) contractors may also be qualified subject to submission of Joint Deed of Undertaking (JDU) / Consortium Agreement / Joint Venture Agreement with the Associated Companies who are manufacturers of SG & STG. The JDU shall specifically mention that in case the bidder gets the award of the contract, the Associated Companies shall comply to all the requirements of the Bidder mainly in respect of the technical specifications, the quality requirements, the delivery schedule, Performance Guarantees and the availability of experts for construction supervision and commissioning of the plant. The Associated Companies should meet the qualification criteria mentioned in Para (a) & (b) above. However, the Lead Bidder after seeking the approval of MBPCL may be permitted to offer an alternative Consortium Members for supply of SG & STG without affecting the qualifying criteria specified in this document.

3.0 SPECIFIC REQUIREMENTS-FOR LICENSOR OR LICENSEE 3.1 The manufacturer (LICENSOR OR LICENSEE) shall furnish satisfactory evidence to establish the following without any ambiguity that:

MB Power (Chhattisgarh) Limited (a) (b) (c) (d) He is a qualified manufacturer of Boiler and/or Turbine & Generator who regularly manufactures the equipment and has adequate technical knowledge and practical experience. He has adequate plant and manufacturing capacity available to perform the works properly and expeditiously within the time period specified. He has adequate field service organization to provide the necessary field supervision and management services required to successfully erect, test and commission the equipment as required. He has established quality assurance systems and organization designed to achieve high levels of equipment reliability, both during his manufacturing and field supervision activities.

3.2 The manufacturer (LICENSEE) shall meet the following requirements and shall submit the documents to owner on demand. (a) (b) (c) (d) (e) (f) Any design including engineering undertaken by the LICENSEE shall be approved by the LICENSOR. LICENSEE shall manufacture with the approval of the LICENSOR and owner, under a quality assurance program approved and monitored by the LICENSOR LICENSEE must furnish backup guarantee from the LICENSOR for individual and over all performance of the equipment supplied under the contract including conceptual engineering and system design. The LICENSEE agreement should be valid for a period of five years from the date of successful completion of trial operation the equipment installed for this project. LICENSORs quality assurance standards to be followed by the LICENSEE shall be made available to the owner or owners inspector or his authorized representative. LICENSORs technical support will be made available as required by the owner in answering owners technical queries by way of correspondence and participation in coordination meetings during the execution of the contract.

LICENSEE who have designed, engineered, manufactured, tested and commissioned at least five (05) such Boiler Package, Turbine Package, Generator Package and Control & Instrumentation Package (as the case may be) of Capacity as per the Qualifying criteria mentioned in clause no 2.0 or higher capacity of the type offered in the bid for the project in the last ten (10) years and at least 2 of these Boiler Package, Turbine Package, Generator Package and Control and Instrumentation Package should have been in successful commercial operation for a period of not less than 7000 hours each as on date of submission of EoI, are exempted to meet the requirements given above. 3.0 Financial Eligibility Criteria a. The Average Annual Turnover of the Bidder (aggregate of all the Consortium members) together with Steam Generator and/or Steam turbine generator and their auxiliaries package in the last three (3) consecutive Financial years as on the last date of submission of EoI, shall not be less than INR 10,000 million or equivalent USD.

The Bidders (aggregate of all the Consortium members) Net Worth as on the last day of preceding Financial year shall not be less than INR 5000 million or equivalent USD. Net Worth shall mean the aggregate of Paid-up Share Capital plus free Reserves less miscellaneous expenses if any to the extent not written off. c. Bidder shall submit his audited balance sheet for last three (3) years and in case of Consortium the audited balance sheet of each of the Consortium members shall be submitted as part of EoI document along with other details as required for meeting the qualification criteria. NOTE: The USD Indian Rupee Exchange rate for the purpose of conversion into Indian Rupees shall be considered as the corresponding TT buying rate specified by the State Bank of India seven days before the last date of receipt of EoI document. 4.0 General: 7.1 Bidders are required to furnish the details and documentary evidence in support of the past work experiences based on which the short listing will be made and enclose relevant documents like copies of authentic work orders, completion certificates, agreements, documentation of satisfactory commercial operation of plants including contract person name, address, phone / fax numbers, failures of components /equipment/ systems and other problems faced during commissioning and commercial operation, etc., other supporting details of data provided. 7.2 The above stated requirements are the bare minimum criteria. However, notwithstanding anything stated above, MBPCL reserves the right to assess the Bidders / respective manufacturers capability and capacity to perform the Contract should the circumstances warrant such an assessment in the overall interest of the MBPCL. MBPCL reserves the right to reject the proposal of any Bidder, if in the opinion of the MBPCL, the qualification data is incomplete or the Bidder is found not qualified to satisfactorily perform the Works. 7.3 The Bidder shall supply general information on the management structure of the firm, and shall make provision for suitably qualified personnel, with the required background and experience, to man the key positions during Contract implementation period.
