Please read this page carefully. It provides you with important information about your Ecobank account(s).
A. TErms / sCOPE Theinformationcontainedonthispagetogetherwithanyfurtherinstructions andconditionsthatmaybeprescribedbythebankfromtimetotimeshallconstitute thetermsoftheagreementbetweenthecustomerandEcobank.whenthisapplication formhasbeensigned,itwillbedeemedtohavebeenacceptedasbindingonthe customerandtheEcobankrepresentativeofficeoraffiliatewheretheaccountisheld. TheseconditionsapplytoeachaccountopenedundertheAccountOpeningform orinanyotheracceptablemanner. Theseconditionsaresupplementedand/oramendedforAccountsheldincertain countriesorterritoriesbylocalconditions(thelocalConditions),whichwillbe suppliedtotheCustomerbyEcobankandwillbebindingontheCustomerandEcobank. IfthereisaconflictbetweentheseconditionsandanylocalConditions,thelocal Conditionsprevail;andifthereisaconflictbetweentheseconditionsoranylocal ConditionsandanyagreementrelatingtoaserviceorproductprovidedtotheCustomer (aService),thatagreementprevails. TheCustomerwillprovidetoEcobankalldocumentsandotherinformationreasonably requiredbyitinrelationtoanyAccountoranyService. b. ThE ACCOUNT TheCustomershallassumefullresponsibilityforthegenuineness,correctness andvalidityofallendorsementsappearingonallcheques,orders,bills,notes, negotiableinstruments,receiptsorotherinstructionsdepositedintotheaccount. TheBankwillnotberesponsibleforanylossoffundsdepositedwithitarisingfrom anyfutureGovernmentorder,law,levy,tax,embargo,moratorium,exchangerestriction oranyothercausebeyonditscontrol. YouraccountshallbedebitedforanyservicechargethatissetbytheBankfromtimetotime. Allnoticesorletterswillbesenttothephysical,postalorelectronicaddresssupplied byyouandwillbeconsidereddulydeliveredandreceivedatthetimeitisdelivered orsevendaysafterposting. The bank will not be liable for funds handed over to members of its staff other than the Cashiers / Tellers in the banks premises with the appropriate deposit slip. Any anomaly in the entries on your bank statements must be brought to the attention of the bank within 30 days of the date thereof and you agree that failure to give such notice absolves the bank from all liabilities arising thereof. TheBankmayexerciseitsgenerallienoranysimilarrightitisentitledtoincluding therighttocombineandconsolidatealloranyoftheCustomersaccountswith theBank,andtherighttosetoffortransferanysumorsumsstandingtothecredit ofanyoneormoreofsuchaccountsagainstliabilitiesinanyotheraccount. C. INsTrUCTIONs Ecobankmayrelyontheauthorityofeachpersondesignated(inaformacceptable toEcobank)bytheCustomertosendInstructionsordoanyotherthinguntilEcobank hasreceivedwrittennoticeorothernoticeacceptabletoitofanychangefrom adulyauthorizedpersonandEcobankhashadareasonabletimetoact(afterwhich timeitmayrelyonthechange). EachoftheCustomerandEcobankwillcomplywithcertainagreedsecurityprocedures (theProcedures)designedtoverifytheoriginationofinstructionsbetweenthem suchasenquiries,advicesandinstructions. EcobankisnotobligedtodoanythingotherthanwhatiscontainedintheProcedures toestablishtheauthorityoridentityofthepersonsendinganInstruction.Ecobank isnotresponsibleforerrorsoromissionsmadebytheCustomerortheduplication ofanyInstructionbytheCustomerandmayactonanyInstructionbyreferenceto anaccountnumberonly,evenifanaccountnameisprovided.Ecobankmayacton anInstructionifitreasonablybelievesitcontainssufficientinformation. EcobankmaydecidenottoactonanInstructionwhereitreasonablydoubtsitscontents, authorization,originationorcompliancewiththeProceduresandwillpromptlynotify theCustomer(bytelephoneifappropriate)ofitsdecision. IftheCustomerinformsEcobankthatitwishestorecall,canceloramendanInstruction, Ecobankwilluseitsreasonableeffortstocomply. IfEcobankactsonanyInstructionsentbyanymeansrequiringmanualintervention (suchastelephone,telex,telefax,electronicmailordiskssentbymessenger)then, ifEcobankcomplieswiththeProcedures,theCustomerwillberesponsibleforanyloss EcobankmayincurinconnectionwiththatInstruction. d. ChEQUEs TheBankisundernoobligationtohonouranychequedrawnontheaccountunless therearesufficientfundsintheaccounttocoverthevalueofthesaidcheques andsuchchequesmaybereturnedunpaid. Allchequesorotherorderssignedbyyou(oreitherorbothofyouifajointaccount) willbeprocessedbytheBankandyouraccountwillbedebitedforsuchchequeswhether suchaccountisforthetimebeingincreditoroverdrawnormaybecomeover-drawn inconsequenceofsuchdebit. TheBankmayexerciseitsdiscretioninallowingwithdrawalsagainstunclearedcheque(s) wherethechequesarereturnedunpaidthereafter,theBankshallhavetherighttohold ontothereturnedchequeandtakefurtheractionitdeemsappropriatetorecoverthe valueofthewithdrawalfromyou.TheBankshallhavetherightwheneveritdeems appropriatetoconfirmtheissuanceofachequedrawnontheCustomerscurrentaccount failingwhichthechequemaybereturnedwithDrawersConfirmationRequired endorsedthereon. Youmustensurethatyourchequebookiskeptinasafeplacetopreventunauthorized personsfromgainingaccesstosameasfailuretodothis,maybeagroundforany consequentiallossbeingchargedtoyouraccount. Ifyourchequebookgetslost,missingorstolenyoumustnotifytheBankimmediately. TheBankshallnotbeheldliableforanyunauthorizeduseofyourchequebookwhere thelossorotherwiseofsamewasnotreportedimmediately. Ecobankmaysupplychecks,paymentsinstrumentsandrelatedmaterialstothe CustomerandtheCustomerwillmakereasonableeffortstoavoidanyfraud,loss, theft,misuseordishonorinrespectofthem.TheCustomerwillpromptlynotify Ecobankinwritingofthelossortheftofanycheckorpaymentinstrumentandwill returntoEcobankordestroyanyunusedchecks,paymentinstrumentsandrelated materialswhentherelevantAccountisclosed. E. OvErdrAwN ACCOUNTs OverdraftmaybeavailabletocustomersuponarrangementwiththeBank.Ifyoudo nothavesucharrangement,theBankmayinitsdiscretion,nonethelesshonouracheque eventhoughsuchaccountmaybecomeoverdrawninconsequence.Insuchacase, theCustomeragreestorepaytheoverdraftwithin7days,andbeartheextrafeeand interestatourcurrentrateforunauthorizedborrowingfortheperiodthattheaccount remainsindebit.Ifyouraccountdoesnothaveenoughclearedfundstocoveranamount youwanttodraw,wereservetherighttoreturnyourchequeunpaid. TheBankreservestherighttousecreditbalancesonyourcurrentaccount(s)tooffset anyoutstandingexposuresonanyofyouraccounts. F. sTATEmENTs ANd AdvICEs StatementsandAdvicescanbedeliveredtotheCustomereitherphysically,bypost orelectronically(e-Statementsore-Alerts). whererequested,theBankmayprovideelectronicStatementsorSMS-Alertsorother similarservicetoprovideinformationontransactions.Theserviceisprovided asavailableandwithoutanywarrantyoffitnessforaspecificpurpose.wedonot warrantthatthisservicewillalwaysbeuninterrupted,orthatanyinformation providedisaccurateandcurrentasatthetimeitisreceived.TheBankdisclaims responsibilityfortheserviceprovidedbyanynetworkprovider. Irrespectiveofthechannelusedtodeliverthestatementoradvice,theCustomerwill notifyEcobankinwritingofanythingincorrectinastatementoradvicepromptly andinanycasewithinthirty(30)daysfromthedateonwhichthestatementoradvice issenttotheCustomer. G. INTErEsT, FEEs ANd OThEr AmOUNTs YouwillbeliableforthepaymentofinterestchargesattheratefixedbytheBankfrom timetotimeforanyoutstandingdebitonyourcurrentaccount.Yourcurrentaccountmay alsobedebitedfortheBanksusualbankingcharges,interest,commission,etc. unlessotherwiseagreed,Ecobankmaymodifyatanytimetherateofinterest, feesorotheramountapplicabletoanyAccountorService(butsubjecttoanylegal requirementastonotice).

h. FOrCE mAJEUrE NeithertheCustomernorEcobankwillberesponsibleforanyfailuretoperformany ofitsobligationswithrespecttoanyAccountifsuchperformancewouldresultinitbeing inbreachofanylaw,regulationorotherrequirementofanygovernmentorotherauthority inaccordancewithwhichitisrequiredtoactorifitsperformanceisprevented,hindered ordelayedbyaforceMajeureEvent;insuchcaseitsobligationswillbesuspended, forsolongastheforceMajeureEventcontinues(and,inthecaseofEcobank,noother representativeofficeoraffiliateshallbecomeliable).forceMajeureEventmeans anyeventduetoanycausebeyondthereasonablecontroloftherelevantparty, suchasrestrictionsonconvertibilityortransferability,requisition,involuntarytransfers, unavailabilityofanysystem,sabotage,fire,flood,explosion,actsofGod,civilcommotion, strikesorindustrialactionofanykind,riots,insurrection,waroractsofgovernment. I. shArING OF INFOrmATION EcobankwilltreatinformationrelatingtotheCustomerasconfidential,but(unlessconsent isprohibitedbylaw)theCustomerconsentstothetransferanddisclosurebyEcobank ofanyinformationrelatingtotheCustomertoandbetweentherepresentativeoffices, affiliatesandagentsofEcobankandthirdpartiesselectedbyanyofthem,whenever situated,forconfidentialuse(includinginconnectionwiththeprovisionofanyService andfordataprocessing,statisticalandriskanalysispurposes). Ecobankandanyrepresentativeoffice,affiliate,agentorthirdpartymaytransferand discloseanysuchinformationasrequiredbyanylaw,court,regulatororlegalprocess. J. ELECTrONIC mONITOrING Or rECOrdING TheCustomerandEcobankconsenttotelephonicorelectronicmonitoringorrecording forsecurityandqualityofservicepurposesandagreethateithermayproducetelephonic recordingorcomputerrecordsasevidenceinanyproceedingsbroughtinconnection withtheseconditionsoranylocalconditions. k. ChANGE OF mANdATE ThecustomermustnotifytheBankimmediatelyofanychangeintheaddress,directors, committeemembers,trustees,designatedmembers,secretaries.Anymodificationof changeinauthorizedsignatoriesmustbesignedinaccordancewiththeexistingmandate andaccompaniedbyaresolutiontothateffect.

L. TErmINATION Eitherpartymayterminatethisagreementatanytime(butsubjecttoanylegal requirementastonotice)bynotifyingtheotherinwriting. On closure of an Account, the termination becomes effective after any cheque drawn on the account or outstanding on it have been paid; all cheque books and cards issued to you have been sent back to the bank; and all information and equipments supplied by Ecobank have been returned to the bank. wheretheBankisterminatingtheagreementandyouraccountisoverdrawn,youmust payallsumsoutstandingontheaccountotherwisetheBankmaytakeappropriatelegal actionforrecovery. AllmandatorydocumentationshouldbecompletedbytheCustomerwithinthree (3)monthsofopeningtheaccount.Ifyoudonotprovidetherequireddocumentwithin three(3)months,theaccountwillbeautomaticallyclosedafterpriornoticetoyou. m. JUrIsdICTION InrelationtoanyaccounttheseconditionsandtherelevantlocalConditionsare governedbythelawofthecountryorterritoryinwhichthataccountisheld. N. dIsCLAImEr CLAUsE Thebankdisclaimsliabilityforanyfunds/assetsdepositedbyyouwhichare subsequentlyfoundtohavederivedfromillegalsourceoractivities. Youconfirmthatthefunds/assetsdepositedarenotderivedfromanyillegalsource oractivities.
