THIS NON-DISCLOSURE AGREEMENT is entered into on this .

day of November 2005 Between NATIONAL INNOVATION FOUNDATION, a registered society under the Societies Registration Act 1860 having its registered office at Bungalow No.1, Satellite Complex, Jodhpur Tekra, Premchand Nagar Road Ahmedabad in the state of Gujarat hereinafter referred as Disclosing Party and jointly the Parties (the expression unless repugnant to the context shall include its employees, representatives, successors and assignees) AND ..incorporated under Indian laws having its offices at . (Hereinafter called "Recipient" and jointly the Parties, the expression unless repugnant to the context shall include its employees, successors and permitted assigns) of the second part.

WHEREAS Disclosing Party is in possesses of Traditional knowledge practices and leads in treatment of certain diseases. The said confidential information is received by the Disclosing Party as entries sent to NIF, which is confidential and proprietary to Disclosing Party WHEREAS the Recipient is willing to receive the Confidential Information pursuant to the term and conditions of this Agreement for the purpose of screening and validation of the of the claims made by the Disclosing Party. WHEREAS the disclosed information is from the data basis of National Innovation Foundation, which in true sense is the knowledge, practices and information shared by various people across the country, India. NOW THEREFORE, in consideration of the Disclosing Party making its Confidential Information available to the Recipient, the parties do hereby agree as follows: 1. The restrictions set forth in this Non Discloser Agreement on use and /or disclosure of Confidential Information shall not apply to any information: a. That is already in the possession of the Recipient outside the scope of this agreement. b. Is or becomes generally available to the public, otherwise than by breach of the terms herein.

Becomes available to the Recipient on a non-confidential basis from a source other than the Disclosing Party.

Provided the same is revealed immediately after the disclosure has been made to the Recipient along with the source of use and all other relevant details in writing. 1. The Confidential Information as disclosed to the Recipient shall be kept strictly confidential and shall not be sold, traded, published or otherwise disclosed to anyone in any manner whatsoever, including by means reproduction, without the Disclosing Partys prior written consent. 2. This Non Disclosure Agreement is only for the screening, validation and authentication of the claims made by Disclosing Party.

The Confidential Information including all intellectual property such as, Traditional Knowledge, Practices etc shall remain the property of Disclosing Party, even after the verification by Recipient. The Recipient agrees to hold all Confidential Information in trust and confidence, both during and after the term of this Agreement and agrees not to disclose to any person, firm or corporation, company subject specialist and / or use such Confidential Information in any manner.

4. No amendments, changes or modifications to this Agreement shall be valid except if the same are in writing and signed by a duly authorized representative of each of the Parties hereto. 5. This Non Disclosure Agreement comprises the full and complete agreement of the Parties hereto with respect to the disclosure of the Confidential Information and supersedes and cancels all prior communications, understandings and agreements between the Parties hereto, whether written or oral, expressed or implied with respect to the said disclosure. 6. This Non Disclosure Agreement shall become effective on the date first set forth above and shall continue in effect until .. This Non Disclosure Agreement may be extended by the mutual agreement of the parties in writing. The terms of this Non Disclosure Agreement shall survive the even after the termination of the Non Disclosure Agreement.

7. This Non Disclosure Agreement shall be governed by and interpreted in accordance with the laws of India. In the event of any dispute(s) or differences arising between the parties hereto, such dispute shall be referred to Arbitration of a common arbitrator, if agreed upon, otherwise to two arbitrators, one to be appointed by each party to this agreement who shall appoint an umpire and the Arbitration & Conciliation Act, 1996, and subsequent amendments thereto, of India shall govern such arbitration. 8. Any notice required to be given hereunder by any Parties shall be given in writing and should be considered to have been well and sufficiently given, for the purpose of this Agreement, if mailed by prepaid registered mail, telecopied or sent by other form of telecommunication to, or delivered to, the address of the respective Parties as mentioned herein above.
