Memorandum of Association of Welfare Society

All Kerala Cable TV Operators

1. The name of the Society shall be All Kerala Cable TV Operators Welfare Society.

2. The registered office of the Society shall be situated in the State of Kerala and at present its office is functioning in the following address.

3. The Objects of the Society are.

a. To encourage cooperation and unity among the cable TV operators operating in Kerala. b. To render technical and financial assistance to the cable TV operators c. To impart training to field staff of cable TV operators. d. To share the common expenses so as to reduce wastage of financial resource of cable TV operators e. To conduct research for improving the performance of efficiency of Cable TV Operators. f. To borrow or receive money (with interest or without interest) upon such terms and conditions as are approved by the Governing Body of the Society. g. To take over the operations, assets and liabilities of similar associations in furtherance and connected to the attainment of the aims and objectives of the Society. h. To engage, employ or hire appropriate staff, workers, legal experts and other professionals and agents for the work and furtherance of the aim and objects the society and pay their wages, salaries, stipends or fees.

i. To organize seminars, meetings, Press- conferences and other lawful gatherings from time to time j. To receive financial and non- financial assistance from Government, NonGovernment organizations, International agencies, Banks and any other legal entity or individual. k. To invest the moneys of the society not immediately required, in mutual funds, securities or deposits as are permitted by the law. l. To purchase/build/acquire land and/or buildings in the name of the society for the up-liftment and fulfillment of the aims of the Society. m. To erect, construct, alter, maintain, sell, lease, mortgage, transfer, improve, develop, manage and control all or any part of the property or the building of the Society, necessary or convenient for the purpose of the attainment of the aims and objects of the Society n. To publish souvenir and other literature. o. To do such other things/activities which are necessary and which may be incidental to the attainment of any of the objects of the Society. p. All incomes, earnings, movable or immovable properties of the Society shall be solely utilized and applied towards the promotion/attainment of the aims and objects of the Society. q. All acts/activities/programs shall be non-profitable and the Society shall function based on the principal of mutuality. r. The excess of income over expenditure if any of the Society shall not be distributed among member and shall be used for the objects of the Society.

Internal Rules and Regulations of the Society

2. MEMBERSHIP The membership of the Society is open to any person who has attained the age of 18 years and full fill the terms and conditions and criteria framed by the Governing Body from time to time but subject to the approval of the Governing Body.

3. ADMISSION FEE AND SUBSCRIPTION Admission fee and subscription shall be as under unless otherwise revised by the Governing Body of the Society: a. Admission Fee Rs.500/- at the time of admission b. Subscription Fee Rs.500/ per year.

4. TERMINATION OR CESSATION OF MEMEBRSHIP The Governing Body of the Society shall have the power to expel/terminate a member or/and members from the membership of the above Society, on the following grounds;

a. On death b. On written resignation c. If found to be involved in any anti-social activities. d. If adjudged by any court of law to be a criminal offender or of unsound mind.

e. If found guilty by means of anti-propaganda of the Aims and Objects of the Society. f. IF fails to pay the subscription or contribution within three months from the due date. g. If ha not attended three consecutive meeting without proper intimation. h. If discharged Rules and Regulations or disobey the decisions of the Society.

Note: The decision of the Governing Body regarding the termination from membership of the Society shall be communicated to the member concerned.

5. GENERAL BODY DEFINED: All the members of Society will constitute General Body of Society. 6. FOUNDER MEMEBRS Members of first Governing Body shall be known as founder members of the Society. 7. GENERAL BODY a) NOTICE: Minimum 10 days notice shall be given to the members, before the date of General Body Meeting, enclosing agenda, specifying date, time and venue of the meeting. b) MEETING: General body meeting shall be held once in every year regularly. c) QUORUM: Quorum of General Body meeting shall be 2/3 (two third) d) URGENT MEETING: Urgent General Body meeting may be called by 2 days short notice but the quorum for the same Urgent General Body Meeting shall be 2/3 (two third) of the total strength of the General Body. 8. RIGHTS AND PRIVILEGES OF MEMEBRS All members of the Society :a. Shall be entitled to participate in meetings, cultural/educational/training functions and other lawful gatherings, called or arranged by the Society.

b. Have right to collect the Identity Card after depositing the required/ prescribed fee (Fixed by the Governing Body of the Society from time to time).

9. DUTIES OF THE MEMEBERS Members of the Society shall: a. Elect the Governing body of the Society. b. Attend the General Body Meetings Regularly. c. Give the necessary information to the Society, pertaining to any matter which is necessary to be known by the Society. d. Not indulge in activities which are prejudicial to the aims and objects and/or the Rules and Regulations of the Society.

10. GOVERNING BODY

a. STRENGTH: The Strength of Governing Body (Including Office Bearers and executive members) shall not be less than 7 and not more than 21. b. TERM: The term of the Governing Body shall be TWO YEARS. c. NOTICE: Minimum 7 days notice shall be required for Governing Body meeting . However in urgent cases, 24 hours notice is enough. d. MEETING: Governing Body Meeting of the Society shall be held as and when the Governing Body of the Society may decide from time to time. e. URGENT MEETING: The urgent Governing Body meeting may be called by the 24 hours Notice but the quorum for the same Urgent Governing Body Meeting shall be 2/3 (two third) of the total strength of the Governing Body of the Society. 11. FUNCTIONS AND POWERS OF THE GOVERNING BODY Governing Body shall be responsible for the management and administration of all affairs of the Society, and is also authorized to appoint any office bearer/Executive Member to look after any particular activity.

Governing Body shall also have the following Powers a. To take necessary steps for the implementations of all the programs and policies drawn by the General Body. b. To pass the necessary expenditure to meet the day today requirement of the Society. c. To take decisions on applications for new membership. d. To prepare plans, projects and Programs. e. To manage the affairs of the Society and to keep control over the property of the Society and all its assets. f. To invest the funds of the Society not immediately required in such a manner as may be determined by the Governing Body. g. To appoint Committee(s) for disposal of any business of the Society or for advise in any matter pertaining to the Society. h. To send representative(s) to any exhibitions or contest and training etc. within or outside India.

i. To appoint Returning Officer and his/her powers to complete election process. j. To appoint the Patrons(s) of the Society. k. To arrange and receive loan from any Bank(s) or from any other legal entity or individual(s) on reasonable terms and conditions. l. To establish and collect funds in cash or in kind for special purposes ancillary to the attainment for the objects of the Society. m. To receive money, securities, instruments and or any other movable or immovable property for and on behalf of the Society. n. To enter into agreement for and on behalf of the Society. o. To take such other steps for the smooth functioning of the Society.

13. POWERS AND DUTIES OF OFFICE BEARERS A. PRESIDENT: President shall be subject to the control and supervision of the Governing Body, have the power to make general directions and management of the affairs relating to the Society. The President of the Society shall also enjoy the following powers and Duties; a. President shall summon and preside over all Governing Body and General Body meeting of Society. b. President shall have powers to call any emergency meeting by short notice. c. President shall have the power to allow inclusion of any subject/matter in the agenda for the discussion in the course of proceeding/meeting. d. At the time of voting on any matter/subject (except election), if the total votes of the groups of members happen to be equal in number, The President has the power to cast an extra vote to decide the matter/subject. e. In the course of any proceedings or meetings of the Governing Body or the General Body, the decision of the President shall be considered as final (in case of dispute as to the meaning or interpretation of any Rule). f. President shall sign all the papers/letters, on behalf of the Society, to conduct its correspondences. g. To appoint/terminate such staff as may be required for effective and efficient management of the affairs of the Society and fix their remuneration. h. President will get the accounts of the Society audited by a Qualified Auditor, appointed by the Governing Body of the Society.

B. VICE PRESIDENT There shall be one vice president of the Society to assist the President in his/her work. Vice president shall enjoy all powers of the president in his/her absence. C. GENERAL SECRETARY

a. General Secretary shall circulate the notice to the concerned office bearers and executive members/general members. b. General Secretary will prepare the membership register as well as the Proceeding and General Body Meetings and have them duly signed by the members who attend the meeting. D. SECRETARY There shall be one secretary of the Society to assist the General Secretary in his/her work. Secretary shall enjoy all the powers of General Secretary in his/her absence.

E. TREASURER a. All the funds shall remain under the care and management of Treasurer of the Society. b. Treasurer shall maintain the accounts of all money which is received and/or paid by him/her on behalf of the Society. c. Treasurer shall produce all the account books in every Governing Body/General Body meeting. d. The Treasurer will ordinarily hold a cash balance not exceeding Rs.15000/(or the amount which may be fixed by the Governing Body of the Society from time to time.) to meet the emergent needs relating to the Society. e. All cash excess of the above amount (or the amount fixed by the Governing Body) shall be deposited in any bank/banks, decided by the Governing Body of the Society.

F. EXECUTIVE MEMEBR Executive member shall assist the governing body for the smooth functioning of the Society.

14. ELECTION

The General Body shall in its annual meeting will elect all the office bearers and executive members of Governing Body in every two years by secrete ballot papers or by show of hands as the election officers may decide.

15. APPEALS All the appeals shall be referred to the General Body of the Society. The decision of the General Body shall be final. The decision of the General Body shall be communicated to the member concerned.

16. FILLING UP OF CASUAL VACANCIES Any casual vacancy, amongst office bearers and executive members of Governing body, shall be filled by the resolution passed by the Governing Body. Such appointment shall be confirmed by the General Body in its coming General Body meeting.

17. SUB- COMMITTIES

a. Governing Body may appoint Sub- committee(s) as and when it considers expedient to assist in the furtherance and achievement of the objects of the Society. Governing body may at any time dissolve any such committee. b. Sub- committee(s) shall have such powers as may be delegated to them by the Governing Body. c. Any power delegated to such committees may be withdrawn by Governing Body at any time (without any Notice)

18. BRANCHES Governing Body, in its meeting, shall form the branches and or/the sub committees anywhere in India to attain the aims and Objects of the Society. 19. SOURCES OF INCOME All the income of the Society shall be utilized only for the promotion and upliftment of the aims and objects of the Society. Sources of the income of the Society are as under;

a. Admission Fee and subscription from the members b. Donation and special contribution from members c. Contributions made by the members to meet the common expenditure relating to their operations.

20. AUDIT The accounts of the Society shall be audited by a qualified auditor (Chartered Accountant) every year.

21. BANK ACCOUNTS The Governing Body may open bank account(s) with any reputed Bank for the operations of the Society. Such Bank accounts shall be operated by Joint Signatures of any two office bearers from PRESIDENT, GENERAL SECRETARY AND TREASURER

22. FINANCIALYEAR Financial year of the Society shall be from 1st Day of April to 31st March every year.

23. ANNUAL LIST OF GOVERNING BODY Once in every year a list of the Office Bearers and the Executive members shall be filed in the office of the Registrar of Societies.

24. DISSOLUTION

a. Upon the winding up or dissolution of the society there remain after satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the Society but shall be given or transferred to some other society, having similar objects. b. If society needs to be dissolved, it shall be dissolved as per provisions laid down under the Sec. 13 & 14 of the Societies Registration Act, 1860 25. LEGAL PROCEEDINGS Society may sue and/or be sued in the name of PRESIDENT as per provisions laid down under section 6 of the Societies Registration Act, 1860

26. AMENDMENT Any amendment in Memorandum, Rules and Regulations will be carried out in accordance with Section 12 & 12-A of the Societies Registration Act- 1860

27. APPLICATION OF THE ACT All provisions under all sections of Societies Registration Act 1860 shall be applicable to this Society.
