Reward Computation Conditions:

1. Multiple entries are allowed under this scheme. 2. Partners have to fulfil the above mention qualifying Criteria to qualify the scheme. 3. TZPP/TZVP and Regional Distributor need to submit his sales report (Date, Model Name, T3 Dealer Name, Billing Qty) to ranjeet.jha@toshiba-india.com on daily basis. 4. All Invoices falling between 1st Jan12 to 31st Jan12 will be considered for the Scheme. 5. Any purchases made under Special Price Clearance will not be considered for the Scheme. 6. While all efforts are made by Toshiba India to ensure stock availability; non-availability of stocks and/or delay in delivery shall not be accepted as a reason for non-fulfilment of qualifying criteria.

Following terms and conditions (the "T&C") shall apply to the program (detailed in this document). For the purposes of these T&C, the term Toshiba, when used with reference to a legal entity, shall mean [Toshiba India Pvt. Ltd] and include its Affiliates, as defined hereunder. For calculating the eligibility, sales of net of returns will be taken in to account. Toshiba reserves the right to withdraw the program at any time without prior notice. Toshiba reserves the right to conduct checks on the participants identity from time to time. Toshiba may modify/change the T&C any time without any notice. Toshiba is not responsible for any delay, error, failure, problem or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of electronic mail or entries on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to any participants or to any other computer related to or resulting from participation in, or submitting or downloading materials for, this program. If for any reason, the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Toshiba which corrupt or affect the administration, security, fairness, integrity or proper conduct of Program, Toshiba reserves the right at their sole discretion to cancel, terminate, modify or suspend the Program. Decision taken by Toshiba shall be final in this regard. The Gift Reward won is not transferable or exchangeable for cash. Actual gift rewards described may vary from the description given. Toshiba is not responsible for any lost, stolen, misdirected, delayed, destroyed or illegible claims. By participating in the Program, participants agree to release, discharge and hold harmless Toshiba and all associated and affiliated companies, officers, directors, employees and agents from any and all damages, costs, expenses, and other liabilities, including damages for personal injury or damage to property, whether the damages are direct or indirect, and regardless of whether the claim is based on contract, tort or any other legal theory, which may be due to or arise out of participation in the Program or any portion thereof or the acceptance, use/misuse or possession of the prize. The participant undertakes to indemnify Toshiba against any loss, damage, claims, costs, expenses which may be incurred or suffered by Toshiba due to breach of these terms and conditions. Participant represents and warrants that it will, at its own expense, comply with all applicable laws, orders and regulations of any governmental authority with jurisdiction over its activities in connection with this Program. Gift Rewards offered under the Program are subject to availability, and are not encashable. However, Toshiba reserves the right to provide alternate gift reward of equivalent value. Participants are responsible to utilize the Rewards before the expiry/ termination dates applicable for the same. Toshiba shall not be liable for not utilizing the Prizes within the period specified. Gift Rewards must be redeemed within the due dates mentioned, if any. Gift Rewards not redeemed within the due dates mentioned will not be offered after the due dates under any circumstances. Participant shall not by itself or with others participate in any illegal, deceptive, misleading or unethical practices including, but not limited to, disparagement of products or Toshiba or any of its affiliate companies or other practices, which may be detrimental to products or Toshiba. Toshiba reserves the right to terminate the Program or withdraw the benefits/gifts earned by a participant in the event of an improper payment by the participant in violation of the FCPA or local law or when Toshiba has reasonable belief that the reseller has breached any of the terms and conditions contained here. Toshiba reserves the right to reject any claim without assigning any reason. Any decision taken by Toshiba in this regard shall be final and binding and shall not be subject to any dispute or challenge. Toshiba or its affiliates shall be entitled to use, in any manner, the name, photographs and other details of the participant in any publication including the gift rewards awarded to them, if any. Program is subject to Indian laws. All disputes are subject to Delhi jurisdiction only.
