TAKE ME OUT (Program) CONTESTANT AUDITION / PARTICIPATION TERMS AND CONDITIONS OF ENTRY The audition process shall measure contestants suitability in relation to the requirements of Primeworks Studios Sdn Bhd (Producer) as producer of the Program; and aspects of the audition will be skill and performance based. Each applicant who auditions for the Program (the Applicant) agrees to the following terms and where applicable makes the following warranties to Natseven TV Sdn Bhd (Broadcaster) and Producer as follows:1.

The Applicant, as an applicant for the Program, hereby warrants, undertakes and agrees that he/she:a) is neither an employee nor a close relation (including a spouse, partner, child, parent or sibling) of an employee or contractor of the Broadcaster or the Producer (including the Producer and Broadcasters holding company, Media Prima Berhad and its group of companies or any of its agents, promotional service providers, or the prize providers and/or any person or entity otherwise involved or participating in the production of the Program, including but not limited to the panel of judges; b) understands that he/she may be required to disclose to the Producer during the audition process any person who he/she is in contact with or has access to, who is an employee or contractor of the Broadcaster or the Producer, whether or not they are a friend or relation of the Applicant, and that the Producer may in its absolute discretion determine that the Applicants connection with any such person renders the Applicant ineligible to participate in the Program based on the objective of protecting the integrity and fairness of the Program; c) is over 18 years old; d) is as at the date of the audition and shall remain throughout the recording of the Program, single; e) is a citizen or resident of Malaysia; f) shall, unless expressly permitted otherwise by the Producer, only make one application to appear in the Program and shall not use any means of entering repeatedly; g) agrees and understands that he/she may be required to provide proof of age and identity;

h) If at any stage during his/her participation in the Program, the Participant recognizes any employee, contractor or agent of the Producer or Broadcaster who is connected with the Program to be someone who the Applicant knows personally (whether they are a relative, friend or acquaintance), he/she will immediately notify the Producer.

The Applicant will abide by:a) the terms and conditions set out here (Terms and Conditions);

b) the rules of the Program, a copy of which can be viewed at

www.ntv7.com.my/takemeout (Rules); c) any further conditions set out in an invitation by the Producer to audition for the Program (if any) (Audition Invitation Terms); d) the Contestant Agreement that the Applicant shall enter into with the Producer and/or Broadcaster in the event that he/she is invited to participate in the Program and accepts that the decisions of the Producer in applying such Terms and Conditions, Rules and Audition Invitation Terms and all other matters in relation to the Program are final and not subject to dispute.

If accepted as a potential contestant on the Program, the Applicant agrees to make him /herself available on all dates advised to him/her in advance by the Producer for the purpose of recording the Program. If the Applicant wins any round of the game in which he/she participates as part of the recording of the Program, he/she agrees to be available to compete in the subsequent rounds of the game. This may involve more than one recording day. The Applicant understands that if he/she fails to make him/herself available the Producer may choose not to include the Applicant in the Program and the Producer shall not be liable to him/her for any consequential loss or in any other way. The Applicant shall be responsible for the arrangement and payment of all travel, accommodation and other costs associated with his/her participation in the Program. However, the Applicant who has been shortlisted as a contestant on the Program may be entitled to a token fee of RM50.00 for each day of recording of the Program attended by the shortlisted Applicant upon the Producers instructions in its sole and absolute discretion, payment of which shall be deemed full and final consideration for all travel, accommodation and other costs incurred by the Applicant in connection with the Applicants participation in the Program. As part of the production and broadcast of and publicity for the Program, the Applicant consents to the Producer including personal information which he/she provides to the Producer during his/her contestant application, including the answers the Applicant gives to questions asked in the audition form. For example, the broadcast of the Program in which the Applicant appears (if any)

may include reference to his/her age, occupation and hobbies or any other response which the Applicant has made when applying for participation in the Program.

The Applicant has no criminal charges/proceedings pending against him/her or any history of criminal convictions of any kind whatsoever. If criminal charges are brought against the Applicant from the date hereof up to and including the date of transmission of his/her appearance on the Program (if any), the Applicant agrees to inform the Producer immediately. The Applicant declares that he/she is fit, healthy and able to participate in the Program if selected. The Applicant has been informed about the nature and style of the Program, the wardrobe requirements, and the prizes that may be won. The Applicant acknowledges that the recording day(s) for the Program may involve extended periods of sitting or standing in the same position. The Applicant has not entered and shall not enter into any commercial or other sponsorship agreement or arrangements with any person, firm or company in respect of his/her potential appearance in the Program. The Producer and/or the Broadcaster will not be liable to the Applicant for any arrangements made between the Applicant and any of the other participants in the Program in relation to any prizes to be won. Subject to the Rules, if selected as a contestant the Applicant may be entitled to a cash prize (Cash Prize) payable by cheque and/or a non-cash prize (Giveaway Prize). The Cash Prize and the Giveaway Prize are collectively referred to as the Prize(s). No Giveaway Prize can be exchanged nor can the Applicant receive cash in place of any Giveaway Prize. If the Applicant sells any Giveaway Prize won on the Program, he/she will not advertise nor state directly or indirectly that the item was won as a prize on the Program. In the event that the Giveaway Prizes comprises a holiday or travel, the Applicant acknowledges and agrees that he/she will be responsible for the arrangement and cost of travelling from his/her place of residence to the airport of departure in order to use the Giveaway Prize. Other conditions may be attached to the travel or holiday prizes and the Applicant will be notified of such conditions at the time of winning the prize. All prizes are non-transferable and non-refundable (as the case may be), either in whole or in part. The Applicant acknowledges that his/her entitlement to any Prize is subject to these Terms and Conditions and Rules of the Program. Subject to paragraph 13 below, if the Applicant wins a Cash Prize, a cheque will be forwarded within ninety (90) days of the transmission of the episode of the Program in which it was won. The Applicant agrees that he/she will be liable for all taxes and duties payable in respect of any prizes he/she wins. The Producer will use reasonable endeavors to ensure that if the Applicant wins a Giveaway Prize, it is provided within a reasonable time after the transmission of the episode of the Program in which it was won, subject to availability from suppliers.

The Applicant agrees that the issuing of a Prize is contingent upon the relevant episode of the Program actually being transmitted in whole in Malaysia. Neither the Producer nor the Broadcaster shall be required to award any Prize in any game that arises from an episode that is not actually transmitted in Malaysia. Further, if the production of the entire Program or any episode is abandoned or terminated for any reason by any person, no prize will be awarded to any contestant. For the avoidance of doubt, any Prize(s) are awarded only once irrespective of the number of transmissions of an episode. The Applicant agrees that he/she shall not discuss any information concerning the Program or his/her participation in the Program with any other person, whether by means of discussion, letter, press, photograph, television interviews or any of the social media networks now known or hereinafter coming into existence including but not limited to Facebook, Twitter etc without the prior written consent of the Producer. The Applicant will maintain in confidence at all times (unless authorized or compelled by law) all information relating to any agreement he/she enters into with the Producer, the Program and the business of the Producer that is disclosed to him/her. This paragraph does not restrain disclosure in any manner required by law or for the purpose of prosecuting or defending any claim or in confidence to the Applicants professional advisers for the purpose of obtaining advice on the terms of agreements the Applicant enters into with the Producer or Broadcaster. The Applicant will not in the course of the Program, or in any public statement concerning his/her appearance in it, refer directly or indirectly for any reason whatsoever to any trade or business name, or engage in any activity or make any statement of a political nature or which causes may potentially cause the Producer and/or Broadcaster to be brought into disrepute or be viewed unfavorably, outrage general moral standards and/or damage or tarnish the image or stature of the Producer and/or Broadcaster with its audience, the government authorities or any segment of the population which the Broadcasters operation may serve. The Applicants appearance in the Program (if any) is not a professional performance and therefore does not entitle him/her to any wages, salary, royalty or any other compensation. The Applicant understands that the Producer shall be entitled to edit, alter, or to otherwise, cut the Program at its absolute discretion. Consequently, the Applicant understands that there is no guarantee that his/her contribution (if any) will appear in the finished Program. The Producer has the right to stand down any contestant (including, if selected as a contestant, the Applicant) at any time as circumstances may change which affect the casting of the Program. The Applicant agrees to observe all procedures and rules, including but not limited to the Rules of the Program and obey all instructions in force or given by authorized officials of the Producer or Broadcaster in connection with the management of the Program and or the studios and the fire, health, safety and security arrangements in those studios and surrounding areas.

If any of the information the Applicant has given to the Producer at any time including in his/her application for the Program becomes incorrect due to any change in circumstances prior to the date of transmission of the Program, he/she undertakes to inform the Producer immediately of the nature of such change. The Applicant agrees that the Broadcaster is the owner of the copyright throughout the world in the Program and of the results and proceeds of any contribution and participation the Applicant makes in the Program (including but not limited to material recorded at auditions for the Program). To the extent necessary, the Applicant assigns to the Producer the copyright and all other rights in his/her contribution to the Program, (which includes the Applicants application form) for use in all media now known or which may be developed in the future. The Applicant grants the Producer the irrevocable, perpetual and worldwide right to use his/her name, likeness, photograph, caricature, voice and biographical material in connection with the production and exploitation of the Program, including for any commercial purposes, including endorsement. If the Applicant has any moral rights in relation to his/her contribution to the Program, the Applicant irrevocably consents to all material alterations to such contribution for the benefit of the Producer, its licensees, sub-licensees and assignees for all purposes in relation to Malaysia. For all territories other than Malaysia:a) which recognize a waiver of moral rights, the Applicant irrevocably waives for the benefit of everyone any moral rights and similar rights that he/she may have as a result of the work performed in relation to the Program; b) which do not recognize a waiver of moral rights, the Applicant irrevocably consents to all material alterations to all the recordings made in relation to the Program (Recording), the Program and subject matter, works or materials contained in the Recording and the Program, for the benefit of the Producer, its licensees, sub-licensees and assignees.

During the period of his/her participation in the production of the Program (if any), the Applicant will act responsibly at all times and will maintain a high standard of behavior, attitude and appearance. The Applicant shall comply with any directions and/or instructions given to him/her including, without limitation, in regard to conformity with the Malaysian Communications And Multimedia Commission (MCMC) codes/guidelines, instructions and all relevant laws, rules and regulations including but not limited to all such terms and conditions relating to the Program as may be imposed or devised from time to time by the Producer or Broadcaster. To the extent permitted by law, neither the Producer and/or Broadcaster (including their holding company Media Prima Berhad and its group of companies), nor any of their servants and agents, are liable for any

misadventure, accident, injury, loss, damages, costs or claim suffered by him/her arising out of or during: a) b) c) d)

the making of the Program; undertaking any travel required for the making of the Program; participating in the Program or using any Prize(s); and the making or broadcast of the Program including any statements made by any compere, other contestant or staff member.

The Applicant hereby agrees to indemnify the Producer and/or the Broadcaster against all claims, demands, damages, expenses, costs and actions suffered or incurred by the Producer and/or the Broadcaster (as the case may be) arising from his/her appearance/participation on the Program and any use of any Prize. The Producer and Broadcaster make no warranties as to the qualities, behavior, health or character of other contestants of the Program or the safety and quality of the Giveaway Prize(s). The Applicant acknowledges that by submitting this application and participating in the Program he/she is deemed to have read and understood and agreed to be bound by:a) These Terms and Conditions; b) the Rules, a copy of which can www.ntv7.com.my/takemeout and c) the Privacy Statement set out below.

The Applicant warrants that:(a) all of his/her answers to the questions on his/her application to be a contestant on the Program are true and correct; and (b) He/she will be entirely honest and truthful when taking part in the Program. The Applicant is aware that the Producer may take legal action against him/her if he/she misleads it or misrepresents the true facts in any way. Further, the Applicant confirms that he/she has not undertaken, nor intends to undertake, any activities which would bring the Program or the Producer or the Broadcaster into disrepute. The Applicant acknowledges and agrees that if the Producer determines that the Applicant has breached any of these Terms and Conditions (including any of the warranties given above) or that the Applicant has made any misrepresentation to the Producer in the course of making his/her application to be a contestant on this Program, the Broadcaster may refuse to deliver to or pay him/her any Prize which the Applicant has won or that the Applicant may be required to return any Prize already paid or delivered to him/her at the time the Producer determines that he/she has breached these Terms and Conditions.

The Applicant understands that neither submitting this application, succeeding in this application, nor agreeing to these Terms and Conditions, shall guarantee him/her an audition for or his/her appearance on or participation in the Program. If selected to participate in the Program, in the event of technical failure during the making of the Program, the Applicant will abide by a revised system of determining a winner as will be explained to him/her by the Producer. If the Applicant does not agree to abide by the revised system as explained to him/her by the Producer the Applicant will forfeit his/her place on the Program and any Prize(s). If selected to participate in the Program, the Applicant understands and agrees that he/she is not permitted to and will not place a bet or offer odds on any aspect of the Program (including the ultimate winner) for financial or other gain or request, authorize or encourage any other person to do so, on his/her behalf or their own behalf, based on information given to them by him/her. If the Applicant contravenes this, he/she will forfeit his/her place on the Program and any Prize(s). The Applicant agrees that he/she may not seek injunctive relief against the Producer or Broadcaster nor restrain the Producer or Broadcaster from making and exploiting the Program. PRIVACY STATEMENT The Producer and/or the Broadcaster collects your information for the primary purpose of choosing contestants for the Program for use in the production of the Program and may share your personal information with the Producers affiliated companies and with the Broadcaster for this purpose and you consent to this. You agree that the Producer and the Broadcaster may retain your personal information as part of a record of individuals who have applied to be contestants for the period of time that the Program is being produced, broadcast (including any repeats) and distributed and use it to contact you to enquire whether you wish to appear as a contestant on the Program or other television program produced by the Producer and/or the Broadcaster. You have the right to access any of your personal information which the Producer collects and holds.
