ALYST ACQUISITION CORPORATION 20062009 Chief Strategist / Investor One of four founders and initial investors of the firm, which was incorporated in Delaware as a Special Purpose Acquisition Corporation (SPAC). The firm merged with China Networks, which is a joint-venture provider of broadcast TV services in China, operating in conjunction with state-owned stations in 2nd- and 3rd tier markets to create the first advertising network in the Peoples Republic of China to make advertising in these markets more cost effective. Instrumental in raising $65 million in 2007 in an initial public offering (IPO). Led analyses and due diligence that resulted in the merger with China Networks, closed in 2009. INTEGRATED TELECOMMUNICATIONS SERVICES, LLC 20042006 Chief Executive Officer / Founder Assembled a technology development and multinational sales team to design and implement a global encrypted IP voice and data network; deployed lightweight end points and real-time AES 256 encryption for both SIP and RTP streams, making the network substantially unhackable. Developed strategic and business plans, negotiated with international customers to demo the network and established six end points in each of Asia, Europe, and the United States. After the successful demo, launched a multinational sales effort that became unfeasible after other carriers began offering similar technologies as premium services.

EXECUTIVE MANAGING DIRECTOR As Interim CEO, assumed oversight of all business operations of this AMEX-listed telecommunications equipment company with $30 million in revenue and an operating income loss in 2001 of $11 million. Restructured operations and revised the business plan and marketing strategy to restore profitability to this manufacturer of main distribution frames, telemetry subsystems, and DSL line test equipment. Took the firm from an operating income loss of $3 million in 2003 on revenue of $20 million to $4 million operating profit on revenue of $30 million in 2004. Provided hands-on executive leadership in CEO role. E-FIN, LLC 19972001 Cofounder / Investor / Director Coauthored the business plan and led three rounds of financing for this Internet-based startup that revolutionized indirect automobile finance between auto dealers and financial institutions. At the core was an e-commerce site to link dealers and financial institutions, providing access to deal flow, financing and transaction closing. Raised $5 million in three rounds of financing and led a successful exit to a major financial institution doing a rollup in the space to create a consolidated company that remains successful. Negotiated sale for $12 million to a major financial institution after the dot.com collapse. Provided hands-on executive leadership. LOGISTICARE, INC. 19941999 Cofounder / Investor / Director Coauthored the original business plan and helped develop an innovative software-based outsourced non-emergency medical transportation company. Original equity investment was less than $1 million. Helped direct the company to $55 million revenue and EBIT of $5 million in four years. Co-negotiated exit to a tech buyout group in 1999 for cash for the company at a $40 million valuation. EFJOHNSON, INC. 19921997 Vice Chairman Co-leader of the leveraged buyout of this $100 million telecommunications manufacturer for $35 million with $1.5 million equity, engineering a creative balance sheet structure to facilitate the highly favorable acquisition. Co-led restructuring of the business and financial strategy and business operations. Provided hands-on executive leadership. Negotiated sale of one division for $15 million and then led exit in 1997 for $20 million in cash and stock.
