at the rate of one and a half percent (1 %) or the maximum rate allowable by the law whichever is greater.

If you do not pay an invoice within 30 days we reserve the right to disconnect Services. If you are disconnected for nonpayment you will charged a ten-dollar ($10.00) RECONNECTION FEE. This account is intended to be used while you are traveling or in the event that DSL Service is temporarily interrupted. The backup dial account provides for 5 hours of usage per month at no additional cost to you. (You will, however, be responsible for any long distance or roaming charges that may be incurred for all back-up dial usage.) In the event you use your back-up dial account for more than 5 hours in any month, you agree to pay NTInet one dollar per hour for each additional hour or fraction thereof in excess of 5 hours.

We reserve the right to bill you retroactively for any Services for which we previously had not billed, provided such retroactive billing occurs within one year after the Service is provided. You also agree to pay all applicable taxes resulting from any transaction under this Agreement. This does not include taxes based on our net income.

Termination If you terminate this contract before the end

of the agreed upon term, you will be required to pay a termination liability charge of $100.00. In addition, if we provide Services via a third party, you will be charged all costs we incur for such early termination with our service provider(s). Suspension of service is not permitted.

Upgrades If you upgrade your current Services before the

end of the agreed upon term, no early terminations penalty will be charged. You will be required to purchase the upgrade under a new term commitment with a minimum of 12 (twelve) months and early terminations penalties apply to the upgraded Services.

Term Renewal At the end of the Term of this Agreement,

this Agreement will automatically renew for successive one (1) year terms, unless either party upon giving written notice at least 30 days before the renewal date terminates the Agreement.

Use of Services

Rates The rates that we charge for Services are as specified

in the Business DSL Service Agreement unless otherwise accompanied by an accepted Sales Quote. That document will also specify any additional charges and the length of the term and renewal date of the Agreement between us.

Modem and Router Pricing A DSL modem or router is

required for NTINET DSL Internet Service. A modem will be provided to you with your service at no charge with a 12month service agreement. Instead of a modem, multiple users are supported with a router, which must be purchased separately for $99.00.

You agree to fully comply with our Acceptable Use Policy (AUP), which is attached hereto and hereby made a part of this Agreement. Violation of our AUP by you or any of your employees may result in immediate termination of the Services. You agree to independently assess your need for the Services. You also agree to indemnify us and to hold us harmless from any and all claims resulting from any use of any third party. This indemnification also extends to any utility company that we may use to provide Services.

Letters of Authorization In cases in which you ask us to

act as your authorized agent for ordering and coordinating local and long distance access circuits for services outside of the Agreement, you will execute a Letter of Authorization.

Installation Installation includes setting up you DSL

modem/router and the configuration of 4 computers on a company LAN. Network and telephone jack must be located at the set-up location. There will be an additional charge if network and/or telephone wiring is required. You will be responsible for providing any equipment required establishing network connectivity beyond the modem or router interface.

Bandwidth We do not guarantee bandwidth or port speed

for circuits and connections outside our network.

Limits on Liability For all claims of nonperformance by

NTINET of Services furnished under this Agreement, the Customers sole remedy is credit for period of lost service but solely for interruptions of more than twenty-four (24) consecutive hours. The period of lost service shall be determined by records kept by NTINET. Service lost due to outage of telecommunications circuits not under the direct control of NINET will not be credited. In no event shall NTINET be liable for an amount greater than the Service Fee paid by Customer for one (1) month of service.

Payment You will be billed on the 15th each month with a

due date of the 1st. Your first bill will include all non-recurring charges, charges for the first full month of Service, and the pro-rated amount for Services provided during the month of installation, and Due upon installation. You agree to pay all charges within thirty (30) days of the Billing date of our invoice to you. You shall pay us interest on overdue payments

Credit Your execution of this Agreement signifies your

acceptance of our initial and continuing credit approval procedures and policies. We reserve the right to withhold initiation or full implementation of Service until we are satisfied with our initial credit review and approval. We may require a security deposit before Services are provided. If there is a material adverse change in your creditworthiness we may: (1) interrupt Service; (2) deny requests for additional Services; or (3) require a deposit. Company

Transfer and Assignment You may not sell assign or

transfer any of your rights or obligations under this Agreement without our prior written consent. We reserve the right to transfer Services we provide to you via a third-party network to NTINET-based facilities at any time during the term of this Agreement.

Force Majeure We are not responsible for performing our

obligations when they are delayed or hindered by war, riots, embargoes, strikes, or other Acts of God.

Governing Law This Agreement shall be governed by the

laws of the State of South Carolina

Sever ability If any terms of this Agreement are held to be

invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining terms will not be in any way affected. Version 1.2 5/13/2003

Acceptance By signing below, you acknowledge your

review and acceptance of the terms and conditions contained in this document or any applicable Service Addenda. This Agreement can only be modified in a written document executed by both parties. Any attempts to make modifications to these terms and conditions are void, and will not be enforceable. Our entire agreement consists of this Agreement, an accepted Sales Quote, our Acceptable Use Policy, and any applicable Service Addenda.
