CHARTER
Of The

UNIVERSAL SHANDARIAN COLLECTIVE


Article I - Name This society shall be known by the name of Universal Shandarian Collective, hereinafter referred to as the brotherhood, the fraternity, the society. Article II Philosophy and Vision The official line of thought and philosophy of the brotherhood shall be the Shandarism - doctrine of James Shandar. Shandarism is supreme authority. Any provision shall not be contrary to the spirit and principles of Shandarism. Laws, rules, orders and other directives in opposition to the Shandarian way are void. Article III - Mission Statement The directive first of the brotherhood shall be to reach the purpose of existence (illumination) by following the way of ascension according to the spirit and principles of Shandarism. Any agendas, programs and activities of the brotherhood shall be oriented to this purpose.

Article IV Directors Section 1- Directors: The directors of the Brotherhood shall be named Guardian and the Board of Directors, the Guardians Council. The Guardian Council shall be composed of 11 guardians keeping the 11 dimensions and realities of Shandarism. Section 2- Powers of guardians: The Guardians Council is the trustee, protector and guarantor of the spirit and principles of Shandarism; ensures unity, stability and continuity of Shandarism; defines the policy and direction of Shandarism under will and control of the Grand Assembly; appoints the officers and Emissaries of Shandarism; is in command of the shandarian defense in case of war. Section 3- Election: The guardians shall be separately chosen by ballot at the structuration of the USC. A majority of the whole number of votes cast shall be necessary to a choice. Section 4 - Taking office: The guardians shall be installed as soon thereafter as convenient to serve until their successors are duly elected and installed. Section 5 - Terms: The term of office is intemporal. The members of council will last as long as they have the will, ability and the right to serve the collective will of the Grand Assembly. The day when they can not anymore, they will be replaced by others during other elections. Section 6- Compensation: The guardian shall receive a compensation for their service. Amount and nature of the compensations shall be defined once every 4 years in the annual meeting. Article V - Officer Section 1- Officers: The elective officers shall be a President and a hostess. The appointed officers shall be a Vice-President, Treasurer and Secretary. The president and vice-president shall be ex-officio the Trustees of the brotherhood. Elective and appointed officer shall be an accepted shandarian and member of this brotherhood for 5 years to be eligible to the office.

Section 2- Election: The elective officers shall be separately chosen by ballot at the annual meeting of each year. A majority of the whole number of votes cast shall be necessary to a choice. The Vice-President, Treasurer and Secretary shall be appointed by the president-elect previous to installation. Section 3 - Taking office: The officers thus elected and appointed shall be installed as soon thereafter as convenient to serve until their successors are duly elected and installed. Section 4- Duties of Officers: The president shall be chief executive officer of the brotherhood; shall preside at all meetings; shall have general and active management of the business of the brotherhood; and shall have the general power and duties of supervision and management. President shall be the guardian and protector of the Shandarism and the shandarian legacy. The vice-president shall assist the president in his decision; shall supervise the execution of management; shall report the results to president; shall represent the brotherhood before other entities; shall replace the president in case of death, incapacity, or resignation until the comeback of president or until the next election. The Secretary shall keep a true and correct record of the proceedings of the brotherhood properly to be written; shall preserve in appropriate files all papers and documents relating thereto; shall keep separate accounts with each member of the brotherhood; shall conduct the brotherhood correspondence under the direction of the vice-president; shall issue all summons and notices when directed; shall make the necessary returns to the Brotherhood; shall record in the minutes the names of all members in attendance at each stated meeting; shall receive all moneys paid into the brotherhood, record the items and amounts in the minutes of each communication and pay these over to the treasurer without delay, taking his receipt therefore; shall keep a complete register of the members showing dates of initiation, passing and raising or affiliation, also withdrawal, deaths, expulsion or suspension; shall notify all committees of matters referred to them, and all petitions of their election or rejection; shall have custody of the

Brotherhood Seal and affix the same to all documents requiring verification, and make a full report of all his doings at each annual meeting. The Treasurer shall have charge of the money and other physical property of the brotherhood; shall keep regular and accurate accounts of all brotherhood moneys received by him; shall pay all legal debts of the brotherhood; shall invest all surplus funds in such securities as the brotherhood may direct; shall at all times hold the accounts, vouchers, funds and securities subject to the inspection of the president and vice-president. President shall make a detailed report of the receipts and expenditures at each annual meeting or more often if requested by the president and vice-president. The Hostess of the brotherhood shall have charge of the guidance of the spiritual service and any other rites and celebrations of Shandarism; shall be the voice and translation of the shandarian collective consciousness; shall be the guardian and protector of the shandarian collective consciousness. Section 5 - Terms: The term of office for all elective and appointed officers of this brotherhood shall be four (4) years Section 6- Compensation: The elective and appointed officers shall receive a compensation for their service. Amount and nature of the compensations shall be defined each year in the annual meeting. Article VI - Membership Section 1 - Eligibility: To enter the brotherhood, any person shall meet the eligibility requirements defined as following: i) ii) iii) iv) Must be 21 or older Agree the official shandarian line of thought Be a serious and trusted person Accept the initiation

Section 2 - Candidate: Any candidate shall be subject to investigation of good standing. After this investigation, the acceptance in the brotherhood shall be

discussed and voted by other members during a regular meeting. The candidate shall be notified in writing of the decision. Section 3- Initiation: Any accepted candidate shall be initiated according to the spirit, codes and rites of Shandarism by the ceremony of Threshold. Nevertheless, the candidate shall have the option to refuse the initiation. In case of refusal, he or she shall be escorted to the door and shall no longer have contact with the brotherhood. Section 4- Duties of member: Each Members of the brotherhood shall have the duty to be loyal and available for the Brotherhood; to attend meetings; to study the Shandarian thought and become better; to serve in the brotherhood; to live according to the shandarian spirit and principles; to fulfil duties & obligations and to preserving the seal of secrecy. Section 5 - Terms: The term of membership shall be unlimited with a lifetime option. Section 6- Due and Assessments: Each member of the brotherhood shall pay an annual due. The amount of annual due shall be fixed every year at the annual meeting and shall be paid every year on the date of initiation in the brotherhood. Article VII The Grand Assembly Section 1 - Meeting: Regular, special and annual meetings of the brotherhood shall be held in Assembly at the address indicated on the notice of meeting and shall be conducted according to the spirit, rites and codes of Shandarism. Section 2 - Access to meeting: Meeting shall be restricted to Shandarian and member of this brotherhood. Non-shandarian and visitor shall be prohibited. The access to meeting place and event shall be granted by a password. Section 3 - Confidentiality: Meeting, events and their contents shall be kept confidential and placed under the seal of secrecy.

Section 4- Notice of Meetings: Each member shall receive a notice of meeting eight days before the event by regular letter, phone, fax, email or SMS. The notice shall indicate location, hour and date of next meeting and event. Article VIII Offices and Records Section 1 Offices: The brotherhood has such office(s) at such place(s), both within and without the United States, as the president may determine or as the business of the brotherhood shall from time to time require. The access to offices shall be restricted to authorized person by the president and vice-president. Section 2 - Records: The brotherhood shall maintain records of the members, minutes, operation & activities reports and books. Records and books shall be the private property of the brotherhood and shall not be accessible for the general public Section 3 - Inspection: Officers of the brotherhood shall have the right to inspect the books and records. This right of inspection shall not be granted for members. Article IX - Amendments The elected officers of the brotherhood shall have the sole power to amend, alter or repeal and replace this charter upon attaining the affirmative vote of a twothirds majority of the total number of members.
