A COMPANY incorporated under the Companies Act, 1956 (which expression unless repugnant to the context or meaning thereof shall mean and include his heirs, legal representatives, administrators and permitted assigns). Skynet Worldwide Express Pvt. Ltd is agreeable to provide the Shipper door-to-door Express services from and to various International destinations (through its service associates), which are serviced by SWEPL & Its Associates (herein after referred to as Service Provider), on the following terms and conditions: 1. This AGREEMENT is restricted to the carriage of the Shipper's own consignments, or where Shipper is the authorised agent, of the owner of such consignment. All consignment carried under this Agreement will be subject to the terms and conditions of the carriage mentioned in the contract and the Standard Operating Procedure (SOP) as attached herewith and these terms and conditions will deem to have been read by the shipper and form part of this Agreement. A. In case of all commercial consignments, the shipper shall make his own arrangement to insure the consignments.

SWEPL shall raise bills on the Shipper as per the Rate Annexure (as attached herewith), annexed herewith on a Fortnight Basis. The Shipper agrees to pay the bills in full within 15 (Fifteen) days of receipt there of ("the due date") failing which the Shipper shall be unconditionally liable to pay to SWEPLL, immediately, the interest on the amount of the bill at the rate-of 2.5% per month from the due date.
The Shipper shall pay all such charges / costs / Administrative charges / Octroi / Penalties / Damages / Sales Tax / Central Excise, etc., as may be due and payable and as charged by any Local Authority / Government / Statutory Authority, etc. to SWEPL and the said charges shall be over and above the normal charges for the goods/ consignment due and payable and as agreed upon in this AGREEMENT. SWEPL shall be indemnified and shall be kept indemnified by the Shipper for any acts and / or for any costs, charges, claims, losses and taxes paid by SWEPL on behalf of the Shipper to any statutory authorities, government or local body.

The Shipper shall not book any prohibited / contraband items for carrying through us and you shall keep us fully indemnified against any loss, damage, penalties, action, proceedings, etc., that may be imposed due to any of your acts of omission or commission. Service Provider agrees to indemnify and to hold harmless the shipper from and against all the statutory claims, demands, and actions, and any liabilities, damages, or expenses resulting there from, including court costs and reasonable attorney fees, arising due to default, non compliance of the obligations enjoined upon Service Provider under this Agreement; arising out of or relating to the services performed by Service Provider under this Agreement or arising directly or indirectly from any dishonest, criminal or fraudulent, negligent act of any of its representatives and employees in performance of the obligations under this Agreement including injuries to persons, damages to property or any claim that may be made. The Chargeable Weight would be Actual or Volumetric, whichever is higher and would be rounded off to the next higher half kg. or one kg., as applicable.

To calculate the Volumetric Weight in kilograms, for SWEPL, the formula used would be to multiply the Length, Breadth and Height of the piece and divide the result by 5000 (when measurements are in cubic centimeters) or 366 (when measurements are in cubic inches). 11. Both parties agree and confirm that each WAYBILL number Issued by SWEPL for each of the Shipper's consignment shall be a separate and independent transaction between the Shipper and SWEPL. 12. SWEPL would not accept any item that is prohibited by airlines. 13. In cases where SWEPL is unable to deliver a shipment due to an incorrect address, SWEPL would make all desirable efforts to find the correct address. If the correct address is found to be in the same destination country, SWEPL would notify the correction. SWEPL would deliver or attempt to deliver the shipment to the correct address. 14. Where ever SWEPL would be unable to complete the delivery of a shipment SWEPL would l try to give a notice of the receivers address stating that delivery has been attempted and the whereabouts of the shipments. If after one more attempt delivery has not been made or the receiver refuses to accept delivery SWEPL would try to contact the shipper for further instructions. On the shippers agreement to pay SWEPL the costs that would be incurred in forwarding disposing or returning the shipment and SWEPL charges (if any) for making a third or more delivery attempt. 15. SWEPL shall have a right of lien on any of the property / goods / consignments / Demand Draft / Cheque against all the outstanding payments from the Shipper to SWEPL irrespective of the fact that whether such payments belong to the said property / goods / consignment or otherwise. In addition thereto, SWEPL shall have the right to sell / auction without notice to the Shipper the property / goods /Consignment / Demand Draft / Cheque in its custody in case of failure to pay by the Shipper costs/damages and outstanding payments and appropriate the sale proceeds. 16. Validity: The agreement stands valid for a period one year from the date of signing, i.e.: from 07 -01-2012 up to 06 -01-2012.

17. Either party may terminate this Agreement by giving to the other party at least 30 days-prior notice in writing. 18. Amendments: The parties hereto expressly agree that it shall be open for the parties to mutually add/alter/amend/change/vary/modify any of the terms and conditions to this agreement, as the need be, after the execution of this agreement. 19. Such additions/alterations/amendments/changes/variations/modifications shall be in writing in any format. No such additions / alteration / amendment /change / variation / modification of any of the Terms and Conditions set forth herein shall be valid unless incorporated as an amendment to this agreement and signed by the duly authorized representatives of both the parties; 20. SWEPL reserves the right to terminate the services provided to the Shipper forthwith without assigning any reason if the bills raised by SWEPL remain outstanding for a period in excess of seven days at any time. SWEPLL will be entitled to recover the outstanding dues under the law. 21. It is agreed that the liability of payment of stamp duty, registration charges or compliance of any other regulatory requirements shall be of the Shipper subject to such charges being informed to the shipper in advance. 22. In case of any changes in the governments levies/ taxes the same would be accepted by the shipper with effective from the date of prescription/ notification of such changes. 23. In case of any disputes and difference of opinion between the parties including interpretation of the. Terms and Conditions of the agreement, the same shall be referred to an arbitrator who has been mutually nominated by SWEPL and the shipper and the decision of the arbitrator shall be final and binding on both the parties. The Indian Arbitration and Conciliation Act of 1996 or any statutory amendment or enactment thereof will apply to the arbitration Proceedings. The venue of arbitration shall be at Mumbai. 24. The jurisdiction for the agreement will be Mumbai.
