Emp Name, Address 123 Dear Mr. Emp Name, Appointment Letter With reference to your application and the subsequent interviews you had with us, the Management is pleased to offer you an employment as Designation at our Branch w.e.f.Date on the following terms and conditions. Probation You shall be on Probation period for a period of Six months, which shall be extended as per the discretion of the Company. Once the stipulated period of the probation is completed satisfactorily, your services will be confirmed by issuing a letter of confirmation. In case your performance is unsatisfactory, your service may be terminated or probation extended at the sole discretion of the management by issuing a letter to this effect. Place of work Your place of work will be in Branch but if exigencies in companys work so require, you may be posted in any part of the world where there is Companys Operations. In the course of your work, you may be required to travel throughout India or abroad. In such case, you will be eligible for all lodging and travel expense reimbursements at actual and daily allowances as per the rules of the company prevalent at the time of travel. Salary and Perquisites You will be paid a Gross monthly salary of Rs. 9,000/-(Rupees Nine Thousand Only). Service Agreement This offer is subject to your accepting the Code of Conduct and Disciplinary Procedures and abiding by all clauses lay down therein. Non-Solicitation Without the prior written consent of the company, you shall not for a period of three months after the cessation of your employment with the company (howsoever that comes about) directly or indirectly and whether on your own behalf or in conjunction with or on behalf of any other person which is wholly or partly in competition with any business carried on by the company, its subsidiaries or associated Companies:-

-2(i)Solicit, induce, entice away from the company, its subsidiaries or associated Companies or employ, engage or appoint or in any way cause to be employed, engaged or appointed, any person employed or engaged by the company, its subsidiaries or associated Companies, or (ii)Canvass, solicit or approach or cause to be canvassed, solicited or approached any client or customer of the company, its subsidiaries or associated Companies about whom you have gained knowledge as a result of your employment with the Company during the course of your employment with the company for the sale or supply of products or services which are materially similar to or competitive with any products or services sold or supplied by the company, its subsidiaries or associated Companies where you have gained knowledge as a result of your employment with the Company of such products or services being so sold or supplied. Each of the restrictions is intended to be separate and severable: if any restriction is held to be unreasonably wide but would be valid if part of the wording were deleted, such restriction will apply with so much of the wording deleted as may be necessary to make it valid. iii) You shall not solicit the customers of the Company for your own interest and shall not directly or indirectly be interested in other business. If any violation of the aforesaid thing the company is entitled to recover the its damage of its business, goodwill or any other financial loss, which may arise at present or in future due to wilful neglects or defaults of the employee. Outside Employment During your employment you shall devote the whole of your time, attention and ability to the business and affairs of the Company and shall use your best endeavors to promote the Company's interests. You shall not without the previous written consent of the Company be concerned or interested directly or indirectly in any way in any business other than that of the Company or accept remuneration for any other employment or service whatsoever, except that you may hold shares or securities in any company which is quoted on a recognized stock exchange or dealt in publicly. Secrecy: You shall not either during the continuance of your employment except in the proper course of duty or with the express written consent of the company divulge or make use of any secrets or of any correspondence, accounts, Information, connections or dealings whatsoever of the company, its subsidiaries or associated Companies or of any customer or correspondent of any of them or of any knowledge gained in relation thereto during the term of employment and shall not alter, obliterate, spoil, destroy, waste, embezzle, spend or without the express written consent of the company take away from the custody of the company any of the books, papers, writings, accounts, money or other property of the company, its subsidiaries or associated Companies or of any customer or correspondent of any of them. In addition to the employee is required to be maintained utmost secrecy in

-3respect of commercial offer, Project documents, Design documents, Project costs and estimation technologies and software, package license, Company Policy, Companys pattern, Trade Mark and Copy rights, as well as Companys Human Assets Profile. The Employee shall be prohibited to Publish an article, any statement, to deliver any lecture or broad cast, make any communication to the press including magazine publications relating to the Companys product or any matter which the company may concerned unless you shall be authorized by the Board of Directors in written instruction. You will not divulge to any other person other than Board of Director/head of department any business secret of the Company or any other confidential matter in respect of the business of the company is concerned. Notice of Termination In the event either the Company or the employee wishes to terminate the employment, one month notice in writing from either side will be required. However, in cases in or on account of the Company desiring to do so, it may, at its sole and absolute discretion do so by paying the employee one month basic salary in lieu of notice. Conversely the Company may, at its sole and absolute discretion waive the notice period of one month if it considers circumstances so warrant. In addition to that the Employee will ceased to be the employee of the Company and this letter of appointment will be treated as terminated if :a) The employee resigns from the Post. But such resignation will not absolve him from any liability incurred by him to the Company prior to such resignation. b) He/ She dies c) His/Her services are validly terminated by the Company as herein provided : i) When he completed the age of 58 years ii) If he is adjudged insolvent iii) If he is convicted for any criminal offence with imprisonment or fine or both or he is found of any misconduct or financial mismanagement or any willful default thereby the company face any kind of loss (Financial as well as its good will) which may rise at presently or in future. After conducting a reasonable inquiry, If he/ she/ they is/ are to be found guilty, he, she, they shall terminate immediate effect from the service. iv) Absence for a continuous period from the duty/ service for 7 days without prior approval of his/ her/ they of superior/ in the absence of the superior the HR Department, shall be presumed that the employee has abandoned the service from the Company, such a case there shall not be any kind of termination letter is required from the Company. v) Sick leave may be granted at the discretion of the Company but if the employee is absent from work due to ill health for a period or periods totaling at least 2 weeks in any consecutive period of twelve calendar months. vi) The Company reserves the right to terminate his/ her employment without any notice. If an employee commits any breach of the Code of Conduct and Disciplinary Procedures or his conduct is detrimental to the interests of the Company his/her services will be terminated without any notice or payment in lieu thereof.

-4Retirement Age The retirement age for all employees is 58 years of the date of birth recorded in Secondary School leaving Certificate, in case an employee who did not complete Secondary School leaving Certificate will have to produce Age proof from competent authority. Terminal Benefits For the purpose of determining your terminal benefits your length of service with the Company will commence from the date on which you join the Company. Commitment of Employee: He will not receive any amount as a commission brokerage, price and reward otherwise from any person without the consent of the Board of Director/ Head of Department. He shall act diligently and actively and to the best of his ability and will take all reasonable care in the discharge of his duties. He will endeavor to promote the interest of the Company. He shall be bound to attend to all administrative matters and to such other matters as will be assigned to him by the Board of Directors/ HOD/ immediate senior from time to time, and without prejudice to the generality of the said rules he will in particular attend to the following duties or work:i) The employee agrees that If the Company is required to pay any fine or penalty for noncompliance with the provision of any Act, Rules and Norms for which the employee is responsible he shall indemnify the Company against the loss suffered by the Company on account of such fines or penalties. ii) The employee shall inform by writing to the company if there is any changes of residential address(permanent as well Present), with a week of from the actual change occurred, failing which any communication to be sent on the last knowing address shall be treated as deemed to be served. iii) The employee shall be strictly adhere the moral code & conduct which is prescribed by the company from time to time, and he shall not consume alcohol beverages or any drugs, which may arose the intoxication in the working hours and in the premises of the company. iv) Since the company is engaged in service industry all the employee (including HODs) shall be politely, well mannered way with the clients/members always, any lack of adherence of the aforesaid conditions will be treated a very serious. v) The employee shall diligently handover all the files material, instruments, any electronic equipment or any other material holding by him by virtue of he is being employee of company to the HR Department before leaving the organization. Indemnify: The EMPLOYEE Agrees to indemnify and keep the COMPANY, Its attorney, Managing Director, Directors, Officers, employees and or agents indemnified and kept harmless from and against all liabilities, claims, damage costs, dues and expenses including

-5legal fees and expenses incidental to the defense of any claim or action abased upon or relating to or arising out of or as a result of (i) ANY breach of any of the warranties EMPLOYEE makes to this appointment letter (ii)any Claims ( including legal/ statutory or other governmental or municipal bodies and related expenses)losses, damage, injuries or penalties to the extent directly or indirectly caused by or sustained in connection with the negligent or willful acts or omissions of the EMPLOYEE, its employees or (iii) relating to or arising our of or as a result of implementation or in performing under this appointment letter. The indemnity in this clause shall in addition to, and not in lieu of all other legal rights and remedies that the COMPANY may have. Acceptance: Employee signature on this document will serve to signify employees acceptance of the terms and conditions contained herein. Kindly sign the duplicate copy of the letter as a token of accepting the terms and conditions mentioned above.
